What happened to the Windsurf deal?
Three separate transactions and events are often compressed into one headline. OpenAI reportedly negotiated to acquire Windsurf, but that deal did not close. Google made a separate arrangement to hire selected Windsurf leaders and researchers and license certain technology. Cognition then announced an agreement to acquire the remaining Windsurf business.
- OpenAI: The proposed acquisition was reported at approximately $3 billion, but there is no public evidence that OpenAI paid that amount or completed the purchase. Axios reported advanced talks in April 2025.
- Google: It hired selected people and reportedly obtained a nonexclusive license; it did not buy the company or take an equity stake.
- Cognition: It announced an agreement to acquire the remaining business, including Windsurf’s product and intellectual property. Its announcement did not disclose the price.
“Google derailed” overstates what the public record establishes. Google’s deal followed the collapse or expiration of OpenAI’s process, but publicly available reporting does not prove that Google caused OpenAI’s deal to fail.
What is Windsurf, and why did OpenAI want it?
Windsurf, formerly known as Codeium, makes an AI-assisted software-development product: an AI-native code editor with code completion, codebase-aware help, and agent workflows capable of making changes across files. It is a developer tool, not simply a chatbot or a model company. Its potential strategic value included its product, developer workflow, user base, engineering talent, and software-development intellectual property.

AI coding products compete for a place inside developers’ daily work. That position can create recurring use and provide a route into enterprise software teams. Product quality depends not just on the underlying model but also on codebase context, reliability, security, integrations, and the ability to turn suggestions into useful changes. Windsurf had reportedly been discussed at a valuation of about $2.85 billion in a potential financing round, according to TechCrunch’s July 2025 reporting.

What Google got—and what it did not
Windsurf CEO Varun Mohan and co-founder Douglas Chen joined Google DeepMind, along with a selected group of research and development employees. The exact number and identities of all hires were not disclosed in the initial reporting. Later coverage described roughly 40 employees associated with Google’s compensation package; that estimate came from reporting, not a public Google filing.
Google also reportedly received a nonexclusive license to certain Windsurf technology. Nonexclusive means the license did not, by itself, give Google exclusive rights to the licensed technology; the precise rights depend on the contract, whose full terms were not public. Google did not acquire Windsurf’s corporate entity, take an equity stake, or take the entire roughly 250-person company, according to TechCrunch’s account.

That distinction explains why the reported $2.4 billion should not be described as a price Google paid to buy Windsurf. The figure was reported as covering both a technology license and compensation packages. The public reporting does not establish a complete breakdown of who received what.
Why OpenAI’s proposed purchase failed is still unclear
OpenAI and Windsurf had reportedly negotiated for months, and the deal did not close after the transaction’s exclusivity period expired. The exact legal and financial reasons have not been fully disclosed. Coverage raised possible complications involving Microsoft, OpenAI’s major partner, and Windsurf’s relationship with Anthropic’s models. Those are reported context, not a settled explanation for the collapse.
The Anthropic episode matters because an AI coding product can depend on access to models operated by another company. A change in that access can affect product capabilities and commercial plans. But the timing of Anthropic’s reported restriction does not establish that it alone ended the OpenAI negotiations.

Reuters’ account, republished by Investing.com, placed the hiring in a wider competition among technology companies for AI talent, alongside Microsoft’s arrangement involving Inflection and Amazon’s hiring of Adept founders and staff. Reuters reporting via Investing.com describes the broader talent race; it does not prove a single cause for Windsurf’s failed sale.
What happened to Windsurf’s employees and business?
The Google hires represented only part of Windsurf. The people who moved to Google, employees who remained, and the company’s investors could have had different outcomes. Cognition’s subsequent agreement covered the remaining business, including Windsurf’s intellectual property, product, trademark, operations, and remaining talent, according to Cognition.

Cognition, the company behind the Devin AI coding agent, presented the combination as a way to bring Devin’s autonomous software-engineering capabilities together with Windsurf’s agentic IDE. Its announcement did not disclose the acquisition price, so the proposed OpenAI value and Google’s reported payment should not be mistaken for Cognition’s purchase price.

Later reporting said some employees who moved to Google faced revoked startup stock grants or restarted vesting schedules, even as they received compensation packages. Those details were reported by TechCrunch from sources, not confirmed in a public transaction filing. They illustrate why an employee’s outcome cannot be inferred from the headline figure: employment compensation, existing startup equity, founder liquidity, and the value of equity held by employees who remained are distinct things.

An acquihire is an industry term for a transaction in which hiring a startup’s people is a central goal. A conventional acquisition buys a company or its assets. A “reverse acquihire” is often used for a structure that combines hiring key employees with access to technology while leaving the startup legally separate.
Google’s arrangement fits that description in broad terms: it hired founders and selected researchers and reportedly licensed technology, while Windsurf remained outside Google and was later acquired by Cognition. “Acquihire” is not a formal legal classification, and the label does not replace the actual contracts.

Such arrangements can give a large company access to talent and technology without taking over an entire business. They can also leave important questions about rights, employees, customers, and product continuity unresolved. The structure alone does not establish that a company intended to avoid regulation or that regulators would treat it as legally insignificant; that depends on the facts, contractual rights, market effects, and applicable law.
What developers and customers should watch
For customers, the change in ownership and personnel is a reason to monitor product terms and communications—not evidence by itself that a particular feature or subscription ended. The public announcements do not establish that every customer contract, integration, or support commitment changed in the same way.
- Product continuity: Look for official updates on support, integrations, subscriptions, and the roadmap as Windsurf moves under Cognition.
- Model availability: Check which models the product supports and whether access depends on a third-party provider, given the reported Anthropic restriction.
- Privacy and security: Review current data-handling terms, repository permissions, and enterprise controls rather than assuming they stayed unchanged after the transaction.
- Migration needs: Teams with critical workflows should confirm export options, account administration, and alternatives before making a change.
There is no universal replacement for Windsurf. Cursor is an editor-first option; GitHub Copilot is a natural fit for teams centered on GitHub workflows; Cognition’s Devin and Windsurf products are relevant to teams evaluating more autonomous agents; Gemini Code Assist fits Google Cloud users; and Claude Code targets terminal-based workflows. Compare privacy terms, model access, repository permissions, agent autonomy, usage rules, and enterprise controls—not just a headline price. Product availability and pricing can change, so check vendors’ current terms directly: Cursor, GitHub Copilot, Devin, Devin pricing, Gemini Code Assist, and Claude Code.
What the episode says about AI company deals
The Windsurf story shows why AI coding companies can be valuable beyond the models they use. Their position in developers’ workflows, product distribution, codebase integrations, and engineering talent can matter as much as ownership of a particular model. It also demonstrates how a startup can be split across outcomes: one company hires selected people and licenses technology, while another later buys the remaining business.
