On June 8, 2026, the company said it had confidentially submitted a draft Form S-1 to the SEC, but that it had not decided whether or when to list publicly. The reported $1 trillion figure is a possible IPO valuation—not a confirmed market capitalization, offering price, ticker or per-share forecast.
A defensible OpenAI stock-price estimate must wait for a public prospectus showing the share count, dilution, price range, financial statements and governance terms. Until then, investors can assess scenarios, understand the risks and prepare to verify any eventual offering through primary documents.
Is OpenAI stock available today?
No. OpenAI is not an ordinary exchange-listed company, so there is no verified ticker, live quote or standard brokerage purchase route for OpenAI common stock. The company’s confidential filing is an option to pursue a listing, not an offer of securities. See OpenAI’s June 8 announcement.
Private transactions are different from public trading. They may involve restricted securities, preferred shares, special-purpose vehicles, conversion rights, negotiated discounts, fees and very limited liquidity. A private price is not an official Nasdaq or NYSE quote. SEC Form D filings involving entities with OpenAI in their names—such as OpenAI-01, a Series of OpenAI Opp Fund LLC and BP OpenAI LP—do not prove that OpenAI itself is publicly tradable.

Owning Microsoft, Nvidia, Amazon, a technology fund or a private vehicle may provide AI-related exposure, but it is not direct ownership of OpenAI shares.
What the confidential S-1 means
A confidential draft S-1 lets a company and SEC staff review disclosure before a public filing. It does not establish an IPO date, exchange, ticker, share count, valuation or price range. OpenAI can revise, delay, withdraw or abandon the process, and the company explicitly said timing remains undecided. A later public S-1, amendments and final prospectus will be needed to evaluate the business.
Earlier reporting described a possible filing in the second half of 2026 and a potential 2027 listing. Reuters subsequently reported the confidential submission and again noted that timing was not fixed (Reuters report). These dates are scenarios, not a schedule.
What would a $1 trillion valuation mean?
Market capitalization is calculated as:
Market capitalization = share price × fully diluted shares outstanding

Therefore:

These are mathematical illustrations, not predictions. The final count could change through preferred-stock conversion, employee equity, options, warrants, acquisition consideration, stock splits or other transactions. A reported valuation might mean a fully diluted post-money figure, an offering valuation or an analyst estimate; the S-1 must identify which.
Shares can be split or consolidated without changing the company’s total value. A preferred share can also have liquidation preferences or voting rights that make its negotiated price unlike the value of common stock.
Why the $1 trillion scenario is being discussed
Reuters reported in October 2025 that OpenAI was laying groundwork for an IPO that could value it at up to $1 trillion and might file as soon as the second half of 2026 (Reuters reporting). Another report discussed a possible 2027 listing (Reuters report). OpenAI’s later confidential filing confirms a pathway exists, but not that the valuation or timing will occur.

Any allocation would depend on the final prospectus, participating brokers, geography, account eligibility and demand; it is not guaranteed.
Analytical valuation scenarios
The following frameworks are ways to test assumptions, not forecasts.
Bear case
- Enterprise and consumer growth slows or becomes heavily price-competitive.
- Inference, training and data-center commitments keep losses and cash needs high.
- Alphabet, Microsoft, Amazon, Meta, Anthropic or open-source models bundle comparable capabilities.
- Copyright, safety, privacy, antitrust or national-security liabilities increase.
- Public markets reject a high-growth, loss-making AI valuation, forcing a lower price range or postponement.
Base case
- Consumer, enterprise and API revenue continue expanding across a broader customer base.
- Margins improve as utilization and model efficiency rise, while the business remains capital-intensive.
- OpenAI completes its restructuring and offers governance disclosures acceptable to public investors.
- Market conditions support an IPO near, but not necessarily at, the reported $1 trillion scenario.
Bull case
- Agents generate substantial recurring enterprise revenue beyond chat usage.
- OpenAI retains strong consumer and developer distribution and gains pricing power.
- Compute economics improve and growth materially exceeds expectations.
- An oversubscribed offering trades above its initial price as investors accept lower near-term profitability for long-duration growth.
Metrics to examine in the public S-1
Revenue quality
Separate consumer subscriptions, enterprise contracts, API usage, government and institutional sales, and any advertising or commerce initiatives. Check recurring revenue, usage sensitivity, retention and customer concentration. Private estimates should not be treated as established facts unless disclosed by the company or in a filing.
Margins and inference economics
Review gross margin, inference and training costs, GPU and networking expense, cloud dependence, data-center commitments and pricing pressure. Rapid revenue growth can coexist with substantial capital requirements.
Capital needs and dilution
Read the use of proceeds, planned infrastructure spending, debt, strategic-investor commitments, acquisitions, convertibles, options, warrants and future financing needs. Determine whether the offering raises primary capital, provides selling-shareholder liquidity or does both.
Competition and distribution
Compare model capability, customer lock-in, compute access, distribution, ecosystem breadth, pricing power and regulatory exposure with Anthropic, Alphabet, Microsoft, Amazon, Meta, Nvidia, open-source providers and specialized AI software companies. The key question is whether OpenAI can monetize agents and enterprise workflows, not merely attract chat users.
Governance and structure
OpenAI’s nonprofit parent, public-benefit orientation and proposed public-benefit-corporation structure are central investment issues. The filing should explain control, voting rights, fiduciary duties, related-party arrangements and the rights of each share class. Do not assume public shareholders will have ordinary governance influence until those terms are disclosed.
Why a valuation is not a stock-price forecast
An IPO valuation is set at one point in time. Underwriters establish an offering range, while supply and demand determine the opening market price. The stock can gap above or below the offer, fall when lock-ups expire, or reprice sharply after quarterly results.

A company priced at a $1 trillion market capitalization can later trade at $700 billion; one priced below $1 trillion can rise above it. A headline market cap therefore does not imply that the stock will appreciate, and no precise dollar target is credible before the capitalization table and offering terms are public.

- Verify the public filing. Search SEC EDGAR for OpenAI’s public S-1, amendments, price range, share count and final prospectus.
- Confirm the ticker and exchange. Use the prospectus and exchange notice, not social-media claims or a “reserved” ticker.
- Check brokerage eligibility. After listing, a normal brokerage account may buy listed shares. IPO allocations, if offered, can depend on broker participation, account type, country and demand.
- Read lock-up and settlement terms. Insiders and employees may be unable to sell for a specified period, while retail buyers may face allocation limits.
Fidelity (fidelity.com) and Charles Schwab (schwab.com) are mainstream brokers that advertise online U.S. stock trading, but neither guarantees an OpenAI allocation. Interactive Brokers (interactivebrokers.com) may suit international or active investors; pricing and eligibility vary by jurisdiction and order type. Check current terms directly.
Major risks
- Valuation risk: A high revenue multiple leaves little room for execution mistakes.
- Unit economics: More usage may increase compute costs faster than revenue.
- Capital intensity: Infrastructure expansion can require debt, equity issuance or strategic financing.
- Dilution: Conversions, employee awards, options, warrants and acquisitions can reduce each share’s economic interest.
- Competition: Bundled offerings and open models may pressure prices and retention.
- Governance: Control arrangements may limit public shareholders’ influence.
- Legal and regulatory exposure: Copyright, privacy, safety, antitrust and national-security matters can affect costs and availability.
- Market-cycle risk: An AI selloff can compress multiples even when operations improve.
- Fraud: Impersonation and unregistered “pre-IPO” offers target investors before a legitimate listing exists.
How to avoid fake OpenAI stock offers
- Reject unsolicited offers arriving through social media, messaging apps or cold calls.
- Do not buy crypto tokens or synthetic products described as OpenAI equity.
- Require the legal issuer, security type, transfer restrictions, custody arrangements and complete fee schedule.
- Verify every claim against OpenAI’s announcements and SEC filings.
- Do not confuse a tender offer or employee liquidity transaction with an IPO.
Alternatives while waiting
Investors can consider diversified technology or semiconductor ETFs, public cloud companies, large-cap technology firms with AI exposure and AI software companies. These securities are easier to trade but have different businesses, valuations and risks; none is a substitute for direct OpenAI ownership. Holding cash or short-term Treasuries while awaiting disclosure is another way to avoid paying an opaque private-market price.
What to recheck before investing
- Whether a public S-1, exchange and ticker exist.
- Price range, fully diluted shares, latest valuation and expected listing date.
- Revenue, losses, gross margin, cash flow and compute commitments.
- New financing, secondary sales, restructuring and governance terms.
- Underwriters, retail-allocation policy, lock-ups and country restrictions.
The Bottom Line
Before a public S-1, there is no defensible OpenAI per-share target. After the filing, calculate valuation ranges from disclosed revenue, margins, dilution, governance and offering terms; after listing, judge the company as a public business rather than as an AI headline.
