OpenAI and AMD announced a planned partnership covering up to six gigawatts of AMD Instinct GPU deployments across multiple generations. The first phase is a planned one-gigawatt deployment of AMD Instinct MI450 GPUs in the second half of 2026. AMD also issued OpenAI a warrant for up to 160 million AMD shares, but those shares vest only as specified deployment, technical, commercial and share-price milestones are met. The deal is a major infrastructure agreement—not a completed installation or an immediate transfer of 160 million shares.
What the AMD–OpenAI deal includes
Announced on October 6, 2025, the agreement sets out a multi-year plan for six gigawatts of AMD Instinct GPU capacity and rack-scale AI systems. The companies named MI450 for the initial phase, which is planned to begin in the second half of 2026. The announcement describes capacity in gigawatts, not a count of individual GPU cards. OpenAI’s announcement and AMD’s release set out the planned terms.
How it builds on earlier work
The companies said their hardware and software collaboration began with AMD’s MI300X and continued with MI350X. The MI450 plan therefore extends an existing collaboration; the announcement does not establish that the new deployment is already operating.
When deployment is expected
The first one-gigawatt phase is targeted for the second half of 2026. That is a planned start window, not confirmation that installation has begun or that the full six-gigawatt agreement will be delivered on a fixed schedule. AMD’s SEC-filed exhibit identifies deployment timing, demand and expected financial benefits among forward-looking statements, which are subject to risks and may differ from actual outcomes.

What the share warrant means
AMD issued OpenAI a warrant for up to 160 million AMD common shares. A warrant gives its holder the right to acquire shares under specified conditions; it does not mean OpenAI received all those shares immediately. According to the companies’ announcement, the first tranche is tied to the initial one-gigawatt deployment, while further vesting is linked to purchases scaling toward six gigawatts, technical and commercial milestones, and AMD share-price targets. The maximum is conditional, not an immediate 10% ownership stake. AMD’s release describes the warrant terms.
What it could mean financially—and what it does not prove
AMD’s CFO said the partnership was expected to generate tens of billions of dollars in revenue for AMD. That is a company forecast, not revenue already earned or guaranteed. The SEC filing’s forward-looking-statement caution applies to the expected financial effects as well as deployment plans. The announcement provides no basis for treating the forecast as a realized result.

Is AMD replacing OpenAI’s other compute providers?
No such conclusion follows from this deal. In an August 2026 account, OpenAI described a broader compute portfolio that included AMD, AWS, Broadcom, Cerebras, CoreWeave, Oracle, SB Energy and SoftBank. It said it weighs providers and workloads across capability, speed, reliability, efficiency and cost, using premium systems where capability matters most and optimizing for efficiency where scale and cost matter more. The account does not present the AMD agreement as a replacement for other providers. OpenAI’s infrastructure account provides that later context.

What the announcement does not tell us
- It does not give a number of GPU cards corresponding to six gigawatts; the commitment is stated as capacity.
- It does not provide an MI450-versus-competitor benchmark or prove a particular performance advantage.
- It does not confirm that the planned deployment has started, how much capacity will ultimately be installed, or what revenue AMD will actually recognize.
