NinjaOne announced $500 million in Series C extensions at a $5 billion valuation on February 24, 2025. That valuation is now historical: on June 9, 2026, the company announced more than $400 million in further Series C extensions and a $12.3 billion valuation, describing the later financing as secondary funding.

What NinjaOne announced in February 2025

NinjaOne said it had secured $500 million in Series C extensions at a $5 billion valuation. The company named ICONIQ Growth and CapitalG as the leads; NinjaOne described CapitalG as Alphabet’s independent investment fund. NinjaOne’s February 24, 2025 announcement is the source for the transaction and valuation.

A private-company valuation is a stated value associated with a financing event, not a public stock price or a promise that investors can sell shares at that value. NinjaOne is private, and the announcement does not establish a price available to ordinary investors.

How the valuation changed by June 2026

On June 9, 2026, NinjaOne announced more than $400 million in additional Series C extensions and a $12.3 billion valuation. The company described the financing as secondary. That distinction matters: a secondary transaction generally involves existing shares changing hands, rather than new primary capital being issued to fund company operations. The announcement does not support treating the full amount as new operating cash for NinjaOne.

NinjaOne named participation from Wellington Management, Teachers’ Venture Growth, affiliated funds of BDT & MSD Partners, Sequoia Capital, ICONIQ, Hedosophia, NEA, Washington Harbour Partners, CapitalG, and Pinegrove Opportunity Partners. It also said co-founders Sal Sferlazza and Chris Matarese retained majority control. These are company-reported details in its June 9, 2026 announcement.

Announcement Funding described Valuation Transaction detail
February 24, 2025 $500 million in Series C extensions $5 billion ICONIQ Growth and CapitalG named as leads
June 9, 2026 More than $400 million in further Series C extensions $12.3 billion Described by NinjaOne as secondary funding

The figures describe separate announcements, not a simple total of primary investment raised for company use. Nor does a higher private valuation by itself establish that the business’s revenue, profits, or public-market value rose by the same proportion.

What NinjaOne sells

NinjaOne describes its Unified IT Operations Platform as bringing endpoint management, autonomous patching, backup, and remote access together in one console. Organizations use these tools to administer and protect computers and other endpoints across their IT environments. The company reported that nearly 40,000 organizations in more than 140 countries use its platform; those customer and reach figures are NinjaOne’s claims, not independently verified counts here.

What the growth and ROI claims do—and do not—show

In its June 2026 announcement, NinjaOne reported nearly 70% year-over-year growth in 2025. It also cited an IDC Business Value Snapshot sponsored by NinjaOne (document US54520326-BVS, May 2026), reporting a 720% three-year return on investment, a four-month payback period, and $1 million in annual benefits per 5,000 managed endpoints.

Those ROI figures are results from a sponsored study as quoted by the company. They should not be read as a guaranteed result for an individual customer or as independently verified outcomes for every deployment. The announcement does not, by itself, provide enough detail to apply the estimates to a particular organization’s costs or endpoint mix.

What the announcement means for investors and customers

For investors, the $5 billion figure belongs to the February 2025 financing; NinjaOne’s later announced valuation was $12.3 billion in June 2026. Both are private-market valuations, and neither is a direct invitation or guarantee of access for retail investors. The later funding’s secondary characterization also means the headline amount should not automatically be interpreted as new cash available for the company’s operations.

For customers, the funding announcements signal investor interest in the company, but they do not establish product quality, suitability, future pricing, or service outcomes. Those decisions require assessing an organization’s own IT requirements and the vendor’s terms rather than relying on valuation headlines.
