Navan’s $6.45 billion figure was a proposed valuation at the top of its October 2025 IPO price range—not the value at which the company ultimately went public. Navan priced its shares at $25 on October 29 and completed its IPO on October 31, 2025. The initial filing updates came while the U.S. federal government was shut down, but that did not mean the offering was free from SEC scrutiny.
What Navan proposed during the shutdown
On October 10, 2025, Navan filed updated IPO materials with the Securities and Exchange Commission, according to TechCrunch’s report on the filing. The company proposed selling 30 million new shares at $24 to $26 each. Existing shareholders planned to sell another 7 million shares.
The $6.45 billion figure was the proposed valuation at the $26 top end of that range. At that price, the offering was expected to raise more than $960 million. Both figures described proposed terms, not the final IPO proceeds or a current market capitalization.
What the shutdown changed—and what it did not
TechCrunch reported that, during the federal shutdown, an issuer could submit updated pricing and share-count information under the SEC process and described an automatic effectiveness timeline. That procedural pathway did not mean automatic approval or an absence of oversight: the report noted that SEC staff could still ask questions or require amendments. The shutdown-era filing therefore allowed Navan to continue toward an offering, but it did not establish that regulators had no role.

How the final IPO terms differed
Navan announced final terms on October 29, 2025: 36,924,406 shares at $25 each. The total consisted of 30 million shares sold by Navan and 6,924,406 sold by existing stockholders, a slightly different secondary-share count from the 7 million initially reported. Navan said it would receive no proceeds from stockholder sales. Navan’s investor-relations announcement set out the final share count and price.
The company’s annual report says the IPO closed on October 31, 2025. Navan sold 30 million shares and received $713.3 million net of underwriting discounts and before offering costs. That issuer-proceeds figure is not the same as the total value of all shares sold, and it is not a valuation. Navan’s SEC annual report describes the completed transaction.

What Navan sells and how to read its financial figures
Navan describes its business as a platform for business travel, payments, and expense management. It charges per-trip or per-transaction fees for travel services and an annual subscription for expense management. It also earns commissions from travel suppliers and fees from payment partners associated with corporate-card volume, according to Navan’s SEC filing.
The October 2025 filing snapshot, as reported by TechCrunch, showed $613 million in rolling 12-month revenue, up 32%, and losses of $188 million. Those are figures for that filing’s reporting period, not current results. TechCrunch’s coverage attributed them to Navan’s updated filing.

A later operating measure offers a different kind of snapshot: Navan’s SEC quarterly filing reported $3.0 billion in gross booking volume and $1.3 billion in payment volume for the three months ended July 31, 2026. The figure helps explain the scale investors were being asked to consider when Navan first set its proposed range. It does not establish the company’s eventual public-market value. An IPO valuation implied by offer terms and a later market capitalization are different measures; the latter depends on the company’s share price and share count at a particular time.
