Microtune described the arrangement as taking place “much like in a merger style,” but the contemporary trade report characterized it as an acquisition; the purchase price was not disclosed.
What Microtune acquired
On January 18, 2000, Dallas-area startup Microtune acquired the remaining radio-frequency (RF) systems operations of Temic Telefunken Hochfrequenztechnik GmbH, based in Ingolstadt, Germany. Microtune was known for a single-chip broadband tuner. Temic brought RF system engineering, module manufacturing and customer support, complementing Microtune’s tuner integrated circuits. EE Times reported the transaction and said the financial terms were not disclosed.
Microtune chairman and CEO Douglas Bartek said the arrangement was “taking place much like in a merger style, as no one is leaving the company [Temic].” That description explains the merger language, but does not change the transaction’s reported form: Microtune acquired Temic’s remaining RF operations, technology, personnel and assets.
Why the combination mattered to equipment makers
The strategic aim was to move Microtune beyond selling a tuner component toward providing more complete RF systems. With the acquired engineering, manufacturing and support capabilities, Microtune said it could offer equipment makers integrated RF modules and a broader global sales and support presence. The proposition was practical: manufacturers could buy a more complete, integrated solution instead of devoting as much engineering effort to combining a tuner chip with other RF components.

Bartek described the expanded offer this way: “Now, we have effectively become a one-stop shop” for RF silicon and system expertise.
Set-top-box module plans
In January 2000, Microtune discussed a jointly developed ready-made module for a set-top-box customer. The report said the company was targeting a prototype by the end of February and that the customer’s production schedule called for June. Those were plans reported at the time, not confirmation that either milestone was achieved.

Markets and products identified at the time
Temic’s RF system solutions served cable, television, PC and automotive industries, according to the contemporaneous coverage. Microtune also identified automotive electronics as a growth opportunity, including RF modules for satellite radio. These were stated opportunities and plans; the cited accounts do not establish subsequent sales or market results.
A March 2000 EDN report said Microtune was putting credit-card-sized RF modules into production in the Philippines and explicitly connected the new engineering and production capabilities to the Temic acquisition. Microtune founder and chief technical officer John Norsworthy said, “While some companies are willing to work with RF chips and do their own subsystem designs, the majority prefer a fully verified and tested solution.”

Temic’s workforce and corporate background
Temic Telefunken Hochfrequenztechnik had been formed in 1997 through a management buyout from Daimler-Benz. It should not be confused with other businesses that used the Temic name. According to EE Times’ 2000 account, Vishay acquired Temic’s chip-making and component operations in 1998 and later sold the facilities and process technologies to Atmel; Microtune acquired the remaining operations.
The same report put Temic’s workforce at roughly 1,000 people, most of them at two factories in the Philippines producing RF modules. It reported about 50 to 60 experienced RF engineers in Germany and around 20 application RF engineers in the United States. These are approximate figures reported at the time, not an audited headcount or a description of present-day operations.

Microtune’s acquisition of Temic in 2000 was distinct from a later corporate transaction. In September 2010, Zoran announced a definitive agreement to acquire Microtune. Zoran’s SEC-filed release gave a transaction price of about $166 million, or $84 million net of cash acquired; a November 2010 release said Microtune shareholders had approved the merger agreement. The September announcement and the November approval announcement concern that later Zoran transaction, not the Temic purchase.
