The January 2024 report that Microsoft executive Dee Templeton had joined OpenAI’s board was real, but “board of directors” overstated her role: she was reported to be Microsoft’s non-voting board observer, not an OpenAI director. Microsoft relinquished the observer seat in July 2024, and Templeton is not listed among OpenAI’s current directors.
What happened in January 2024?
After Sam Altman returned as OpenAI CEO in November 2023, OpenAI announced a reconstituted initial board and said Microsoft would have a non-voting observer. The announcement did not identify the person who would fill that seat. OpenAI’s announcement

Was Templeton an OpenAI director?
No. A director is a voting member of a board; an observer may attend meetings and, under the reported arrangement, receive information, but does not vote on board matters. Those are materially different roles. Calling Templeton a director or an unqualified “board member” obscures the distinction.

| Voting director | Yes | Yes | Yes | Yes |
| Non-voting observer in the reported arrangement | Reportedly yes | Reportedly, subject to the arrangement | No | No |
This comparison describes the reported OpenAI arrangement, not a universal legal definition of observer rights. A later court filing in litigation also described Templeton as not a member of OpenAI’s governing board and without voting authority; that is a party’s filing, not an independent judicial ruling. An observer seat can matter even without a vote because meeting access and information may be significant. But the seat alone does not establish that Microsoft controlled OpenAI.

The observer position was part of OpenAI’s post-crisis board restructuring, announced after Altman’s reinstatement. It gave Microsoft, a major investor and strategic partner, a formal channel to observe board proceedings without granting it a board vote. OpenAI’s announcement described the seat as non-voting; it did not give Microsoft voting control. OpenAI’s announcement of the new initial board

When did the observer role end?
Microsoft relinquished the seat in July 2024. Axios reported that Microsoft told OpenAI the observer role was no longer necessary, citing progress in the partnership over the preceding eight months. The company’s stated rationale was that the relationship had developed enough that formal observation was no longer needed. Axios’s report on Microsoft giving up the seat

The withdrawal came amid broader regulatory scrutiny of the companies’ close relationship. The public explanation does not establish that regulatory pressure caused Microsoft’s decision, so the two facts should not be conflated.
What is OpenAI’s governance status now?
OpenAI’s governance has since changed. Its published structure describes the OpenAI Foundation and OpenAI Group PBC, with the Foundation holding special voting and governance rights and appointing the Group board. Templeton and a Microsoft observer are not listed on OpenAI’s current published board page. OpenAI’s current structure and board

Microsoft and OpenAI have also updated their partnership terms.
