Why did Microsoft get a 27% stake in OpenAI?
The stake was part of the companies’ October 28, 2025, arrangement following OpenAI’s recapitalization. Microsoft said its investment was valued at approximately $135 billion and represented roughly 27% of OpenAI Group PBC on an as-converted diluted basis. That calculation included all owners, including employees, investors and the OpenAI Foundation. Microsoft’s announcement described the post-recapitalization terms.
“As-converted diluted” is an ownership measure that accounts for securities that could convert into ownership interests and dilutes the percentage across the relevant holders. The 27% was therefore a snapshot under the announced capitalization terms—not a promise that Microsoft’s percentage would stay fixed as OpenAI raised funds or its ownership structure changed.
What does OpenAI’s $250 billion Azure commitment mean?
OpenAI contracted to purchase an additional $250 billion in Azure services. This is a commitment to buy cloud computing services, not a $250 billion equity contribution, and the announcement did not describe it as an immediate cash payment. The commitment is a commercial obligation tied to Azure services; it should not be added to Microsoft’s stated $135 billion investment as if both amounts bought ownership.

The same October announcement said Microsoft gave up its right of first refusal to be OpenAI’s compute provider. That change matters because it removed Microsoft’s contractual priority over competing providers, even as Azure remained central to the partnership.
Does Microsoft still own 27% of OpenAI?
Not necessarily. Microsoft’s FY2026 Form 10-K said its proportionate ownership decreased during the year because of the recapitalization and other funding activity. The reviewed excerpt does not give an updated exact percentage, so 27% should be described as the figure Microsoft announced after the October 2025 recapitalization—not as a verified current stake. Microsoft’s FY2026 annual report is the relevant filing.

The April 2026 partnership amendment changed commercial and product terms; it did not, by itself, publish a new exact ownership percentage. Without a later explicit disclosure, a current percentage cannot be stated reliably.
Can OpenAI use cloud providers other than Azure?
Yes. Under the April 27, 2026 amendment, Microsoft remained OpenAI’s primary cloud partner, and OpenAI products would ship first on Azure subject to a capability exception. But OpenAI could serve its products to customers across cloud providers. Azure-first shipping is not the same as an Azure-only distribution rule.

The distinction is between Microsoft’s preferred role in the partnership and OpenAI’s ability to distribute products through other clouds. The companies’ February 27, 2026 joint statement had described the then-current terms, including Azure’s exclusive role for stateless OpenAI APIs; that statement predates the April amendment and is no longer the latest description of the arrangement.
How did the April 2026 amendment change the partnership?
The October 2025 recapitalization terms and April 2026 amendment represent different snapshots. The April changes modified cloud access, IP licensing and revenue sharing; they do not supply a revised exact ownership percentage.

The amended terms make the partnership less exclusive in some ways without ending Microsoft’s strategic role. Microsoft retains a primary cloud position and a license to OpenAI intellectual property through 2032, but that license is no longer exclusive and OpenAI can serve customers on other clouds. The revenue-share direction also became asymmetric: Microsoft no longer pays OpenAI, while OpenAI’s payments to Microsoft continue through 2030 subject to a cap. The companies’ April 2026 statement sets out the amended terms.

Microsoft said on its FY2026 Q4 earnings call that commercial bookings grew 10% and 11% in constant currency, including OpenAI Azure commitments. It also reported more than $214 billion in full-year Microsoft Cloud revenue, with nearly 90% coming from customers outside frontier model companies. These are Microsoft-reported figures; the $214 billion is Microsoft Cloud revenue, not OpenAI revenue. Microsoft’s FY2026 Q4 earnings materials provide the company’s reporting.

The figures put the OpenAI agreement in context: it is a large cloud-services commitment, but Microsoft’s cloud business is not solely dependent on frontier AI companies. CEO Satya Nadella said on the same call, “At the end of the day, every firm is going to evaluate who are the providers who are helping them with their outcomes and their knowledge creation.”
