Meta is not currently going to trial. The trial over whether it unlawfully maintained a monopoly by acquiring Instagram and WhatsApp ended on May 27, 2025. On November 18, 2025, the U.S. district court ruled for Meta. The Federal Trade Commission appealed on January 20, 2026, moving the dispute to the U.S. Court of Appeals for the D.C. Circuit.
That means Meta has avoided an immediate breakup, but the possibility has not necessarily disappeared. No court has ordered Meta to sell Instagram or WhatsApp, and the appeal itself does not require users, creators, advertisers, or businesses to change how they use the services.

What the Meta breakup case is about
The case is Federal Trade Commission v. Facebook, Inc., later involving Meta Platforms, Inc., in the U.S. District Court for the District of Columbia. The FTC alleged that Meta unlawfully maintained a monopoly in personal social-networking services, violating Section 2 of the Sherman Act and Section 5 of the FTC Act.
The agency focused partly on Meta’s acquisitions of Instagram in 2012 and WhatsApp in 2014. According to the FTC’s theory, those services were important competitive threats and Meta used acquisitions, along with restrictions on software developers, to protect its position. The FTC’s allegations are not the same as judicial findings that Meta bought the companies specifically to eliminate competition.

The FTC sought relief that could include divestiture or reconstruction of Instagram and WhatsApp. That was a possible remedy if the agency proved its case—not an automatic consequence of filing the lawsuit. The court would have had to determine what remedy was legally necessary to restore competition. The FTC explains the case and potential remedies in its case Q&A.
The timeline: from complaint to appeal

The FTC’s case page provides the underlying litigation history. Initial appellate filings, including the statement of issues and briefing-related documents, appeared in February 2026.
What the FTC had to prove
This was not simply a case about whether Meta owns popular applications. To win, the FTC had to establish the relevant market, show that Meta possessed monopoly power in that market, and prove that Meta maintained that power through unlawful anticompetitive conduct.
Market definition was central. The FTC described the relevant market as personal social-networking services. Meta argued that the market was broader and included services such as TikTok, YouTube, and other platforms competing for users’ attention.
The distinction matters financially and legally. If video-focused platforms are meaningful substitutes for Facebook and Instagram, Meta’s share of the relevant market may look substantially smaller. If the market is limited to a narrower category of personal social networking, Meta’s position may appear stronger. The court’s analysis therefore turned on more than the existence of competitors; it examined which products users would realistically consider alternatives.

The FTC argued that Instagram and WhatsApp had been acquired partly because they could become stronger rivals, and that Meta’s developer-access policies also helped weaken potential competition. It said the conduct reduced competition, innovation, quality, privacy, and consumer choice. These were the FTC’s claims and trial arguments, not a final finding that the agency won.
How Meta defended itself
Meta’s defense went beyond denying wrongdoing. The company argued that the FTC had defined the market too narrowly and overlooked substantial competition from TikTok, YouTube, and other services.
Meta also argued that Facebook and Instagram had continued to improve, including through investment in product development, security, and reliability. It characterized the FTC’s case as an attempt to use hindsight to challenge acquisitions that had been allowed to close years earlier.
The company’s position was that the government had not met the legal standard for proving that the acquisitions unlawfully maintained a monopoly. Meta’s arguments about competition and consumer benefits were contested by the FTC; they should not be treated as an independently established verdict about the platforms’ market power.
Why Meta won in district court
The district court concluded that the FTC had not established the relevant market and monopoly-power elements required for its monopolization claim. The court’s analysis focused heavily on competition between Facebook and Instagram and other services, including video-focused platforms.

In practical terms, Meta won because the FTC did not satisfy its burden of proof under antitrust law. The result was not a ruling that every FTC allegation was false, nor was it a declaration that Meta could never face structural remedies. It was a judgment for Meta in this case at the trial-court stage.

The court also treated WhatsApp in a nuanced way. WhatsApp was relevant to the FTC’s theory about anticompetitive acquisitions, but the court did not include WhatsApp in the relevant market used to decide the monopoly question. That distinction is important: an acquisition can be part of the alleged conduct without the acquired product being counted as part of the market used to measure monopoly power.

What the FTC’s appeal means
The FTC is asking the D.C. Circuit to review the district court’s November 2025 ruling. The agency says it continues to challenge the conclusion that Meta did not unlawfully maintain a monopoly through its acquisitions of Instagram and WhatsApp. The FTC’s announcement is available here.
An appeal is generally a review of the trial court’s legal conclusions and record; it is not automatically a second trial with all the evidence presented from scratch. Possible outcomes include:

- Affirmance: The appeals court leaves the judgment for Meta in place.
- Reversal or vacatur: The appeals court rejects or sets aside some part of the decision.
- Remand: The case returns to the district court for additional analysis or proceedings.
- Further litigation over remedy: Even an FTC victory on liability would not necessarily produce an immediate sale of either company.
The appeal does not, by itself, mean that a breakup is imminent. The current appellate docket is listed as D.C. Circuit No. 26-5028. Because the appeal remains unresolved in the available record, it is more accurate to say that Meta won in district court while the broader legal fight continues.
What a breakup could involve
If the FTC ultimately prevailed and a court ordered structural relief, separation would be a complicated process. It could involve spinning off or selling Instagram and WhatsApp, or reconstructing them under separate corporate control.
Implementation questions could include:
- Which employees, contracts, intellectual property, and infrastructure would move?
- How would advertising systems, measurement tools, and data-sharing arrangements be separated?
- What would happen to authentication, payments, messaging integrations, moderation, spam prevention, and security systems?
- Would transition rules preserve access to accounts, media, messages, followers, and phone-number registrations?
- Would the remedy require interoperability or other behavioral restrictions while the companies separated?
These are potential consequences, not current orders. A court could choose a different remedy, including conduct restrictions, depending on what it found necessary and legally appropriate.

Users do not need to migrate accounts because of the appeal. Instagram and WhatsApp have not been ordered to operate independently, and the appeal does not mean either service will be shut down.
If a structural remedy were eventually imposed, users could see changes to recommendation systems, cross-platform account features, data-sharing policies, privacy controls, security processes, and spam protection. Greater independence could create more room for competing product strategies, but separating shared infrastructure could also reduce convenience and make some safety systems more difficult to coordinate. The direction of those effects would depend on the detailed remedy.

For advertisers, a breakup could eventually mean separate ad-buying systems, audiences, measurement tools, billing arrangements, and commercial policies. Creators and businesses might need separate analytics, commerce, account-management, API, and moderation workflows. That could create new distribution opportunities while increasing operating costs and complexity.
For now, however, the practical response is monitoring rather than an emergency overhaul. Businesses with significant dependence on Meta should maintain ordinary contingency planning—such as keeping independent customer records, preserving creative and analytics data, and avoiding reliance on one platform for all customer acquisition—but those are sensible risk-management practices, not steps compelled by the appeal.
What investors should take from the case
The district-court judgment removed the immediate risk of a court-ordered breakup, but it did not eliminate legal uncertainty while the FTC appeal remains active. A final appellate outcome could affect Meta’s corporate structure, operating model, advertising technology, data practices, and long-term competitive strategy.

Bottom line
Meta did not go to trial in 2026 to prevent a breakup. The trial already ended in May 2025, and Meta won in the district court in November 2025. The FTC’s appeal, now before the D.C. Circuit, means the breakup fight is still legally alive—but Instagram and WhatsApp remain part of Meta, and no immediate user or business change is required.
