Masimo’s Cyber Incident and Sound United Sale: What Samsung’s HARMAN Actually Bought

Masimo’s 2025 cybersecurity incident and Sound United sale were announced together, but the filings do not show that data was stolen or that the incident caused the divestiture.

Masimo disclosed unauthorized activity on its corporate network in April 2025 and, at the same time, announced plans to sell its consumer-audio business to HARMAN International, a wholly owned Samsung Electronics subsidiary, for $350 million in cash, subject to adjustments. The transaction closed on September 23, 2025.

The filings confirm a cybersecurity incident and temporary operational disruption. They do not, however, establish that customer or patient data was stolen, that the event was ransomware, or that the incident caused Masimo to sell its audio business.

What happened to Masimo?

Masimo said it detected unauthorized activity on its on-premise network on April 27, 2025. In a May 6 filing, the medical-technology company said it activated its incident-response procedures, isolated affected systems, hired outside cybersecurity specialists, and notified law enforcement.

Some manufacturing facilities operated below normal capacity. Customer order acceptance, fulfillment, and shipping were also temporarily affected. Masimo said the activity appeared unrelated to, and was not affecting, its cloud-based systems. The company cautioned that the full nature, scope, and impact of the incident were still being investigated. Masimo’s Form 8-K did not identify a threat actor, malware strain, affected records, or confirmed data exfiltration.

Was Masimo breached?

In ordinary news coverage, “breached” can mean that an unauthorized party gained access to a company network. That broad description is consistent with Masimo’s disclosure.

But “data breach” can carry a narrower privacy and legal meaning: unauthorized access to or disclosure of protected information. The public filings cited here confirm unauthorized network activity, not the theft of personal information, clinical data, or patient records. There was also no cited confirmation that the incident involved ransomware.

The most accurate description is therefore Masimo cybersecurity incident, network intrusion, or unauthorized activity—rather than a confirmed personal-data breach.

How serious was the disruption?

The incident was operationally significant even though Masimo did not publicly confirm data theft. By May 27, 2025, the company said manufacturing was running at near-full capacity and that critical order-taking, distribution, and shipping systems were operational. By June 28, all manufacturing operations had returned to normal, according to Masimo’s Form 10-Q.

Masimo reported approximately $4.5 million in cybersecurity-related selling, general, and administrative expenses for the three months ended June 28, 2025. That figure included approximately $1 million in insurance reimbursement. A later filing reported approximately $5.5 million in related expenses for the nine months ended September 27, 2025, offset by approximately $4.3 million in insurance reimbursement. Those financial figures show the cost of responding to the incident; they do not, by themselves, show that the technical compromise was larger than initially disclosed.

What did Masimo sell?

Separately from the cybersecurity disclosure, Masimo announced on May 6 that it had agreed to sell its non-healthcare consumer-audio business, commonly known as Sound United, to HARMAN for $350 million in cash, subject to customary adjustments. The deal was completed on September 23, 2025. Masimo’s transaction announcement described the sale as part of a strategy to focus on its core professional healthcare business.

This was not a sale of Masimo Corporation to Samsung. HARMAN International was the buyer, and HARMAN is wholly owned by Samsung Electronics. Samsung therefore owns the business indirectly through HARMAN.

Which audio brands are now part of HARMAN?

HARMAN said the acquired portfolio includes:

  • Bowers & Wilkins
  • Denon
  • Marantz
  • Definitive Technology
  • Polk Audio
  • HEOS
  • Classé
  • Boston Acoustics

These brands joined HARMAN’s existing portfolio, which includes JBL, Harman Kardon, AKG, Arcam, Mark Levinson, and Revel. HARMAN said Sound United would operate as a business within its organization; reporting also described it as an independent strategic business unit within HARMAN’s lifestyle division. HARMAN’s closing announcement did not say that the brands would immediately be merged, rebranded, or made interchangeable with Samsung products.

Why did Masimo exit consumer audio?

Masimo acquired Sound United in 2022 for approximately $1.025 billion. The purchase brought a large collection of home-theater, hi-fi, speaker, and connected-audio brands into a company best known for medical monitoring technology.

In 2025, Masimo said the divestiture would let it concentrate on professional healthcare innovation and margins after reviewing its consumer-audio operations. The announced $350 million sale price is important context, but it should not be treated as a complete calculation of Masimo’s loss on the investment.

A simple comparison—$1.025 billion paid versus $350 million received—does not account for revenue earned during ownership, operating costs, debt or liabilities, transaction expenses, taxes, impairments, or final closing adjustments. Saying that Masimo “lost $675 million” would therefore oversimplify the accounting.

Did the cyber incident force the sale?

The available official filings do not establish that it did. The timing naturally invites speculation: Masimo detected unauthorized activity on April 27, disclosed the incident and announced the sale on May 6, and completed the transaction in September. But chronology is not proof of causation.

Masimo presented the sale as a strategic effort to refocus on healthcare and said it had been reviewing its consumer-audio business. Neither the incident filing nor the sale announcement cited here says that the intrusion forced, accelerated, or financially caused the divestiture.

What does the ownership change mean for consumers?

Ownership by HARMAN may eventually affect distribution, organization, product planning, customer support, apps, or firmware. The cited announcements do not provide enough information to predict those changes.

Consumers should not assume that:

  • Existing Denon, Marantz, Polk, or Bowers & Wilkins products will be discontinued or redesigned.
  • HEOS will be merged with Samsung or HARMAN platforms.
  • Warranties, apps, firmware, replacement parts, or customer-service procedures have automatically changed.
  • Products became more secure or better supported solely because HARMAN is owned by Samsung.
  • Sound United consumer data was involved in Masimo’s network incident.

For a specific product, check the manufacturer’s current support page, warranty terms, firmware notes, app requirements, regional availability, and authorized-dealer status. The brands remain distinct even though they now sit within the same corporate group.
