Mark Zuckerberg’s 28.2% Facebook Stake and Peter Thiel’s 2.5%: What the 2012 Figures Mean

Facebook’s 2012 IPO filing listed Zuckerberg’s post-offering ownership at 28.2% and Thiel’s at 2.5%. Those equity figures differ from voting power; Meta reported Zuckerberg’s voting power as 60.8% as of April 1, 2026.

The figures in this headline are Facebook’s projected ownership percentages after its 2012 initial public offering—not current stakes. Facebook’s February 1, 2012 SEC filing listed Mark Zuckerberg at 28.2% and Peter Thiel at 2.5% of the company after the offering. Those equity percentages are distinct from voting power, which was shaped by Facebook’s two classes of shares and voting agreements.

What the 28.2% and 2.5% figures measure

Facebook’s February 1, 2012 Form S-1 reported Zuckerberg’s and Thiel’s beneficial ownership in its post-offering column. It listed Zuckerberg with 533,801,850 Class B shares, or 28.2%, and Thiel with 44,724,100 Class B shares, or 2.5%. These are figures tied to the planned IPO and the filing’s post-offering calculation, not a statement of either person’s ownership today. Facebook’s SEC-filed Form S-1 also shows separate pre-offering and post-offering columns; the percentages should not be detached from the latter.

Why ownership percentage is not the same as control

Facebook’s 2012 share classes carried unequal voting rights: each Class A share had one vote, while each Class B share had ten votes. The filing says a Class B share could be converted at any time into one Class A share. Because Zuckerberg’s reported post-offering holdings were Class B shares, his 28.2% equity stake did not mean he held only 28.2% of the votes.

The S-1 also described voting agreements with certain stockholders. Together with Zuckerberg’s own shares, those agreements allowed him to exercise voting rights over a majority of the voting power after the IPO. So the filing’s ownership percentage and its account of voting control answer different questions: one concerns economic ownership, and the other concerns the votes available to direct company decisions.

What Meta reported about Zuckerberg in 2026

Meta Platforms’ 2026 proxy statement gives a later, dated snapshot for Zuckerberg. As of April 1, 2026, it reported 639,347 Class A shares and 341,823,978 Class B shares beneficially owned by him, representing 60.8% of total voting power. The proxy’s reported beneficial ownership includes shares held through trusts and affiliated entities under SEC beneficial-ownership rules. Its figure is voting power, not an equivalent percentage of Meta’s total economic ownership. Meta’s 2026 proxy statement identifies the as-of date and the scope of its ownership table.

Does the 2026 proxy establish Thiel’s current stake?

No. The proxy provides a later benchmark for Zuckerberg but does not establish a current ownership percentage for Thiel. Its table covers certain beneficial owners and management; Thiel’s absence from that table is not evidence that he owns no shares, nor does it support a current percentage. The 2.5% figure is the post-offering figure in Facebook’s 2012 S-1.
