Maple Leaf Cement Factory Limited completed its public offer for Pioneer Cement in February 2026, reporting 77.38% direct ownership of Pioneer and 88.28% ownership for the wider group. The often-cited $270.5 million value is a calculation from the disclosed share blocks, per-share price and exchange rate—not a separately stated total consideration in the offer document.
What the Maple Leaf–Pioneer Cement deal involved
The transaction paired share-purchase agreements with Pioneer Cement’s sponsors and a public offer for additional shares. Maple Leaf Cement Factory Limited was identified as the acquirer and Pioneer Cement Limited as the target in the offer document. Pioneer is listed on the Pakistan Stock Exchange under the symbol PIOC (Pioneer Cement investor information).
The offer document set the same price—PKR 478.43 per share—for both blocks:

The figures and offer terms are from Maple Leaf’s public-offer document (offer document). The public-offer amount was an offer for up to the stated number of shares; the eventual ownership percentages are reported separately in Maple Leaf’s later report.

How the $270.5 million figure is calculated
The two disclosed blocks add up to 158,443,650 shares. Multiplying that total by PKR 478.43 per share gives approximately PKR 75.8 billion. The offer document gave a conversion of USD 1.707 per share using PKR 280.2728 per USD, the exchange rate prevailing on December 17, 2025. Applying that rate to the combined share value yields approximately USD 270.5 million.
That makes $270.5 million a derived approximation based on the disclosed blocks and the offer document’s dated exchange rate, not a total consideration explicitly quoted as such in the filing. The dollar equivalent also depends on the stated conversion rate, so it should not be treated as a timeless or directly comparable deal value.

Did Maple Leaf complete the acquisition, and how much does it own?
Maple Leaf’s half-year report says it completed the public offer in February 2026. After the public offer and the 58.03% sponsor shareholding, Maple Leaf reported 77.38% ownership directly, while the total Pioneer holding of the wider group was 88.28% (Maple Leaf financial reports).
- Maple Leaf’s direct stake: 77.38%.
- Wider group’s total holding: 88.28%.
Those percentages describe different ownership scopes: the group total includes holdings beyond Maple Leaf’s direct stake. They should not be used interchangeably. A February 19, 2026 exchange filing said excess electronic shares were returned to shareholders’ CDC accounts on February 18, supporting that the offer process had reached settlement and fulfillment (exchange filing on fulfillment of public-offer obligations).

Regulatory context and what the filings do not establish
The public offer was made under Pakistan’s Securities Act, 2015 and the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017. The offer document also cautions that its filing with the Securities and Exchange Commission of Pakistan does not itself mean that the Commission cleared, vetted or approved it. Filing should therefore not be described as regulator endorsement.
Separately, the Competition Commission of Pakistan’s phase-one review index lists an acquisition of additional Pioneer Cement shares by Maple Leaf from the capital market dated November 27, 2025 (CCP phase-one review index). That earlier entry is distinct from the later sponsor sale and public offer.

They do not establish whether a subsequent merger scheme or operational integration has since been completed. A control acquisition and a completed merger are not the same claim.
