Lufthansa’s agreement with Italy’s Ministry of Economy and Finance (MEF) began as a minority investment, not an immediate full takeover. When the transaction closed, Lufthansa held 41% of ITA Airways after investing €325 million through a capital increase, while MEF initially retained 59%. The European Commission cleared the deal only after an in-depth competition review and commitments intended to protect competition on selected routes and at Milan-Linate.
What did Lufthansa agree with the Italian government about ITA Airways?
In May 2023, Lufthansa and MEF agreed that Lufthansa would acquire a 41% stake in ITA Airways. The European Commission’s merger filing described Lufthansa and MEF as acquiring joint control over ITA. The deal therefore combined a private investment with continuing Italian government ownership rather than transferring the airline outright to Lufthansa.
The transaction later closed. Lufthansa’s account says it acquired the 41% stake through a €325 million capital increase, with MEF initially holding the remaining 59%. Lufthansa described ITA as the Lufthansa Group’s fifth network airline.

Lufthansa’s July 2024 investor update had forecast a fourth-quarter closing; that was an expectation at the time, not the final status. The later company account confirms the completed transaction.

Why did the EU impose conditions on the ITA Airways deal?
The Commission assessed scheduled passenger air transport using origin-and-destination markets, as well as airport infrastructure at Milan-Linate. It concluded that the unmodified transaction raised competition concerns in three main areas: overlapping short-haul services between Italy and Central Europe, selected long-haul routes between Italy and the United States and Canada, and ITA’s position at Milan-Linate.
In its published decision summary, the Commission reported concerns on 10 of 12 current direct short-haul overlaps, at least in some seasons, and on eight direct-indirect overlap routes, also partly seasonal. Those are findings from the Commission’s assessment of the case; they do not describe today’s route schedule or establish what fares passengers currently pay.

What the remedies were designed to do
- Protect short-haul competition: make assets available to rival airlines for certain nonstop Rome or Milan routes to Central Europe, and give one rival access to ITA’s domestic network for connecting services.
- Address selected long-haul routes: make agreements with rivals intended to improve service, including measures such as interlining or slot swaps.
- Open access at Milan-Linate: transfer slots to competitors.
The Commission said an independent trustee would monitor the remedies and made full compliance a condition of clearance. Conditional approval was not a finding that the transaction without remedies would have been harmless. European Commission press release
Does the Italian government still own part of ITA Airways?
At closing, MEF initially retained 59% of ITA Airways, according to Lufthansa’s transaction account. The sources cited here do not establish whether ownership has changed since then, so the 59% figure should be understood as the initial post-closing shareholding, not a verified current ownership position.

What did Lufthansa say would change for ITA Airways?
Lufthansa said ITA would retain its brand and be developed further. The group described Rome Fiumicino as its sixth and southernmost hub and Milan-Linate as strategically important. Those are Lufthansa’s stated intentions and descriptions, not proof that every planned integration measure has been implemented.
The company also described plans for loyalty points and miles cooperation, codeshares, reciprocal lounge use, and prospective alliance integration. The company account does not establish that all of those arrangements are now in force.
