The company announced a combination with Ares Acquisition Corporation II (AACT) on April 14, 2025, and the transaction closed on September 24, 2025. The combined company is now Kodiak AI, Inc., with common stock trading on Nasdaq under KDK and warrants under KDKRW.
The original announcement valued Kodiak at approximately $2.5 billion before the merger and described potential trust and financing proceeds. Those announcement-stage figures were subject to shareholder redemptions and closing conditions, so they should not be treated as the company’s final cash raised or current market value.
What Kodiak announced in April 2025
Kodiak Robotics agreed to combine with Ares Acquisition Corporation II, a publicly traded special purpose acquisition company, or SPAC. The transaction involved AACT, a merger subsidiary and Kodiak Robotics under a definitive business combination agreement. The parties initially expected to close in the second half of 2025.
The announcement and agreement are available in filings with the U.S. Securities and Exchange Commission: Kodiak transaction announcement and the business combination agreement.

How large was the proposed deal?
These were figures disclosed when the transaction was announced, not a guarantee of final proceeds:

Redemptions by AACT shareholders, transaction expenses, warrants and other securities can change the cash and ownership economics. Final ownership and proceeds should be taken from closing and subsequent SEC filings rather than inferred from the April announcement.
What a SPAC merger means for Kodiak
A SPAC is a listed shell company that raises money in an initial public offering and later seeks to merge with a private operating company. In a successful merger, the private company becomes public without conducting a conventional underwritten IPO.

For Kodiak, the route offered a negotiated valuation, access to committed private financing and a public share currency that could be used for future fundraising or acquisitions. It also brought immediate public-company obligations and market scrutiny.
- Redemption risk: SPAC shareholders can redeem their shares, reducing cash delivered at closing.
- Dilution: Sponsor shares, warrants and new financing can reduce existing holders’ percentage ownership.
- Valuation risk: The announced $2.5 billion pre-money figure does not determine the market capitalization after Nasdaq trading begins.
- Reporting burden: Public filings expose cash burn, losses, delays and financing needs that private companies disclose less frequently.
What Kodiak’s business does
Kodiak develops autonomous-driving systems for commercial trucks, driverless freight operations and public-sector and defense applications. Its “Driver-as-a-Service” approach combines autonomous-driving software with hardware integration and operational support.
The company has described a platform intended to work with customers’ existing operations and across multiple vehicle and operating environments. That does not mean unrestricted, human-free driving on every road or in every weather condition. Autonomous capability is generally bounded by an operating domain, route, vehicle configuration, supervision and regulatory requirements.

What commercial progress did Kodiak cite?
In the transaction announcement, Kodiak said it had logged more than 2.6 million autonomous miles in real-world conditions, generated recurring revenue from driverless operations in the Permian Basin, delivered goods autonomously for customers in locations around the United States and publicly announced a driverless semi-truck delivered to a customer in 2024. It also said its commercial self-driving software was being used in work connected to the U.S. Department of Defense.
Those are company-reported claims in the announcement, not independent performance certification. “Autonomous miles” can include specific routes, constrained conditions or human and remote support. Likewise, “commercial operations” does not by itself establish that every trip is fully driverless, broadly scalable or profitable.

The merger closed on September 24, 2025. AACT domesticated as a Delaware corporation and changed its name to Kodiak AI, Inc. The company’s common stock began trading on Nasdaq as KDK, and its warrants trade as KDKRW. The closing details appear in the company’s SEC filing: post-merger disclosure.

That distinction matters: “go public via SPAC” accurately described the April 2025 announcement, but Kodiak is now a listed public company. Its ongoing filings, including 2026 reports, are collected on the Kodiak AI investor-relations SEC filings page.

Public status does not mean profitability. Later SEC disclosure says Kodiak has incurred recurring net losses and negative operating cash flow since inception. It reported an accumulated deficit of approximately $853.7 million as of December 31, 2025, and disclosed substantial doubt about its ability to continue as a going concern for at least one year after the relevant financial-statement filing date.
Autonomous trucking requires continuing spending on software and sensor engineering, testing and validation, fleet deployment, maintenance, mapping, remote assistance, insurance, customer integration and regulatory compliance. SPAC or other financing can extend the runway, but it does not remove the need for additional capital if commercialization takes longer or costs more than expected.

- Truck commitments may not become delivered vehicles, active routes or recurring revenue.
- A limited-domain system may not scale across weather, geography, road designs, traffic and loading conditions.
- Driverless freight also depends on depots, dispatch, maintenance, remote operations, insurance and customer workflows.
- Management projections and total-addressable-market estimates are forward-looking and uncertain.
How Kodiak fits into autonomous trucking
The transaction arrived after major setbacks in the sector, including the shutdowns of Embark and TuSimple, as investors reassessed the cost, safety, timing and commercialization prospects of autonomous vehicles. That context makes Kodiak’s public listing notable, but it is not proof that the industry has reached broad, profitable autonomy.
The relevant question for investors is whether Kodiak can turn defined commercial deployments into reliable, repeatable and economically attractive freight service while maintaining enough cash to fund that expansion.
How to evaluate KDK without confusing the announcement with today
- Start with the post-closing filings. Use Kodiak AI’s SEC reports for current cash, liabilities, share count, risk factors and operating results.
- Separate announced terms from completed economics. Treat the $551 million trust figure as conditional on no redemptions and do not assume the $2.5 billion valuation equals today’s market capitalization.
- Check operating evidence. Look for delivered trucks, active routes, customer revenue, utilization and safety-support requirements rather than relying only on mileage claims or orders.
- Assess funding runway. Compare cash needs and operating cash flow with planned deployment and likely financing requirements.
- Keep the technology claim narrow. Ask where the system operates, under what conditions, with what human or remote oversight and under which approvals.
Contemporaneous coverage of the announcement is available from TechCrunch, but reports written before September 24, 2025 do not include the closing update.
The Bottom Line
Kodiak moved from private startup to public company when its AACT merger closed on September 24, 2025. The listing gives Kodiak access to public capital markets, but the investment case still depends on scaling safe, reliable driverless freight while addressing substantial losses, cash requirements and execution risk.
