Klarna’s IPO Is Complete: From Confidential SEC Filing to NYSE Listing

Klarna’s confidential SEC preparation preceded a public F-1 filing in March 2025. Its IPO was priced at $40 per share, began NYSE trading as KLAR on September 10, and closed the next day.

Klarna is already a public company: its shares began trading on the New York Stock Exchange under ticker KLAR on September 10, 2025. The confidential SEC submission was an early preparation step; Klarna publicly filed its Form F-1 on March 14, 2025, then priced its IPO at $40 per share in September and completed the offering on September 11.

Did Klarna go public?

Yes. Klarna Group plc completed its U.S. initial public offering in September 2025, and its ordinary shares trade on the New York Stock Exchange as KLAR. The public listing followed a confidential draft-registration process, but the confidential submission itself was not the public filing or the sale of shares.

What happened between the filing and the IPO?

Why the confidential filing was not the IPO itself

A confidential draft registration lets a company prepare for a potential public offering before its registration statement is publicly filed. Klarna’s public filing on March 14 was a separate, later step. Even then, filing did not mean that the shares were immediately available to buy: Klarna stated that its registration statement had been filed with the SEC but had not yet become effective. The company also cautioned that the March announcement was not an offer to sell securities. Klarna’s March filing announcement.

The early filing also did not lock in the deal’s size or price. Klarna said, “The number of shares to be offered and the price range for the proposed offering have not yet been determined.” Those terms were announced later, when the IPO launched and was priced.

How much did Klarna raise?

The closing announcement reported 34,311,274 shares sold at $40 each, representing a total offering value of $1,372,450,960. But that total was not all cash raised by Klarna itself. The company sold 5,000,000 shares, while existing shareholders sold 29,311,274.

These are gross amounts calculated from the share counts and $40 offer price in Klarna’s closing announcement; they do not account for underwriting discounts, expenses, or other adjustments. What company figures did Klarna cite around the IPO?

The scale figures in Klarna’s IPO announcements describe specific periods, not current operating results. Klarna reported 93 million active consumers and more than 675,000 merchants across 26 countries as of December 31, 2024, and $105 billion in gross merchandise volume (GMV) during 2024. In its September 2025 closing announcement, Klarna reported approximately 111 million active consumers and approximately 790,000 merchants in 26 countries as of June 30, 2025, plus $112 billion in GMV for the 12 months ended June 30, 2025. What investors should take from the filing timeline

  • KLAR is the ticker. Klarna’s ordinary shares began trading on the NYSE on September 10, 2025.
  • The March filing was not the offer price. The price range was still undetermined when Klarna publicly filed its F-1; the initial range followed in September, and the final offer price was $40.
  • The total offering value and company proceeds are different. Most shares in the closing sale came from existing holders, not Klarna.
  • IPO-era operating figures are historical. The consumer, merchant and GMV metrics above refer to dates and periods in 2024 and 2025, not a current update. Klarna continued post-IPO reporting: an SEC Form 6-K for the period ended June 30, 2026 was filed on August 18, 2026, with earnings, investor-presentation and interim-financial-statement exhibits.
