Khaitan & Co. says it advised the book running lead managers—not JSW Steel or JSW Cement—in connection with JSW One Platforms Limited’s draft prospectus filing for a proposed IPO of up to ₹30,540.10 million. The proposed offer combines a fresh issue with a sale of shares by certain existing shareholders; the announcement establishes a filing-stage proposal, not an IPO that has opened, priced or listed.
What was announced
In a matter listing dated 1 October 2026, Khaitan & Co. said it advised the book running lead managers in relation to JSW One Platforms Limited’s filing of a draft red herring prospectus (DRHP), as part of the company’s proposed initial public offering. The firm reported an aggregate proposed amount of up to ₹30,540.10 million, equivalent to $318.62 million in its announcement. Khaitan & Co.’s matter listing describes the transaction and the firm’s role.

The headline attribution needs correcting: the law firm identifies the issuer as JSW One Platforms Limited and its clients on this mandate as the bookrunners. It does not say that it advised JSW Steel or JSW Cement on this filing.

The announced offer has two components: a fresh issue of shares and an offer for sale (OFS) by certain existing shareholders. A fresh issue raises money for the issuer through newly issued shares; in an OFS, selling shareholders offer their existing shares, and the sale proceeds go to those shareholders rather than to the company.
#1 Best Overall
Khaitan & Co gives only the combined proposed ceiling. It does not disclose how much of the amount would come from the fresh issue versus the OFS, so the announcement alone cannot show how much capital JSW One Platforms would receive or how much existing shareholders would sell.
Who advised the bookrunners
Khaitan & Co names five book running lead managers (BRLMs) for the proposed offering:
Rank #2
- JM Financial Limited
- Kotak Mahindra Capital Company Limited
- ICICI Securities Limited
- SBI Capital Markets Limited
- PL Capital Markets Private Limited
The firm identifies its role as counsel to these managers. Its listed core deal team comprises Sudhir Bassi, Executive Director; Madhur Kohli and Aayush Mohata, Partners; Sarjana Das and Kanchi Malhotra, Senior Associates; and Mythri Murali, Mehar Sharma and Vedika Jhunjhunwala, Associates.

What the filing-stage announcement does—and does not—tell investors
A DRHP is an early public document in the IPO process, not a final offer document or confirmation that an issue is ready to open. The 1 October announcement establishes that JSW One Platforms had filed a draft prospectus and that the proposed offer was described as “up to” the stated aggregate amount. It does not establish that the IPO has opened, been priced, completed or listed.
The announcement does not provide the fresh-issue and OFS allocations, use of proceeds, price band, subscription dates or final issue size. Those are material details for anyone assessing the offering. The draft prospectus and subsequent official issuer or regulatory disclosures—not the legal-advisory announcement—are the documents to consult for them if and when available.
SCC Times reported on 7 October 2026 the same aggregate amount, broad offer structure and counsel-to-bookrunners role. SCC Times’ report provides secondary corroboration; it does not supply the missing component allocations or final IPO terms.
