Jefferies’ $112 Billion Jio Listing Forecast Is Outdated—but Reliance Has Begun an IPO Process

Jefferies’ 2025 Jio listing forecast did not happen on schedule, but Reliance has now advanced a formal 2026 IPO process. The valuation is still unconfirmed.

Jefferies’ July 2024 forecast that Jio could list at an approximately $112 billion valuation as early as 2025 did not materialize on that timetable. But the prediction has since been overtaken by a formal process: Jio Platforms’ board approved a draft red herring prospectus on June 19, 2026, for a proposed initial public offering of up to 270 million new equity shares.

The final issue price, proceeds, valuation and listing date remain unconfirmed in the cited documents. The $112 billion figure is therefore a historical Jefferies estimate—not Jio’s confirmed IPO valuation.

What Jefferies predicted in 2024

In a July 2024 research view, Jefferies said Reliance Industries could list or spin off Jio Platforms as early as 2025. It estimated that Jio could command a public-market valuation of approximately $112 billion and said the transaction could create an estimated 7% to 15% upside for Reliance’s shares under its assumptions.

That was analyst commentary, not a Reliance announcement or binding timetable. Jefferies preferred a spinoff because a separately listed Jio could reduce the holding-company discount often applied to valuable subsidiaries held inside a conglomerate. Its illustrative Reliance fair value was ₹3,580 in a spinoff scenario and ₹3,365 in an IPO scenario, with the latter assuming a 20% holding-company discount. These were valuation scenarios, not guaranteed prices.

What has changed: Jio now has a formal IPO proposal

Jio Platforms’ board approved a DRHP on June 19, 2026, for a proposed IPO of up to 270 million new equity shares. The shares have a face value of ₹10 each. The proposed issue is subject to required regulatory approvals.

However, the DRHP material cited here does not establish that the IPO has been approved for launch or that shares will definitely list. These are separate stages:

  1. Board approval of the DRHP
  2. Filing and regulatory review
  3. Approval to proceed
  4. Publication of the final prospectus and price band
  5. IPO subscription and allotment
  6. Stock-exchange listing

Only the first stage is clearly established by the cited announcement. The issue price, total proceeds, final issue size and listing date remained unspecified in the cited documents. The DRHP also warns that there is no assurance of an active or sustained market after listing or of the eventual trading price.

Why $112 billion should not be treated as the IPO valuation

The $112 billion number was a Jefferies estimate. It was not an issue price, transaction price or confirmed market capitalization.

Rank #2

Historical comparisons help explain the scale of the estimate but are not directly interchangeable. Jio Platforms raised approximately $20 billion from strategic and financial investors in 2020 at an implied pre-money valuation of about $58 billion, according to the 2024 report. Bank of America had previously assigned Jio a valuation above $100 billion. Airtel, Jio’s principal listed Indian telecom rival, was described in that report as having a market capitalization of nearly $98 billion.

Those figures reflect different dates, currencies, business perimeters, capital structures and valuation methods. They cannot be combined into a reliable current IPO price. Nor should the $112 billion estimate be mechanically adjusted for subscriber growth, inflation or later market conditions.

What exactly is Jio Platforms?

Jio Platforms Limited is the holding company for Jio’s broader digital and technology businesses. It should not be confused with Reliance Jio Infocomm Limited, the operating telecom subsidiary.

Jio’s activities extend beyond mobile connectivity to 5G, home broadband, enterprise services, digital applications and other technology businesses. Jio reported 524.4 million customers in India as of March 31, 2026, including 268.5 million 5G customers. Those are operating metrics, not proof of a particular valuation.

Reliance’s cited 2026 material reported Jio Platforms revenue of ₹146,885 crore, or approximately $15.5 billion. Investors should verify the precise reporting period and business perimeter in the company’s filings before comparing that figure with other companies.

IPO versus spinoff: the key difference

Issue IPO Spinoff
Main purpose Raise capital and establish a public price Distribute ownership and unlock value
Reliance’s control Usually retained, depending on dilution Could fall materially depending on the structure
Reliance shareholders Usually retain indirect exposure unless shares are separately distributed May receive direct Jio shares
Pricing Determined through book building Market price develops after listing
Main risks Dilution, pricing risk and post-listing volatility Complex restructuring and possible loss of control

The 2026 proposal is described as a fresh issue by Jio Platforms. That means Jio would issue new shares and raise capital at the subsidiary level. It is structurally different from a proportionate demerger in which existing Reliance shareholders receive Jio shares directly.

What the proposed IPO could mean for Reliance shareholders

A standalone listing could make Jio’s performance easier to analyze and establish a visible market value for the business. It could also provide Jio with capital for network investment, broadband expansion, acquisitions or digital-services growth. A public valuation might make the value of Reliance’s remaining stake more transparent and could potentially reduce some conglomerate discount.

Those benefits are not guaranteed. A fresh issue can dilute Reliance’s percentage ownership, although the value of its remaining stake could still rise if the market values Jio highly. The exact effect depends on the final issue size, post-issue share count, Reliance’s ownership and the IPO valuation.

Reliance shareholders should not assume they will automatically receive Jio shares, a cash distribution or one-for-one exposure. Under the proposed structure identified in the 2026 announcement, investors would buy newly issued Jio Platforms shares in the IPO, while existing Reliance shareholders would continue to own their Reliance shares unless a separate scheme is announced.

A simple ownership map is:

  • Reliance Industries: promoter and existing owner of Jio Platforms.
  • Jio Platforms: proposed IPO issuer.
  • New public investors: buyers of shares issued in the IPO.
  • Reliance shareholders: indirect exposure through Reliance unless a separate distribution is announced.

Why Reliance might choose an IPO

An IPO can raise fresh capital, establish a market price through book building, preserve Reliance’s control and give institutional and retail investors direct exposure to Jio. It can also create publicly traded shares that may be used as acquisition or strategic-investment currency.

A spinoff would more directly transfer Jio ownership to existing Reliance shareholders and could address the holding-company discount more directly. The central trade-off is therefore capital raising and retained control versus direct value transfer to existing shareholders.

The earlier separation and listing of Jio Financial Services may provide context for Reliance’s willingness to separate major businesses, but it is not a template for the Jio Platforms transaction. Financial services and telecom/digital technology have different regulations, capital requirements, investor bases and transaction mechanics.

What prospective IPO investors still need to know

The final prospectus and price band matter more than the old headline valuation. Investors should look for:

  • Whether the final offering contains only a fresh issue or also an offer for sale.
  • The final number of shares and the percentage of Jio Platforms being offered.
  • Reliance’s post-IPO ownership and voting control.
  • The price band, lot size and expected proceeds.
  • Use of proceeds and planned capital expenditure.
  • Any retail, employee or shareholder reservation.
  • Regulatory approvals and the proposed listing date.
  • Financial statements, risks and the precise businesses included in Jio Platforms.

Jio’s scale does not eliminate investment risk. Future performance will depend on monetization, tariffs, network and spectrum investment, broadband adoption, digital-services execution, competition and capital intensity. A heavily subscribed IPO can still trade below its offer price after listing.

How to read the headline correctly

The most accurate interpretation is:

Jefferies was early in identifying the possibility of a Jio listing, but its “as early as 2025” timetable passed. Reliance has since advanced a formal Jio Platforms IPO process in 2026, while the eventual valuation remains open.

The $112 billion figure remains useful as historical context for understanding the scale Jefferies assigned to Jio. It should not be used as a purchase signal or as evidence that the IPO will be priced near that level.
