Is Getty Images Going Private? What Its SEC Filings Actually Say

Getty Images’ SEC filings disclose delisting proceedings and financing discussions, but do not confirm a take-private agreement or the claimed $533 million investment.

Getty Images’ SEC filings do not confirm a signed agreement to take the company private or a commitment of up to $533 million from the Getty family and Koch Equity. The filings instead describe delisting proceedings, interest payments made within their grace periods, and ongoing discussions with key debt and equity holders about financing and balance-sheet options.

Is Getty Images going private?

The available SEC filings do not establish that Getty Images has agreed to go private. Getty said it was evaluating strategic financing alternatives and balance-sheet management initiatives, with an “active and progressing dialogue with its key debt and equity holders.” That is not confirmation of a signed take-private agreement, a particular investor commitment, or a plan for the Getty family and Koch Equity to own 100% of the company.

The September 30, 2026 filing does not provide an agreement date, investor entities, deal structure, treatment of shareholders or creditors, closing conditions, or timetable. Until a company announcement or filed transaction document sets out those terms, the claimed $533 million and full-ownership outcome should be treated as unverified. What Getty disclosed about financing and its debt

Discussions, not a disclosed agreement

Getty said it and its advisors were evaluating financing alternatives and balance-sheet management initiatives, including dialogue with key debt and equity holders. The filing does not say those discussions had produced a signed restructuring agreement or that any specific investor had committed funds.

Interest paid within the grace periods

Getty reported that it paid the interest due September 1, 2026, on its 9.750% Senior Notes due 2027 and 14.000% Senior Notes due 2028 within the applicable 30-day grace periods. Getty said no Event of Default occurred under the indentures governing those notes. This filing-specific disclosure does not establish that the company’s broader financial position is resolved.

Why Getty shares left the NYSE

Getty’s October 1, 2026 Form 8-K reported that the NYSE had notified the company it would begin delisting proceedings because of “abnormally low selling price” levels and had immediately suspended trading. Getty said it did not intend to appeal and expected the common stock to be delisted.

The filing said Getty common stock began trading on the OTC Pink Limited Market on September 30, 2026, under ticker GETY. Getty cautioned that it could not assure continued OTC trading, public quotes, or enough trading volume to support an efficient market. The company also stated that the transition to the over-the-counter market would not affect its business operations; that is Getty’s statement about operations, not a guarantee about the stock’s liquidity or value. What the filings mean for GETY shareholders

  • Do not treat the reported $533 million or 100% ownership as established deal terms. The cited filings do not confirm either claim.
  • NYSE delisting and OTC trading are separate from a completed take-private. The filings document the delisting process and OTC trading, not a completed acquisition or cancellation of public shares.
  • Trading conditions may be uncertain. Getty did not assure continued OTC trading, quote availability, or sufficient volume.
  • Any later definitive deal needs to be assessed on its own terms. Key details would include the actual investors, whether any amount is committed or merely available up to a cap, how shares and creditors are treated, required approvals, and closing conditions and timing.

What else changed in Getty’s filings

Getty’s October 1 filing said the 2026 annual meeting, previously scheduled for October 8, had been postponed. The filing did not announce a replacement meeting date or link the postponement to a confirmed take-private transaction.
