It is generally filed once per quarter. Filing the return and depositing the taxes are separate obligations.
What does Form 941 report?
Form 941 reports payroll-related taxes for a quarter. The Internal Revenue Service (IRS) describes it as the Employer’s Quarterly Federal Tax Return. Employers use it to report wages and tips, federal income tax withheld from employees, and the employee and employer shares of Social Security and Medicare taxes. It also includes Additional Medicare Tax withheld and certain adjustments and credits. See the IRS About Form 941 page.
The IRS instructions explain that federal law requires employers to withhold certain taxes from employees’ pay. Form 941 is where an employer reports those amounts and the related payroll-tax liability for the quarter.
Who generally has to file Form 941?
Employers generally file Form 941 if they pay wages subject to federal income-tax withholding or Social Security and Medicare taxes. After filing an initial return, employers generally must continue filing for each quarter, even if they have no wages or taxes to report, unless an exception applies or they file a final return.

When there was no payroll
A quarter with no payroll does not automatically end the filing obligation. Seasonal employers may skip a quarter with no wages and no tax liability when they follow the IRS instructions. Other employers that have already filed generally continue submitting quarterly returns until an exception applies or they file a final return.
When is Form 941 due?
The standard deadline is the last day of the month following the end of the quarter. If that date falls on a Saturday, Sunday, or legal holiday in the District of Columbia, the filing deadline moves to the next business day.

Employers that deposited all taxes for the quarter in full and on time generally may file by the 10th day of the second month after the quarter ends. Check the IRS calendar for the applicable year because weekends and holidays can change the actual deadline. The IRS provides details in its Instructions for Form 941.
How do Form 941 filings differ from tax deposits?
Form 941 is a quarterly return; depositing payroll taxes is a separate requirement. Employers generally must make required federal tax deposits electronically. The deposit schedule is based on the employer’s tax liability in the IRS lookback period, not on how often it runs payroll.

Monthly and semiweekly schedules
Under the IRS’s 2026 Form 941 instructions, employers whose taxes in the lookback period were $50,000 or less generally follow the monthly deposit schedule. Those with more than $50,000 generally follow the semiweekly schedule. For Form 941 filers, the lookback period is generally the four-quarter period from July 1 of the second preceding calendar year through June 30 of the preceding calendar year.
A $100,000 tax liability on any day triggers next-business-day deposit rules and changes the employer’s schedule for at least the rest of that year and the following year. These thresholds and rules are stated in the IRS’s 2026 Form 941 instructions.

Making deposits and paying with the return
The IRS says required federal tax deposits must be made by electronic funds transfer. Options include EFTPS, IRS Direct Pay, an IRS business tax account, or arranging for a tax professional, financial institution, payroll service, or another third party to make the electronic payment. The IRS says EFTPS is free; a same-day wire through a financial institution may carry a fee and requires advance arrangements. See IRS Topic No. 757.
Some employers may pay the tax with a timely return instead of making deposits if the tax after adjustments and nonrefundable credits is below $2,500 for the current or prior quarter and no $100,000 next-day deposit obligation arose. This limited payment option is not an exemption from filing Form 941.

Is Form 941 the right employment-tax form?
Not every employer uses Form 941. The right return depends on the type of employment or payment and, in some cases, whether the IRS has assigned the employer a different filing requirement.

Form 944 is not simply a self-selected annual substitute for Form 941. Employers should follow the IRS’s notice or eligibility process. The IRS explains distinctions among these returns in its employment-tax forms FAQ.
How do you correct a Form 941?
If you discover an error on a previously filed Form 941, use Form 941-X, Adjusted Employer’s QUARTERLY Federal Tax Return or Claim for Refund. File Form 941-X separately; the IRS permits electronic filing. Do not file a duplicate paper Form 941 after submitting the original return electronically.
