iRobot emerged from Chapter 11 on January 23, 2026, as a privately held company wholly owned by Shenzhen-based robotics manufacturer Picea. The Roomba brand and business continued, but iRobot’s former public shareholders lost their equity and the company is no longer independent in ownership or control.
What happened to iRobot?
iRobot filed for prepackaged Chapter 11 bankruptcy protection in the U.S. Bankruptcy Court for the District of Delaware on December 14, 2025. The court confirmed its restructuring plan on January 22, 2026; the plan took effect the next day. Under it, Picea acquired 100% of iRobot’s equity, and existing equity interests were cancelled. The court filing and plan details describe a reorganization, not a liquidation. iRobot continued as a business rather than disappearing or immediately ending Roomba sales.
The transaction ended iRobot’s status as an independently owned public company. It did not leave former shareholders with a smaller stake: their old equity was cancelled and extinguished. The reorganized company is privately held by Picea.
How did iRobot’s manufacturer become its owner?
Picea was already both iRobot’s primary contract manufacturer and, by late 2025, the holder of its secured debt. On November 24, 2025, Picea acquired the rights and interests of iRobot’s existing lenders from Carlyle-affiliated entities. An iRobot filing said approximately $190.7 million in credit-agreement principal and interest was outstanding at that point. It also reported $161.5 million owed to Picea for manufacturing services, including $90.9 million past due. The November 24 filing sets out those liabilities.

iRobot and Picea reached a restructuring support agreement on December 14 and filed for Chapter 11 that day. The creditor and manufacturer relationship thus became an ownership relationship through a court-supervised restructuring. Picea already had knowledge of iRobot’s products and manufacturing needs, a position that could make continued operations more practicable than a shutdown or forced asset sale. The official materials describe the restructuring and equity transfer; they do not establish a conventional cash purchase price that can be reported as a sale figure.
Why did iRobot need a restructuring?
The filings document severe financial pressure, not a single, simple cause. In addition to the debt and overdue manufacturing bills, iRobot disclosed that its 2024 auditor’s report contained an explanatory paragraph expressing substantial doubt about the company’s ability to continue as a going concern. The company had also received repeated covenant waivers during 2025, according to its November filing.
Those facts explain why a restructuring was pursued, but they do not by themselves prove that one competitor, a single strategic decision, or any one event caused the bankruptcy. The transaction’s clearest documented context is the company’s debt burden and its dependence on Picea as both supplier and secured lender.
Is iRobot still an American company?
Ownership and operating base are different questions. iRobot is no longer independently or U.S.-owned: it is wholly owned by Picea, a Shenzhen-based Chinese manufacturer. At the same time, iRobot said it would remain headquartered in Bedford, Massachusetts, with engineering, product development, marketing, and other corporate functions anchored in the United States. The company’s January 23 announcement describes that planned operating footprint.

The precise description is that iRobot remains U.S.-based operationally, but is no longer independent in ownership or control. A U.S. headquarters does not change who owns the company.
Who is Picea?
Picea Robotics, identified in the SEC filing as formerly Shenzhen 3irobotix Co., Ltd., is a robotic-vacuum manufacturer and service provider. iRobot described Picea as having research and manufacturing facilities in China and Vietnam, more than 7,000 employees globally, more than 1,300 intellectual-property rights, and more than 20 million robotic vacuums manufactured and sold. Those scale figures come from iRobot’s announcement and should be understood as company-provided information.
What changes for Roomba owners?
The ownership change itself did not announce that existing Roombas would stop working. After emerging from Chapter 11, iRobot continued to offer products and maintain official shopping, support, parts, and trade-in channels. Its U.S. shop, product catalog, and support site are practical starting points for current availability and service information.
That continuity is not a guarantee of indefinite support for every model. The transaction does not settle how long older robots will receive app, cloud, software, or parts support, or whether future product priorities will change. Warranty coverage depends on the applicable terms; check the current terms or contact official customer care rather than assuming either that all warranties ended or that every product will receive identical treatment.

- Keep your receipt, proof of purchase, and robot serial number.
- Before buying an older or discontinued model, check current availability of its filters, bags, brushes, batteries, and dock-specific parts.
- For a new purchase, compare the model’s support terms and consumables as well as its upfront price.
- Check official iRobot support for model-specific app, account, troubleshooting, and warranty information rather than relying on social-media claims.
What does the ownership change mean for customer privacy?
iRobot announced a separate U.S. subsidiary, iRobot Safe Corporation, intended to oversee protection of U.S. and other global consumer data and connected devices. The announced structure includes an independent board composed of U.S. citizens and a U.S.-based data-security officer with data-protection authority. These are company-described governance measures, not an independent certification that data is inaccessible to the parent, cannot be transferred, or is insulated from every legal demand.
The ownership announcement alone does not establish that customer maps or other Roomba data were transferred to China, nor does it prove that such data is fully insulated. For a purchase or privacy decision, review the current official iRobot site for privacy terms and account controls, including what data a particular model collects, how long it is retained, how cloud features work, and how to manage or delete an account.
What happens to the Roomba brand?
Roomba survived the restructuring. iRobot’s U.S. product pages continued to list vacuum and vacuum-mop lines, including 105, 205, Plus, Max, and Combo families. Keeping the brand in market, however, does not tell customers how Picea will run it over time.
Picea could use its manufacturing experience to change costs or production, bring technologies together, adjust the product range, or accelerate releases. It could also preserve iRobot’s U.S. engineering identity and existing software practices. These are possible strategic directions, not outcomes confirmed by the transaction announcement. The key questions are how product development, support, data governance, and platform decisions evolve under the new owner.

What to consider before buying a Roomba now
The bankruptcy is relevant to a buying decision, but it is not proof that current products are unsafe or unsupported. Assess the specific model and terms rather than relying on the brand’s former independence as a proxy for product quality or service.
