Net 30 usually means the amount owed is due within 30 days, but it does not by itself say when the count starts. The invoice or contract should identify the triggering event—such as the invoice date, receipt, approval, or acceptance—and any rules for weekends, holidays, discounts, interest, or late charges. Federal payment rules offer useful examples, but they do not define the terms of every private invoice.
What Net 30 means—and what it leaves open
“Net” refers to the amount payable after any applicable discounts or adjustments; “Net 30” ordinarily gives the customer a 30-day period to pay that amount. The phrase alone does not settle whether those days run from the invoice date, the date the customer receives it, approval, acceptance of goods or services, or another event. The agreement’s wording controls the parties’ obligation.

Federal examples show why the trigger matters, but apply only in their specified settings. The U.S. Treasury’s Invoice Processing Platform (IPP) describes its federal vendor Net 30 period as running from whichever is later: the end of the service period or receipt of goods, and the invoice log date. The IRS says that, when a contract does not specify a due date, its invoice payment date is 30 days from the later of receipt of a proper invoice or acceptance of goods and services. How to identify the due date on your invoice
Read the payment clause and invoice together. Look for the event that starts the clock, whether the invoice must be complete or approved, and the convention used to count days. If the contract gives a specific calendar date, do not substitute a generic interpretation of Net 30.

- Trigger: Is the period measured from invoice date, receipt, approval, acceptance, or another event?
- Invoice status: Must the invoice be complete or “proper” before the period begins? Does approval or acceptance affect the start?
- Day count: Does the agreement say calendar days or business days?
- Nonbusiness days: Does a weekend or holiday move the deadline, and if so, to which day?
- Other terms: Are early-payment discounts, interest, or late charges stated?
For covered federal payments, Treasury says the payment period begins when the agency receives a proper invoice; a deficient invoice is returned for correction, and the period starts when the corrected proper invoice is received. That federal process is not automatically the rule for private businesses. Treasury’s Prompt Payment guidance also explains that a federal due date may be determined by the contract, accepted discount terms, accelerated-payment conditions, or a default 30-day period after a proper invoice. In that federal context, days are calendar days and a due date falling on a weekend or federal holiday moves to the next business day.
Example: why the trigger changes the result
Suppose a vendor finishes a service period on June 10, submits an invoice logged by the customer on June 12, and the contract says “Net 30 from invoice date.” That wording points to a different starting event than a term that runs from receipt or acceptance. Under the Treasury IPP’s federal vendor guidance, its Net 30 period instead uses the later of the end of the service period or receipt of goods and the invoice log date. Do not apply that federal example to a private agreement unless the contract adopts that rule.

When the wording is unclear, ask the other party to confirm in writing both the trigger and the resulting due date. That creates a shared reference for accounts payable and reduces disputes about when a payment became late.

Are late fees or interest automatic?
No general rule established here makes a late fee automatic for every private invoice. Before adding a charge, check that the contract or invoice terms authorize it and verify the law governing the particular transaction and location. The reviewed sources do not establish a jurisdiction-independent rule for private business-to-business invoices.

Federal prompt-payment interest penalties concern covered payments by federal agencies, not what a private seller may charge a business customer. The Bureau of the Fiscal Service says, in the federal-vendor context, “The Prompt Payment Act ensures we pay vendors in a timely manner—we must pay late interest penalties if we pay vendors after the payment due date.” See the Bureau’s Prompt Payment information.
Consumer-credit rules are not a blanket answer for commercial invoices either. The FTC’s Credit Practices Rule covers specified consumer-credit transactions and describes limits on certain late charges within that scope; it should not be treated as authority for every business-to-business invoice.

What to do if the invoice is overdue or disputed
- Check the controlling documents. Compare the invoice with the signed contract, purchase order, and any written changes to payment terms.
- Confirm the trigger and calculation. Identify the agreed starting event, count the stated type of days, and apply any expressly agreed weekend or holiday rule.
- Check invoice delivery and completeness. Confirm when the invoice was sent and received, whether the customer says information is missing, and whether approval or acceptance is required under the agreement.
- Send a written follow-up. State the invoice number, amount, contractual due date, and the records supporting your calculation; ask for a specific payment date or an explanation of any dispute.
- Do not add an unsupported charge. Apply interest or late fees only if the terms and governing law support them. If a material amount is disputed, get advice based on the transaction and jurisdiction.
