Intel agreed on April 14, 2025, to sell a 51% controlling stake in Altera to Silver Lake at an implied company valuation of $8.75 billion. The transaction closed on September 12, 2025: Silver Lake now controls Altera, while Intel retains 49%. Raghib Hussain became Altera’s CEO on May 5, 2025, succeeding Sandra Rivera.

What happened to Altera?

Altera is Intel’s programmable-chip business, best known for field-programmable gate arrays (FPGAs). These chips can be configured or reconfigured after manufacturing and are used in data centers, communications, industrial automation, aerospace and defense, robotics, edge AI, and other specialized applications.

Intel announced the transaction with Silver Lake on April 14, 2025. The sale closed on September 12, 2025, and Altera subsequently described itself as an independent, pure-play FPGA company.

  • Silver Lake: 51% ownership and control
  • Intel: 49% retained ownership
  • Implied Altera valuation at announcement: $8.75 billion
  • Closing date: September 12, 2025
  • Altera CEO: Raghib Hussain, effective May 5, 2025

The deal’s value is more complicated than $8.75 billion

The $8.75 billion figure was the implied valuation of the whole Altera business. It was not the amount Intel received for selling 51%.

Intel’s April 2025 filing said the transaction was expected to generate approximately $4.40 billion in net cash proceeds, subject to adjustments. Later disclosures reported approximately $4.3 billion in net purchase consideration, $4.8 billion in cash proceeds received during the third quarter of 2025, and an additional $500 million deferred until no later than December 31, 2027. The final accounting also reflected cash transferred to Altera, separation and employee-related costs, and other transaction expenses. See Intel’s 2025 annual report for the detailed treatment.

That distinction matters for investors. It would be inaccurate to describe the transaction simply as Intel receiving 51% of $8.75 billion in cash.

Why did Intel sell control?

Intel presented the transaction as part of a broader effort to focus on its core businesses, reduce its expense structure, strengthen its balance sheet, and give Altera more operational independence. Management also emphasized that Intel would retain upside through its 49% stake and could continue working with Altera as a foundry and strategic supplier.

  • 4 Switches, 4 Buttons, 1 Reset Button, 4 LEDs, 4 RGB LEDs, 4 Pmod connectors, shield connector

The sale came as Intel was managing pressure across manufacturing, products, capital spending, and operating costs. Selling control provided capital and removed Altera from Intel’s fully consolidated operating structure, while allowing Intel to maintain a meaningful economic interest.

That was a compromise rather than a complete exit. Intel gave up day-to-day control but did not abandon its financial exposure to Altera’s future performance.

What changed after the closing?

Altera became operationally independent from Intel. Its business includes FPGA devices, software and development tools, intellectual property, development kits, and design resources. The company said independence should give it greater agility in product planning, customer engagement, and innovation.

Intel’s financial reporting indicates that Altera was deconsolidated after the transaction. Intel later reported a $5.6 billion pre-tax gain related to the sale in 2025.

Independence does not mean the companies are unrelated. Intel still owns 49%, and the transaction contemplated continuing relationships involving Intel’s U.S.-based foundry services and customer engagement. The exact commercial relationship will matter to customers and investors as both companies provide additional disclosures.

Who is Raghib Hussain?

Raghib Hussain became Altera’s CEO on May 5, 2025. He was previously president of Products and Technologies at Marvell and a co-founder and former chief operating officer of Cavium. His background also includes engineering roles at Cisco and Cadence and founding enterprise-security company VPNet.

His appointment brought an executive with experience in networking, semiconductor products, and scaling technology businesses into the newly independent company.

Hussain replaced Sandra Rivera, who had led Altera during its transition toward standalone operations. Intel thanked Rivera for her leadership, but its announcement did not provide a detailed explanation of her departure. It should not be characterized as a firing without additional evidence.

Why the valuation attracted attention

Intel acquired Altera in 2015 for approximately $16.7 billion, according to industry coverage. The 2025 transaction’s $8.75 billion implied valuation was therefore substantially lower than the earlier acquisition price.

  • Digilent Basys 3 Artix-7 FPGA Trainer Board: Recommended for Introductory Users

That comparison is important but not a precise measurement of Intel’s total investment return. The figures may not use identical accounting bases, the business operated in different market conditions, and Intel integrated Altera into its corporate structure before pursuing independence. A lower headline valuation alone does not establish that Intel lost exactly half of its original investment.

Altera’s financial condition also helps explain why the transaction drew scrutiny. CRN reported that Altera generated $1.54 billion in 2024 sales and an operating loss of $615 million. Because those figures come from secondary reporting, they should be treated as attributed figures rather than as an independently verified valuation metric.

What the transaction could mean for Intel investors

Potential benefits

  • Intel received substantial cash proceeds to support its balance sheet and capital-allocation priorities.
  • Altera’s results were no longer fully consolidated as an Intel operating business.
  • Intel retained 49% of any future economic upside if Altera improves.
  • Intel may continue benefiting from commercial relationships with Altera, including foundry activity.
  • The transaction supports Intel’s effort to simplify its portfolio and focus resources.

Potential risks

  • Intel surrendered control of a strategically relevant semiconductor business.
  • It retained financial exposure without controlling Altera’s daily operations.
  • Intel may lose some vertical integration or strategic influence in programmable chips.
  • The sale may signal that Altera did not fit Intel’s current capital-allocation priorities or was not meeting expectations inside the larger company.
  • Part of the transaction value was deferred rather than received immediately.

What it means for Altera customers and developers

Customers should not assume that the ownership change automatically guarantees unchanged products, pricing, supply, software support, or contracting terms. They should monitor specific disclosures and communications about:

  • Quartus software, tools, IP, and development-kit support
  • Foundry, packaging, and manufacturing relationships
  • Warranty, support, and procurement contacts
  • Export-control and defense-program continuity
  • Any changes to supplier qualification or contracting procedures

Altera’s new independence could allow more focused decision-making, but separation can also create duplicated infrastructure, transition costs, and organizational disruption. Silver Lake and Altera described the arrangement as a partnership intended to support growth in areas such as edge computing, robotics, and advanced semiconductor technology. The announcements did not establish specific future investment levels, hiring plans, or manufacturing expansions.

2015 Intel acquired Altera for approximately $16.7 billion.
October 3, 2023 Intel announced plans to operate its programmable-solutions group as a standalone business.
February 29, 2024 Intel announced Altera as a standalone FPGA company.
April 14, 2025 Intel announced the agreement to sell 51% of Altera to Silver Lake at an implied $8.75 billion valuation.
May 5, 2025 Raghib Hussain became Altera CEO, succeeding Sandra Rivera.
September 12, 2025 The 51% sale closed; Intel retained 49%.
September 15, 2025 Altera announced completion and its independent-company status.
2025 reporting year Intel reported a $5.6 billion pre-tax gain connected to the transaction.

Bottom line for investors

Intel monetized control of Altera without making a full exit. Silver Lake now controls a standalone FPGA company, while Intel retains a large minority stake, continuing commercial ties, and exposure to Altera’s future results. The headline valuation was $8.75 billion, but Intel’s actual proceeds and accounting outcome involved adjustments, deferred consideration, and a reported $5.6 billion pre-tax gain. The long-term test is whether Altera’s independence improves its competitiveness and whether Intel can use the proceeds and sharper portfolio focus to strengthen its own business.
