Infinite Reality announced on January 8, 2025, that it had closed a $3 billion funding round at a company-stated valuation of $12.25 billion. The company said the capital would support acquisitions and expansion across immersive technology, AI, commerce and media. But a later regulatory disclosure by investor Mindflair said the funds had not been received, creating a direct, unresolved conflict with the original announcement.

What Infinite Reality announced

On January 8, 2025, Infinite Reality said it had closed a $3 billion funding round from one private investor described as focused on global technology and real-estate investments. The company said the round valued it at $12.25 billion. These are the company’s announced figures, not a publicly verified cash balance or independently established market valuation. Infinite Reality’s announcement called the transaction a funding round; it did not publish a conventional term sheet or detailed structure. Later disclosures characterized it as equity financing.

Infinite Reality said it planned to use the money to expand its immersive-technology platform, make acquisitions, invest in infrastructure and talent, and advance initiatives including a South Florida campus. The announcement did not provide public bank or escrow confirmation, audited financial statements proving receipt, or the detailed share and financing terms that would let outsiders independently assess the transaction.

What Infinite Reality does

Infinite Reality is a private technology and entertainment company whose pitch spans several businesses rather than one standalone virtual-reality product. Its portfolio and stated strategy combine extended-reality and spatial-computing software, AI-powered digital experiences, virtual stores, digital twins, media production, creator and audience services, advertising, marketing, music and other consumer experiences.

Earlier holdings included the iR Engine, formerly Ethereal Engine; Landvault, later known as iR Enterprise; Drone Racing League; Thunder Studios; TalentX; and Fearless Media. The breadth is central to the company’s platform thesis: it wants to connect tools for building digital environments with commerce, content and audiences. It also makes it important to distinguish a collection of acquisitions from a proven, integrated business.

How the portfolio strategy took shape

Landvault and digital twins

In July 2024, Infinite Reality announced a $350 million investment and Landvault acquisition in a transaction it valued at $450 million. Landvault focused on immersive environments and digital twins for businesses and government organizations. The company said this earlier transaction brought its valuation to $5.1 billion. The announcement provides transaction context, but a company-stated valuation is not the same as cash available to the company or a public-market price.

Obsess and virtual shopping

On January 23, 2025, Infinite Reality announced a definitive agreement to acquire Obsess, a platform for 3D digital stores and branded shopping experiences. The company said Obsess would add immersive-retail and e-commerce capabilities; the cited announcement did not state a purchase price. An agreement announcement alone does not establish that the transaction closed. Obsess deal announcement.

Napster and consumer audiences

On March 25, 2025, Infinite Reality announced its acquisition of Napster for $207 million. It said it intended to combine the music service’s audience and artist relationships with immersive and AI tools. The strategic logic was to add a recognizable consumer brand and audience to a portfolio that also included enterprise and production assets. Napster acquisition announcement.

Touchcast and agentic AI

On April 16, 2025, Infinite Reality announced a $500 million agreement to acquire Touchcast, describing it as an agentic-AI company. The announced agreement said Touchcast technology would be integrated with products including Napster, iR Studio and iR Enterprise, and implied a $15.5 billion valuation for Infinite Reality. That figure was a transaction-linked valuation claim, not an independently verified market value; the cited announcement describes an agreement and does not independently establish closing. Touchcast deal announcement.

Who was behind the $3 billion round?

Infinite Reality initially left the investor unnamed. In April 2025, the company said Sterling Select represented the investor. In its statement, Infinite Reality associated Sterling Select with Sterling Equities and the Katz family. That does not establish that either Sterling Equities or the Katz family supplied the entire investment.

Forbes reported that Gregory Nero, Sterling Equities’ general counsel, denied that Sterling Equities was part of the $3 billion investor group and said the firm was not then contemplating an investment in Infinite Reality. The careful reading is that Infinite Reality identified Sterling Select as the investor’s representative, while Sterling Equities denied that it itself belonged to the investor group. The public statements do not fully identify the ultimate beneficial investor. Infinite Reality’s statement; Forbes’ account.

Why the funding claim is disputed

Mindflair, an investor with exposure to Infinite Reality through its portfolio, made a materially different statement in a 2026 regulatory update: it said the $3 billion announced in January 2025 had not been received. Mindflair also said it wrote down its investment by 30% in its accounts amid uncertainty about funding and liquidity. The disclosure said Infinite Reality had changed its name to Napster and shifted toward an AI-first model. Mindflair’s regulatory update.

This investor-side disclosure conflicts with Infinite Reality’s original claim that the round had closed. It is not, by itself, a court finding or an independent forensic audit. The public evidence described here therefore supports a precise conclusion: Infinite Reality announced a completed $3 billion round, but a later investor disclosure said the funds were never received. The available public material does not settle that contradiction.

How to read the valuation figures

When Figure What it represents
July 2024 $5.1 billion Company-stated valuation following an announced $350 million investment and Landvault transaction. Company announcement.
January 2025 $12.25 billion Company-stated valuation accompanying the announced $3 billion funding round. Receipt of the funds was later disputed by Mindflair. Company announcement.
April 2025 $15.5 billion Valuation implied by the announced $500 million Touchcast agreement; not a public-market price. Deal announcement.

These numbers are private-transaction benchmarks, not interchangeable measures of realized value. A valuation does not tell a reader how much cash a company has, what it earns, what shareholders could receive in a sale, or whether the price has been independently appraised. The financing and acquisition announcements do not supply enough audited revenue, profit, cash-flow or customer-concentration data to judge whether the figures were supported by operating performance.

What changed after the announcement

Infinite Reality’s strategy moved rapidly from immersive technology toward a broader combination of commerce, music and AI. It announced agreements or transactions involving Obsess, Napster and Touchcast, then on May 15, 2025, said Infinite Reality would become Napster Corporation and launch a Napster AI division. The deal announcements show the intended direction, not necessarily a completed integration of every asset. They also do not demonstrate that the $3 billion was used to fund those transactions. The central business question is whether the combined companies can turn a diverse set of software, media and audience assets into repeatable enterprise revenue and measurable consumer engagement. The public material cited above does not answer that question with operating results.

What the $3 billion headline does—and does not—establish

  • Established: Infinite Reality publicly announced a $3 billion funding round and a $12.25 billion valuation on January 8, 2025.
  • Not fully established: The identity of the ultimate investor and the detailed terms and mechanics of the financing.
  • Materially disputed: Whether the announced funds were received, given Mindflair’s later investor-side disclosure.
  • Not established by valuation claims: That Infinite Reality had $3 billion in cash, that its valuation represented a public-market price, or that announced acquisitions were all completed and integrated.
