ICE Acquired NYSE Euronext: What Happened to the Data Centers?

ICE’s acquisition of NYSE Euronext raised questions about Mahwah and Basildon. The evidence points to technology integration, not an announced wholesale data-center shutdown.

ICE’s acquisition of NYSE Euronext did not amount to an announced shutdown of NYSE’s major data centers. Mahwah, New Jersey, and Basildon, England, served distinct U.S. and European market roles, while ICE’s existing infrastructure was centered in Illinois with disaster recovery in Georgia. The clearest integration pressure was technology-platform rationalization—not an obvious choice between duplicate buildings. ICE later used Mahwah for disaster recovery for some of its own systems, while saying a separate migration project left NYSE systems and colocation networks unchanged.

What the 2012 deal meant

The headline described a merger, but legally the transaction was ICE’s acquisition of NYSE Euronext. On December 20, 2012, IntercontinentalExchange announced a stock-and-cash offer valued at about $8.2 billion, or $33.12 per NYSE Euronext share. The announcement anticipated a closing in the second half of 2013, subject to approvals. ICE’s announcement described a broader exchange operator, not simply a change in ownership of the New York Stock Exchange’s trading floor.

The acquisition closed on November 13, 2013. ICE’s filing later reported a transaction value of approximately $11.1 billion, reflecting the change in ICE’s share price between announcement and closing. ICE and NYSE Euronext became wholly owned subsidiaries of IntercontinentalExchange Group, Inc. The closing announcement also described the continuation of the NYSE brand and its 11 Wall Street identity. The transaction’s financial value and its physical infrastructure consequences are separate questions: a larger corporate group did not automatically require every exchange system to move into one building.

Why the data centers mattered

These were market-infrastructure facilities, not merely offices or generic server rooms. Exchange technology processes orders and produces market data; firms also need reliable network paths to reach those systems. A colocation service lets trading firms place equipment near exchange infrastructure, reducing the network distance over which orders and data travel. That can reduce transmission latency, but it does not eliminate software, exchange-processing, or other network delays, and it does not guarantee a trading advantage or profit.

The facilities also supported connectivity, carrier access, market-data distribution, resilience, and services for financial-market participants. As a result, evaluating a possible consolidation meant asking more than whether the parent company could save on real estate. Moving a matching engine or changing network paths could affect customers’ equipment, cross-connects, routing, and operational testing. A facility could retain its role even if some software platforms or back-office systems were consolidated.

NYSE Euronext’s two major facilities

Facility Role and historical specifications
Mahwah, New Jersey Served U.S. securities markets and housed U.S. exchange systems. Contemporary reporting described a site of about 400,000 square feet, designed for five 20,000-square-foot modules and approximately 28 MW of total power capacity. These are historical reported design figures, not verified current operating capacity.
Basildon, United Kingdom Consolidated matching engines for NYSE Euronext’s European markets. Contemporary reporting described a site of about 400,000 square feet, designed for up to seven 10,000-square-foot modules, each with approximately 3 MW of capacity. These are historical design figures, not verified current operating capacity.

The sites were not interchangeable simply because both were large data centers. Mahwah was associated with U.S. securities markets; Basildon served European markets and their regional connectivity needs. The contemporary facility overview also described colocation, third-party carrier access, and connections extending beyond the two principal centers.

How the footprints compared before the acquisition

ICE’s 2013 filing described its own platform as hosted primarily in Illinois, with a disaster-recovery site in Georgia. ICE also described a global network linking data hubs in New York, Atlanta, Chicago, London, and Singapore with exchange and clearing-house facilities. Its footprint therefore did not simply duplicate NYSE Euronext’s U.S. and European matching-engine locations.

Operator before acquisition Primary technology locations Secondary or network role
ICE Primarily Illinois Georgia disaster-recovery site; a global network connected additional hubs and exchange and clearing facilities.
NYSE Euronext Mahwah for U.S. securities markets; Basildon for European matching engines Colocation and connectivity ecosystem extending through third-party facilities and network relationships.

This is a 2012–2013 historical snapshot, not a current inventory of either company’s infrastructure. The locations and roles are described in ICE’s 2013 Form 10-K.

Would ICE close Mahwah or Basildon?

There was no public facility-by-facility closure plan in the 2012 announcement coverage. The merger presentation did refer to “rationalization of technology platforms,” alongside plans involving liquidity centers and connectivity. That language pointed to integration work, but did not establish that either major NYSE facility would close.

“Rationalization” can mean consolidating software, support systems, market-data platforms, or operational processes without moving every matching engine or customer. It can also mean revising disaster-recovery arrangements or network architecture. Those choices have different consequences from closing a building. The key considerations include each site’s market role, latency and geography, customer migration burden, resilience, capacity, carrier access, and regulatory and operational controls.

  • Reasons to integrate: reduced duplicated infrastructure and operating costs, more standardized systems, and the opportunity to strengthen disaster-recovery arrangements.
  • Reasons to preserve distinct sites: different market geographies and customer networks, the cost and disruption of customer moves, and the resilience risks of concentrating critical systems.

The contemporary Data Center Knowledge coverage framed the facilities as strategic liquidity centers and noted that ICE’s existing footprint differed from NYSE Euronext’s. That made immediate physical closure less evident than selective platform integration. It did not, however, prove that no systems would ever move.

What a move could mean for colocation customers

If an exchange system or matching engine moved, a trading firm might need to relocate servers or establish new network connections, then test order routing, market-data feeds, and disaster-recovery procedures. Changed routes can alter latency even if a customer’s equipment stays in the same building. Carriers and technology vendors could also be affected if cross-connects or access arrangements changed.

Conversely, a change in ownership or an internal platform consolidation does not by itself mean customer equipment must move. The building can remain open, a production system can stay in place, and a separate disaster-recovery system can move—all at the same time. Nor should a later statement that one project leaves colocation unchanged be read as a permanent promise about every future infrastructure decision.

What happened after the deal closed

ICE later planned to move disaster-recovery systems for its trading, clearing, and fixed-income platforms from Atlanta to its Mahwah facility, beginning in 2022. It also planned production and test infrastructure refreshes in Chicago and Basildon. In its data-center migration notice, ICE said the project did not plan changes to NYSE systems or to connectivity and colocation networks. It noted that customers of affected ICE platforms would continue to use existing connections, although application URLs, DNS entries, and IP addresses would change for those platforms.

That later project shows Mahwah serving a broader ICE disaster-recovery role as well as its NYSE-related role. It does not show that NYSE production systems moved to Chicago, that the NYSE colocation ecosystem was dismantled, or that every detail of Mahwah’s or Basildon’s current operations is established. The available historical and migration sources do not establish current occupancy, available power, or a complete 2026 facility inventory.
