How to Transfer From a U.S. Tech Role to an India Office Without Losing Benefits or Seniority

A U.S.-to-India transfer is not automatically benefits-neutral. Learn what to document about your employer, service date, equity, 401(k), insurance, taxes, payroll and India work authorization before accepting.

A U.S.-to-India transfer does not automatically preserve your benefits, vesting or seniority. Before you accept, get a written transfer letter that names the legal employer, states whether your employment continues or restarts, preserves a specific service date, and explains compensation, equity, retirement, insurance, tax support, work authorization and return rights.

Your office location alone does not answer these questions. The employing entity, contract, payroll and the dates you spend in each country determine much of the outcome. Treat the move as a negotiated employment change and a cross-border tax event, not as an ordinary internal relocation.

Start with the employment structure, not the destination

Ask for the proposed structure in writing before booking travel or resigning from the U.S. role. Employers commonly describe a move as an assignment, a local India hire, a secondment or another arrangement, but the label does not establish your rights. The documents should identify the company that employs you, the company that pays you and the contract that governs your work.

Compare the structures your employer actually offers

Question Temporary assignment or secondment India employment contract Another structure
Legal employer Which U.S. or India entity remains your employer during the assignment? Which India entity signs the contract? Obtain the exact entity name and registration details.
Service date Will the original U.S. hire date continue for vesting, leave, bonus, promotion and severance? Will the India contract recognize the U.S. date, and for which purposes? Require a definition of “continuous service” and the date HR will use.
Payroll Which entity withholds salary and reports it? Will all salary move to India payroll, or will any U.S. payroll continue? Get a country-by-country payroll calendar and currency schedule.
End of assignment Is there a guaranteed U.S. role, level or location when the assignment ends? What happens if the India contract ends or you want to return? Have termination, repatriation and return terms reviewed in writing.

Do not infer continuity from a manager’s email or from the fact that you keep the same title. Ask HR to attach the transfer letter to your employment records and to state which document controls if the letter conflicts with a local contract.

Lock down seniority and employment continuity

“Seniority” can mean different dates in different systems. A company may use one date for vacation accrual, another for equity vesting and another for severance. Your transfer letter should list each relevant date instead of promising a general continuation.

Dates and rights to specify

  • Original U.S. hire date and the date recognized as continuous service.
  • Role, job family, level, reporting line and location during the India assignment.
  • Eligibility for the next performance review, promotion cycle and merit increase.
  • Accrued and future leave, including how unused U.S. leave is paid, carried or forfeited.
  • Bonus-plan year, target percentage, proration rules and the entity responsible for payment.
  • Severance or notice calculations and the service date used for them.
  • What happens if the assignment ends early, your visa or authorization is delayed, or the India role is eliminated.
  • Whether the employer guarantees a return role, level, location or only “consideration” for a U.S. position.

What a reliable clause looks like

The document should say, in measurable terms, that a named service date will be used for each benefit or compensation plan. If a plan cannot recognize the date, the employer should state the alternative protection, such as a transition payment or an equivalent grant. “Benefits remain substantially similar” is too vague to protect a vesting date or a severance calculation.

Rebuild the compensation picture in both currencies

A higher or lower rupee salary cannot be evaluated without the complete compensation schedule. Request annual base pay, pay frequency, currency, exchange-rate method, allowances, bonus, equity and any one-time relocation amounts. Ask whether figures are gross or net of withholding and whether they are guaranteed or discretionary.

Bonus and deferred compensation

Confirm which entity pays a bonus earned before the move, how the target is prorated for the transfer year and what happens if you leave during the performance period. Deferred compensation may have separate payment dates and tax treatment. The transfer letter should identify the plan documents that govern already-earned amounts rather than treating them as a future promise.

RSUs, options and future grants

Obtain a grant-by-grant schedule showing vested shares, unvested shares, vesting dates, performance conditions and the entity issuing each award. Ask:

  • Does moving to India count as continued service for every outstanding grant?
  • Will vesting pause, accelerate, be replaced or continue under the original plan?
  • Who withholds tax when shares vest or options are exercised?
  • Will future grants be issued under a U.S. or India plan, and in what currency?
  • What happens to awards if the assignment ends or you return to the United States?

Do not assume that an unchanged job level preserves equity. Equity plans can define employment by legal entity, payroll or country, and the plan administrator—not a manager—must confirm the result.

Treat the 401(k) and retirement plans as a separate decision

There is no universal rule that lets an employee continue a U.S. 401(k) after moving to an India payroll. Ask the U.S. plan administrator for a written answer to each item below and keep the response with your transfer documents:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Whether you remain eligible to contribute after the India start date.
  • Whether employee contributions and employer matching continue, stop or require U.S. payroll.
  • How the move affects vesting of employer contributions.
  • Whether plan loans, hardship withdrawals, distributions and beneficiary changes remain available.
  • How you access the account from India and who handles address or identity verification.
  • What happens to the account if you become an employee only of the India entity.

If contributions stop, ask about the practical consequences: the lost match, the vesting schedule and the alternatives offered by the India plan. The plan administrator should also explain whether a distribution, rollover or transfer is permitted; do not move money based solely on informal tax advice.

Map health, life and disability coverage before U.S. coverage ends

Request a benefits summary for the exact India employing entity and start date. It should identify medical insurance for you and dependents, life insurance, disability coverage, accident benefits, parental benefits and any waiting periods. Ask when U.S. coverage terminates, whether there is overlap during the move and how claims already incurred are handled.

Check exclusions and geographic limits rather than relying on the word “international.” A U.S. plan may not cover routine care in India, while an India plan may have different limits for pre-existing conditions, dependents or evacuation. Get the insurer’s certificate, enrollment deadline and emergency contact before departure.

Resolve payroll and Social Security coverage by entity

U.S. Social Security and Medicare can apply to services performed abroad in specified arrangements. The IRS explains the rules for work abroad at its work-abroad guidance. That guidance does not promise that your employer will keep U.S. coverage.

Do not assume a U.S.–India totalization agreement

Totalization agreements can coordinate Social Security and prevent dual contributions when an agreement applies. The Social Security Administration’s published international-agreement list reviewed for this guide does not include India. If your employer says an agreement applies, ask it to identify the agreement and the coverage certificate or other documentation supporting that conclusion.

Ask about a foreign-affiliate election

For qualifying foreign affiliates, a U.S. employer may be able to extend U.S. Social Security coverage under an Internal Revenue Code section 3121(l) agreement. The SSA describes the arrangement for employees of foreign affiliates; the election uses Form 2032. This is an employer-specific arrangement, not an automatic result of working for the same corporate group. Payroll should confirm whether the employer made the election, which entity it covers and how employee and employer portions are handled.

Ask payroll to show, for each country, the withholding agency, contribution rate or basis, reporting form and first pay date. Keep copies of pay statements from the transition month because that is when duplicate or missing withholding is easiest to detect.

Track India residence and U.S. filing obligations by tax year

Tax residence is determined separately for each Indian tax year and depends on actual travel and personal facts. Record every entry and exit date, not just the date on your assignment letter. Your citizenship, prior India visits, employment entity, compensation timing and the location where services are performed can all affect the analysis.

India’s day-count framework

For AY 2026–27, the Income Tax Department’s overview describes a 182-day test or a 60-day stay in the year plus 365 days in the preceding four years, subject to statutory exceptions. Read the department’s Non-Resident Individual guidance for AY 2026–27 with your facts. The department’s non-resident FAQs explain that the classification is fact-dependent.

The Income Tax Department states that the Income Tax Act, 2025 applies to tax years beginning on or after 1 April 2026; earlier years continue under the Income-tax Act, 1961. A move that crosses 31 March can therefore involve two different statutory regimes. Have an adviser map your residence for each year rather than applying one label to the whole assignment.

U.S. returns and the treaty

U.S. citizens and resident aliens abroad should use IRS Publication 54, revised December 2025, as a general starting point for filing questions. The U.S.–India treaty is available as the Convention Between the United States of America and India. The treaty and IRS guidance provide a framework; they do not, by themselves, determine wage sourcing, equity compensation, retirement treatment, foreign tax credits or your filing position.

Ask who prepares or pays for U.S. and Indian returns, whether the employer offers tax equalization or tax protection, and how foreign-tax-credit data will be shared. Confirm whether the employer covers amended returns, audits and advice about equity vesting. A tax professional should review your citizenship, days in each country, employing entity, payroll, compensation timing and the relevant tax year.

Obtain India work authorization before setting a start date

Your employer’s mobility team should identify the authorization required for the India role, the sponsoring entity, filing sequence, government fees and the date you may legally begin work. Do not rely on a tourist or business-visitor assumption for an ongoing job.

The USCIS material at Chapter 8 — Documentation and Evidence discusses L-1 classification for employees moving to work in the United States. It does not establish the authorization route for a person moving from the United States to India. Ask the employer or qualified India immigration counsel to confirm the correct category and timeline, including whether dependents need separate permissions.

Use a written checklist in your negotiation

Send these questions to HR, payroll, the plan administrator and mobility counsel. Keep written answers, not just meeting notes.

  • Which company is the legal employer, and which entity runs payroll?
  • Is the move a temporary assignment, an India contract or another structure? What happens to the U.S. employment relationship?
  • What service date will be used for vesting, leave, bonus, promotion and severance?
  • How are unvested equity, future grants, annual bonus and deferred compensation treated?
  • Can the U.S. retirement plan accept contributions or provide matching while you work in India?
  • When do U.S. health, life and disability benefits end, and when do India benefits begin?
  • Who handles U.S. and Indian withholding, returns, foreign-tax-credit coordination and any tax equalization?
  • What Social Security and Medicare arrangement applies to the actual employing entity?
  • What India work authorization is required, who sponsors it and what approvals must precede the start date?
  • If the assignment ends or you return, is there a guaranteed role, level, location or service-date treatment?

Compare competing offers on the same axes

If the employer gives you more than one structure, build a side-by-side worksheet. A higher headline salary may be less valuable if it ends equity vesting, loses the service date or leaves you without tax support.

Comparison axis Evidence to request Why it changes the decision
Employer and service date Signed contract, entity name and recognized dates Determines continuity, vesting, leave, promotion and severance treatment.
Total compensation Base, currency, exchange method, bonus, allowances and equity schedule Reveals whether the package replaces or merely renames lost U.S. compensation.
Retirement and insurance Plan rules, eligibility dates, match, vesting and coverage certificates Shows what protections continue and what must be replaced locally.
Payroll and social insurance Withholding countries, reporting forms and any section 3121(l) documentation Helps prevent duplicate contributions or an unexpected coverage gap.
Tax support Names of covered returns, equalization method, deadlines and audit support Cross-border filing costs can materially reduce take-home pay.
Authorization and timing Sponsoring entity, application route and approval conditions You may not be allowed to start work until authorization is issued.
Return rights Role, level, location, term and service-date language Defines your downside if the assignment or India role ends.

Follow a controlled transition timeline

Before signing

  1. Obtain the transfer letter, local contract and benefits summaries.
  2. Have the retirement-plan administrator answer eligibility and vesting questions in writing.
  3. Give a tax adviser your proposed dates, travel history, citizenship and compensation schedule.
  4. Have mobility counsel confirm authorization and a lawful start date.
  5. Ask HR to correct any mismatch between the offer, plan documents and payroll instructions.

Before the first India paycheck

  1. Confirm the payroll entity, currency, withholding and effective date on the payslip or payroll setup notice.
  2. Enroll dependents in the India plans and verify the end date of U.S. coverage.
  3. Save equity statements, 401(k) statements, leave balances and the final U.S. payslip.
  4. Record your entry date and maintain a running India/U.S. travel log.

During the first tax year

  1. Reconcile each payslip with the written compensation schedule.
  2. Check that bonus, equity vesting, retirement deductions and benefits use the promised service date.
  3. Send payroll and equity records to your tax preparers before filing deadlines.
  4. Escalate discrepancies promptly; an incorrect first payroll can affect an entire tax year.

Common failure modes and how to recover

“Same company” but a different legal employer

Request the legal-entity names and a continuity clause. If HR will not recognize the U.S. service date, quantify the lost vesting, leave and severance and negotiate a specific replacement.

401(k) deductions stop without notice

Contact the plan administrator, not only local HR. Confirm whether the stop was required by plan rules, whether matching or vesting was lost and what permitted account action exists. Keep the response for your tax and financial records.

Equity continues to vest but withholding is unclear

Ask the equity administrator and both payroll teams which entity reports the vesting and which country withholds. Do not sell or transfer shares solely to solve a withholding issue without coordinated tax advice.

Unexpected dual social-insurance deductions

Compare the two pay statements and ask payroll to identify the legal basis for each deduction. Request documentation for any totalization or section 3121(l) arrangement. If no documented arrangement applies, obtain professional advice before seeking a refund or stopping deductions.

Travel days were not tracked

Reconstruct flights, passport stamps, immigration records and employer travel reports. Give the complete timeline to your tax adviser; a residence conclusion based on an estimated day count can be wrong.

Authorization is delayed

Do not begin India work until the employer confirms that you are authorized. Ask whether you can remain on U.S. duties, work remotely from another permitted location or move the start date without breaching either contract.

Decision rule

Accept the transfer only when you can explain, in writing, who employs you, which service date governs each benefit, what happens to equity and retirement savings, how payroll and social insurance work, which tax support is included, when you may legally work in India and what happens if you return to the United States. If any of those answers is “we will figure it out later,” the financial risk remains with you rather than the employer.
