How to Start a Business in the U.S.: Essential Steps and Key Considerations

Starting a U.S. business means more than registering a name. Learn how to test your offer, plan costs and funding, choose a structure, check local requirements, and set up records before launch.

To start a business in the United States, first test whether customers want what you plan to sell, then map out costs and funding. Next choose a structure and name, check the rules where you will operate, complete any required registration and tax setup, and prepare your records and day-to-day operations.

There is no single checklist that applies to every business. Requirements depend on your state and locality, business structure, and activity. This guide explains the planning sequence; it is general information, not legal or tax advice. Confirm current requirements with the relevant authorities before you open or take actions that trigger a filing or permit.

1. Research the market and define your offer

Before committing to major expenses, get specific about who your customers are, what need you will meet, what alternatives they already have, and why they might choose your offer. Decide how you will reach potential buyers and what price could support the business.

  • Customer: Identify the people or organizations most likely to buy, rather than treating everyone as a potential customer.
  • Offer: Describe what you will sell and what problem or need it addresses.
  • Alternatives and price: Look at competing products or services and consider what buyers pay for similar options.
  • Sales: Work out how customers will find, evaluate, and purchase from you.

Use this work to test assumptions before taking on large fixed costs. Market research can help reduce risk, but it cannot guarantee demand or business success. The SBA’s business-planning resources include data and trend resources to help you investigate a market.

2. Write a plan and estimate startup costs

A business plan organizes how you intend to structure, run, and grow the business. Its useful length depends on the business and on who needs to evaluate the plan; a detailed plan is not a universal legal requirement.

Plan format What it is suited to
Traditional plan A more detailed roadmap; commonly requested by lenders or investors.
Lean startup plan A concise outline of key elements that can be useful for a simpler business or a plan expected to evolve.

The SBA describes both formats and offers planning guidance, templates, and a startup-cost calculator in its plan-your-business resources. Choose a format that helps you make decisions and communicate with the people whose support you need.

Estimate one-time expenses, such as setup or equipment, separately from recurring expenses, such as rent, supplies, or payroll. Then estimate how much cash you may need before revenue covers costs and how you expect to fund that period. Do not assume sales will begin immediately or that an estimate is a guarantee of your actual costs.

3. Choose a business structure

Structure is an early decision because it affects tax treatment, liability, paperwork, ownership, fundraising options, and registration. The IRS describes sole proprietorships, partnerships, corporations, S corporations, and limited liability companies (LLCs); the right fit depends on your circumstances and applicable state law.   • A sole proprietorship is generally the simplest form, but simplicity alone does not make it the right choice for every owner.
  • A corporation may fit some businesses with higher risks or plans to raise capital, but it also comes with formalities and obligations to consider.
  • An LLC is one available structure, not a universal solution. Forming one does not automatically settle every liability, tax, or compliance question.

Compare the formation and ongoing paperwork, tax consequences, ownership and management needs, fundraising plans, and potential personal exposure. Changing structure later can involve additional work, so talk with a qualified attorney or accountant when the consequences are material.

4. Choose a name and decide where the business will operate

Your location can affect taxes, zoning, costs, permits, and where you must register. Decide whether you will operate from home, online, a rented space, or another location, and check the rules that apply to that setup. An online business can still be subject to location-based requirements.

Before spending heavily on branding, check whether the name is available with the appropriate authorities and whether you need to file an assumed name, often called a DBA (“doing business as”). Name and registration rules vary by jurisdiction. The SBA’s launch guidance connects location decisions with registration, taxes, permits, and costs.

5. Register the business and handle tax identifiers

Whether and where you must register depends on your structure, business name, and the places where you operate. LLCs, corporations, partnerships, and nonprofit corporations commonly register with states; local registration or a DBA filing may also apply in some cases. The SBA’s business launch guidance outlines the kinds of registration to check.

An Employer Identification Number (EIN) is not a universal prerequisite for every business. IRS guidance identifies situations in which one is required, including employing people and operating as a corporation or partnership. Check the IRS checklist for starting a business for the requirements that apply to your situation. State tax IDs and tax registrations depend on your location and activities, so verify them with the relevant state and local agencies.

6. Check licenses, permits, taxes, and insurance

There is no single general business license that covers every activity and location. A permit or license may depend on what you do, where you do it, and whether your activity is regulated. Some requirements are federal; others are set by state or local authorities. Identify the agencies responsible for your industry and location rather than relying on a generic list.

Tax obligations also vary with structure and location. Use the IRS startup checklist and the SBA’s launch resources to find the topics to check, then confirm specific obligations with the appropriate tax agencies or a qualified tax professional.

Insurance needs depend on risks, contracts, employees, property, and applicable law. Assess those factors and ask a qualified adviser or insurer what coverage may be appropriate; no one policy is required for every business.

7. Set up records, banking, and day-to-day operations

From the beginning, keep reliable records of income, expenses, invoices, receipts, and other information needed to support tax reporting. The IRS publication Starting a Business and Keeping Records (Publication 583) explains recordkeeping for business owners.

Choose a method that fits your transaction volume and reporting needs. That could be a paper ledger or a digital accounting system; a ledger by itself does not guarantee that your records meet tax requirements. Consider keeping business and personal finances separate where appropriate, and ask your bank about the documents it requires for the structure you chose.

Before opening, map the practical work: how customers will place orders or book services, how you will deliver, how you will handle payments and customer questions, and who is responsible for each task. Set reminders for tax, renewal, reporting, and license deadlines once you identify them.

8. Decide how to fund the launch

Possible sources include personal funds, investors, and small-business loans. Each has different implications for ownership, repayment, eligibility, timing, and financial risk; assess the trade-offs against your cash needs and ability to repay. Do not assume that financing will be approved or that a particular source is available on suitable terms.

USAGov’s guide to starting and funding a business says there are no federal grants for starting a business. Verify current programs and terms with official agencies and lenders, and be cautious of claims that present startup grants as broadly available cash.

9. Get help and keep requirements current

You do not have to navigate every decision alone. The SBA points business owners toward local SBA offices, Small Business Development Centers, Women’s Business Centers, and state or local government sources in its launch guidance. These can help you locate relevant support and official requirements.

Once you identify your obligations, put filing, tax, license, and renewal dates on a calendar. Requirements and programs can change, so check the responsible agency’s current guidance when making decisions or approaching a deadline.
