How to Read an Angel Oak Mortgage REIT Form S-3 Filing

An S-3 is a shelf framework, not proof of a live offer. Learn how to trace Angel Oak Mortgage REIT’s prospectus supplements, incorporated reports, exhibits, and filing status.

An Angel Oak Mortgage REIT Form S-3 is a registration framework, not proof that the company is selling securities now. To understand a particular offer, identify the exact filing, read the base prospectus with the applicable prospectus supplement, check later incorporated reports, and inspect the governing exhibits. The 2024 shelf and the 2025 senior-notes transaction below illustrate how that document stack works; neither establishes that the shelf is currently effective or that an offer is available today.

What an S-3 filing tells you—and what it does not

A shelf registration lets an issuer register securities that it may offer over time. Angel Oak Mortgage REIT’s June 27, 2024 Form S-3 described this framework and explained that later prospectus supplements would provide the terms of a particular offering. The registration statement is therefore the starting point for reading an offer, not an announcement that a sale is underway.

The distinction matters because a registration statement contains more than the prospectus, and the prospectus itself may not contain every detail. Angel Oak’s June 27, 2024 prospectus said: “This prospectus is only part of a registration statement on Form S-3 that we have filed with the SEC under the Securities Act and therefore omits some of the information contained in the registration statement.” Read the prospectus alongside the other relevant filings and exhibits rather than treating it as a complete stand-alone account.

How to read the documents in the right order

  1. Confirm the filing identity. On the filing’s cover page, record the issuer, form, filing date, registration number, and securities covered. Make sure the document concerns Angel Oak Mortgage REIT and the security you are researching.
  2. Read the base prospectus. It describes the general framework and the types of securities that may be offered. Angel Oak’s July 9, 2024 base prospectus covered common stock, preferred stock, warrants, and debt securities, including possible guarantees by its operating partnership. It stated a maximum aggregate offering price of $750,000,000. That is a figure in the dated 2024 prospectus—not evidence of remaining capacity or an active offer today.
  3. Find the deal-specific prospectus supplement. This is where to look for terms such as the security, amount, price or interest rate, maturity, relevant dates, distribution method, underwriters or agents, use of proceeds, and any guarantee. The supplement can add to, update, or supersede information in the base prospectus. Angel Oak’s 2024 base prospectus said it could not be used by itself to offer and sell securities.
  4. Check incorporated reports. Follow the prospectus’s incorporation-by-reference section to the named annual, quarterly, and current reports. Read them in date order and look for later filed reports that update or supersede earlier information. Check whether a relevant item was filed or merely furnished; do not assume the distinction is immaterial.
  5. Open the exhibits that govern the terms. When a summary leaves a material question unanswered, review the cited indenture, supplemental indenture, form of security, guarantee, underwriting agreement, or legal opinion. The actual contract text can contain controlling detail absent from a short summary.
  6. Check the shelf’s current status. Search SEC EDGAR for amendments, effectiveness information, supplements, and any termination-related filings. Confirm the status of the specific registration statement and whether a current supplement describes an offer. An issuer filing index can help locate documents, but a listing for another form does not establish the status of this S-3.

How the documents differ

Document Role What to check

Base prospectus Sets out general information and possible security types. Risk factors, offering framework, incorporated reports, and statements that a later supplement will supply specific terms.

Incorporated reports Supply company information by reference and can update earlier disclosures. Report dates, later updates, and whether materials were filed or furnished.
Exhibits Provide the text of contracts and other documents cited in summaries. Applicable indenture, security form, guarantee, underwriting agreement, and other governing documents.

What the May 2025 notes transaction illustrates

Angel Oak’s May 21, 2025 Form 8-K reported the closing of a $40 million offering of 9.750% senior notes due 2030, fully and unconditionally guaranteed by Angel Oak Mortgage Operating Partnership, LP. The filing described quarterly interest, maturity, redemption, ranking, and change-of-control provisions. These are terms of that completed transaction only; they are not current investment terms or evidence of another offer.

The 8-K also says its descriptions summarize the relevant documents and are qualified by the indenture, supplemental indenture, and note form. If a detail about the notes matters, read those exhibits instead of relying only on the summary. The related May 21, 2025 Form 8-A identifies the prospectus supplement as supplementing the July 9, 2024 base prospectus in the effective Form S-3, registration No. 333-280531, and points readers to the prospectus sections on the notes and debt securities.

How to verify whether an offer is available now

Use the company’s investor-relations filing index as a discovery aid, then verify the documents and dates on SEC EDGAR. The index displayed a Form S-3D dated October 5, 2026. That is a different form and, by itself, says nothing about whether the distinct 2024 Form S-3 remains effective or whether a security is currently being offered.

  • Match the filing to Angel Oak Mortgage REIT, the relevant form, registration number, and security.
  • Look for a current prospectus supplement that describes the specific transaction.
  • Check subsequent filings for amendments, updates, or termination information.
  • Use the underlying exhibits when the prospectus or current report summarizes rather than reproduces a governing term.
