A project team needs to define what the token does and who controls it, assess legal obligations in the places it will be offered or used, implement and review its behavior, then deploy, verify, disclose, and operate it responsibly. Treat legal review and security planning as release gates—not tasks to postpone until after the token goes live.
1. Define the token’s purpose, rights, and distribution
Start by writing down the problem the token is meant to solve and how it fits into the product or project. Specify who may hold or use it, what rights or utility it provides, and how it will reach holders. A token’s label—such as “utility” or “community”—does not determine its legal treatment.
Turn those decisions into a behavioral specification before implementation. Record the initial and maximum supply, if there is one; decimal precision; whether tokens may be minted or burned; who can exercise those powers; and whether transfers can be restricted or paused. Note any upgrade mechanism, privileged roles, or governance process that could change behavior after deployment.
- Rights and utility: Describe what holders can actually do or claim, including any conditions or limits.
- Supply and distribution: Set out issuance, allocation, timing, and any continuing mint or burn authority.
- Controls: Identify who can pause transfers, change settings, upgrade code, or otherwise affect holders.
- Users and integrations: Identify expected wallets, applications, custodians, and other contracts.
These are product and technical decisions as well as disclosure questions. For covered EU crypto-asset offers and admissions to trading, MiCA’s white-paper provisions include information about the offeror or issuer, project, token and rights, technology, risks, and consensus-mechanism environmental impacts. The exact obligations depend on the token and activity.

2. Assess jurisdictions and the offer model before freezing the design
Ask qualified counsel to assess the actual token, entities, people, and activities involved before a public offer or trading begins. The analysis can depend on where the project targets users, how tokens are sold or distributed, what rights they provide, and whether the project or its partners provide services such as custody or exchange. A deployed contract does not settle whether an offering, distribution, custody activity, exchange, or other service complies with applicable law.
In the United States, a 2025 SEC staff statement flags securities-offering and other regulatory issues. It is not a universal classification of tokens, nor a substitute for advice about a particular project. In the EU, Regulation (EU) 2023/1114, commonly known as MiCA, has distinct rules for covered crypto-asset activities; asset-referenced tokens and e-money tokens have separate provisions.
What MiCA says for a specific category of offers
For covered offers to the public or admissions to trading in the EU of crypto-assets other than asset-referenced tokens and e-money tokens, MiCA Article 4 sets conditions that include being a legal person and drawing up, notifying, and publishing a crypto-asset white paper, subject to the regulation’s scope and exemptions. Article 6 specifies disclosures, including information about the issuer or offeror, project, token and rights, technology, risks, and environmental impacts of the consensus mechanism.
That description is deliberately limited to the category and conditions stated; it is not a checklist for every token launch. Check the current consolidated text of MiCA and relevant competent-authority guidance with counsel. Do not assume an exemption or token classification based on a project’s preferred terminology.

3. Choose a network and token standard that fit the product
Select a network based on the users, wallets, and applications the project needs to work with, along with developer tooling, security assumptions, fees, and the team’s ability to support operations on that network. The reviewed technical guidance establishes Ethereum standards but does not provide a current numerical fee ranking across networks. Make the choice against the project’s requirements rather than an unsupported claim that one chain is universally cheaper or better.
For fungible tokens on Ethereum-compatible networks, ERC-20 is a widely used interface standard. It is not a universal standard for every blockchain or token product. Ethereum’s token standards guidance also covers ERC-721 and ERC-1155 for different token designs.

Confirm the selected standard against the intended wallets, marketplaces, and contracts. A token can follow an interface standard and still encounter integration problems if another contract is not designed to handle it.
4. Specify and implement the contract behavior
Convert the product specification into explicit contract rules before writing or adapting code. For an ERC-20 token, decide and document how supply is created, what decimal precision is used, and which functions or roles can change supply or restrict transfers. For any standard, define privileged permissions and what happens when those permissions are used.

- Make the initial supply and any supply limit explicit.
- Set out minting, burning, pausing, and transfer-restriction rules, including who may invoke them.
- Choose whether the contract is upgradeable and define the authority and process for upgrades.
- Define how administrative roles are assigned, transferred, or removed.
- Specify the events and state changes that users and integrations need to monitor.
Consider using established components rather than building common primitives from scratch. OpenZeppelin Contracts provides reusable Solidity contracts, including token standards and access-control components. Reuse does not make the project’s composition self-validating: test and review how the chosen components, custom logic, permissions, and deployment configuration work together.
Account for ERC-20 reception risk
One specific integration hazard is sending ERC-20 tokens to a contract that is not built to recognize or handle them; the tokens can be permanently lost. Ethereum.org reported that, as of June 20, 2024, at least $83,656,418 worth of ERC-20 tokens had been lost due to this reception issue. That is Ethereum.org’s figure for this issue at that cutoff date, not a current cumulative total or a measure of all token losses.
Review every contract that is expected to receive tokens, and test the intended transfer and recovery flows. Do not assume that a successful token transfer means the receiving application has credited, accounted for, or can return the assets.
5. Test, review, and prepare security operations
Test ordinary and edge-case behavior before production. Tests should cover supply invariants, permissions, transfer restrictions, administrative actions, integrations, and failure conditions. Rehearse the intended deployment and administration process in the chosen test environment, using the same roles and configuration approach planned for release.

Build a security review around the actual scope of the contract and its dependencies. Ethereum.org recommends access controls and independent review. OpenZeppelin’s mainnet guidance addresses audits and security, source verification, secure key management, and governance, and recommends beginning preparation well before release.
OpenZeppelin documentation puts the limit of an audit plainly: “Audits do not ensure the absence of bugs, but having several experienced security researchers go through your code certainly helps.” An audit is additional scrutiny, not a guarantee; testing and review cannot establish that a contract is bug-free.
Decide how the team will control privileged actions
Map each privileged function to the people and keys that can invoke it. Decide how signing authority is protected, how access changes when team members leave, and what approvals are required for sensitive actions. Document who can respond to an incident, what they can do, and how holders and integrations will be informed. The exact controls should fit the contract’s powers and the project’s operating model.

For an Ethereum deployment, the official deployment guide lists four practical requirements: compiled contract bytecode, ETH to pay gas, a deployment script or plugin, and access to an Ethereum node. The steps vary by framework, so follow the instructions for the chosen toolchain and network rather than assuming one universal command.

- Rehearse the release: Run the deployment process in the selected test environment and check that the resulting contract and permissions match the specification.
- Confirm production configuration: Verify the target network, deployer account, constructor or initialization values, and addresses or roles that will receive administrative authority.
- Deploy: Use the project’s deployment script or plugin with the required compiled bytecode, gas funds, and network access.
- Verify the deployed source where supported: Check that the published source and compiler settings correspond to the deployed contract.
- Record the release: Retain the contract address, network, deployment transaction details, source and compiler configuration, and the team’s permission assignments.
A successful transaction only confirms that the deployment was accepted on the network; it does not establish that the code behaves as intended or that the project’s other legal and operational requirements are satisfied.
7. Publish accurate information and operate the token
Keep public descriptions consistent with the deployed contract and the project’s actual rights, supply rules, privileged controls, and distribution plan. If the contract can be upgraded, paused, or used to mint more tokens, describe those capabilities clearly rather than presenting only the intended day-to-day behavior.
Where MiCA applies, its white-paper rules require information to be fair, clear, and not misleading and specify subject areas for disclosure. Disclosure duties and continuing obligations vary with the token type, offer structure, jurisdiction, and other activities; they should be assessed with counsel rather than inferred from a generic launch checklist.
After deployment, maintain the operational records and access controls established for release. Monitor the contract and integrations, track any changes to permissions or code, and keep user-facing information aligned with the token’s actual behavior. Treat an update to token controls, distribution, or services as a potential reason to reassess the project’s legal and security position.
