You can now buy SpaceX stock through a brokerage: SpaceX’s Class A shares began trading on Nasdaq and Nasdaq Texas under ticker SPCX on June 12, 2026, and the company announced that its IPO closed on June 15. That is public-market investing, not access to private shares. For companies that remain private, access is deal-specific: it may come through a company-arranged tender offer, a secondary sale from an existing shareholder, or a fund, and each route has its own eligibility, approval, cost, and liquidity constraints.
SpaceX is public; its IPO is over
SpaceX is no longer a private-company investment opportunity. Its June 15, 2026 closing announcement says its Class A stock began trading on the Nasdaq Global Select Market and Nasdaq Texas on June 12 under ticker SPCX. Investors seeking exposure now need access to a brokerage that can trade the stock in their jurisdiction. The market price can change, and the IPO price is not a current quote.
SpaceX reported that the completed IPO included 638,888,888 Class A shares and generated approximately $85.7 billion in gross proceeds. Those are historical offering figures, not a current valuation, share price, or indication of future performance. The announcement is from SpaceX Investor Relations, June 15, 2026.
Ways to invest in companies that are still private
Private-company shares are not continuously available like exchange-traded stock. A company, its shareholders, and any intermediaries determine whether a transaction exists, who may participate, and whether a transfer can be completed. A company name or logo on a marketplace is not proof that shares are for sale or that an order can be filled.

Nasdaq Private Market describes direct secondary transactions and company-specific funds, but says minimums vary. A marketplace listing does not guarantee inventory, issuer approval, or a completed trade. The platform also notes that secondary prices can differ from a company’s last financing price or 409A valuation; those figures are not necessarily prices at which you can buy or sell.
Eligibility: accreditation is common, but not access by itself
In the United States, many private placements use Regulation D, but the offering documents and applicable securities rules determine who can participate. Being accredited can be a requirement; it does not mean a deal is available, that an issuer will accept you, or that a platform account gives you a right to buy.

SEC guidance describes several individual accredited-investor pathways. Common financial tests include:
- Income above $200,000 individually, or above $300,000 with a spouse or spousal equivalent, in each of the prior two years, with a reasonable expectation of reaching the same income level in the current year.
- Net worth over $1 million, individually or jointly with a spouse or spousal equivalent, excluding the value of the primary residence, subject to the applicable rule’s details.
- Certain professional licenses recognized by the SEC’s rules.
These are U.S. qualification pathways, not a complete account of every eligibility rule. The precise test, verification requirements, and accepted investor categories depend on the offering and current SEC rules. Check the SEC’s current accredited-investor guidance and the actual offering documents before relying on a qualification.

Two common Regulation D routes illustrate why the offering matters. Rule 506(b) may permit sales to an unlimited number of accredited investors and up to 35 non-accredited investors in a 90-calendar-day period, subject to the rule’s conditions. Rule 506(c) permits general solicitation only when all purchasers are accredited and the issuer takes reasonable steps to verify that status. How to evaluate a private-market opportunity
Before committing money, establish what you would own, how the transaction works, and what could prevent you from exiting. Compare the offer with your own time horizon and ability to absorb a loss—not just with a company’s headline valuation.

- Identify the legal investment. Determine whether the purchase is direct company shares, a seller’s shares, or a fund interest. A fund interest is not the same as owning shares directly in each portfolio company.
- Confirm that a transaction is actually available. Ask whether the offer is open, whether there is a seller or fund allocation, whether you meet its eligibility criteria, and whether the issuer or transfer agent must approve the transfer.
- Understand the price basis. Ask how the offer price was established and whether it is an executable price. A last funding round, 409A valuation, or marketplace indication does not establish what you can sell for later.
- Read the documents for economics and rights. Check minimum investment, fees, ownership class, voting or control rights, information rights, dilution provisions, transfer limits, and any other terms that affect what you own and what it is worth to you.
- Map the exit before investing. Find out whether resale depends on another tender offer, company consent, a permitted resale exemption, or a fund redemption window. If no practical exit is available, be prepared to hold indefinitely.
- Size the risk conservatively. Private securities can be difficult to value and sell. Consider whether you could withstand losing some or all of the investment without needing the money on a particular schedule.
Why private shares can be difficult to value and sell
Private placements may provide less disclosure than registered public offerings, which can leave investors without enough information to judge whether an asking price is fair. A price from a recent financing or secondary indication can become stale and may not reflect an executable market price. Company policies and transfer approvals can also limit who may buy or sell.
The SEC Office of Investor Education and Assistance warns: “Unlike an investment purchased on a stock exchange, an investment in a private placement is highly illiquid.” A private security may be restricted, and resale exemptions can carry conditions or holding periods that depend on the circumstances. You may have difficulty finding a buyer or need to hold the investment indefinitely.

When a fund may make more sense
A fund can provide indirect exposure and, depending on its mandate and holdings, diversification across private assets. Registered funds may also offer protections associated with registered-fund structures. But a fund does not necessarily own a particular company, and you own a fund interest—not direct shares in the companies in its portfolio. Review the fund’s actual holdings, fees, investment terms, and redemption or resale rules rather than relying on its category or name.
The SEC Investor Advisory Committee cited more than $35 trillion in assets managed by registered funds in its September 18, 2025 recommendation discussing registered funds as a possible retail route to private assets. That figure is the committee’s 2025 context, not a current 2026 total and not a measure of private-company holdings.
What access realistically means
For SpaceX, access is now ordinary public-market access to SPCX through a brokerage, subject to brokerage availability and jurisdiction. For a company that remains private, access means finding a specific offering or seller and satisfying its requirements—not browsing a permanent public shelf of shares. A tender offer can be limited to invited participants; a secondary sale can fail because supply or approval is missing; a fund may provide only indirect exposure. None of these routes guarantees a purchase, liquidity, or a return.
