To finance a U.S. small-business acquisition, start by describing the deal and your ability to repay, then compare SBA 7(a), conventional bank financing, seller financing, investor capital, or a combination. SBA 7(a) may fund a complete or partial ownership change, with a stated maximum loan amount of $5 million; you apply through a participating lender, not directly to the SBA. Get written, deal-specific terms before you commit to a purchase.
How do I finance buying a small business?
Begin with the transaction, not a generic down-payment estimate. Identify what is being purchased, who will own it, how much cash is available, and what funds are needed beyond the purchase price. A lender will assess the buyer, the target business, the proposed structure, and the ability of the business and borrower to repay.
For SBA 7(a), the SBA lists complete and partial changes of ownership among eligible uses of proceeds. Its borrower page states a $5 million maximum for a 7(a) loan. The SBA generally guarantees loans made by participating lenders; buyers apply through a lender. See the SBA 7(a) program page and its lender resources.
Check basic SBA 7(a) eligibility
The SBA’s baseline screen includes whether the business is operating, for-profit, located in the United States, small under SBA size rules, and not in an ineligible category. The business must also be unable to obtain the desired credit on reasonable terms from non-government sources; the borrower must be creditworthy and show a reasonable ability to repay. These are screening factors, not approval guarantees. The lender reviews the full transaction under the applicable rules.

The SBA says application documents vary by loan size and processing method, and the lender tells applicants what is required. Eligibility and documentation should therefore be checked against the buyer’s specific entity, ownership, target, and deal structure.
Compare the main financing routes
Common categories include SBA loans, conventional bank financing, seller financing, and investor capital. A bank’s overview describes these options, but availability and terms depend on the buyer, business, collateral, cash flow, lender, and transaction terms. Compare live offers using the same assumptions for total purchase cost, cash needed at closing, debt service, transition working capital, and contingencies. Ask about eligible uses, buyer requirements, term and amortization, fixed or variable pricing, fees, guarantees, collateral, seller participation, diligence, and timing. Rates and fees are lender-specific and should be confirmed with current written quotes.
How to find and approach lenders
- Prepare a short deal summary. Include the target’s location and industry, asking price, whether real estate is included, transaction type, your background, estimated available cash, and financial information about the business that you can share. Treat this as a starting brief: the lender will specify its application documents.
- Contact lenders experienced with ownership changes. Ask banks directly whether they finance acquisitions like yours. For SBA 7(a), use SBA Lender Match to connect with participating lenders; the SBA directs borrowers to apply with a lender.
- Request written, transaction-specific screening. Ask each lender about eligibility, required buyer contribution, buyer and seller documentation, valuation and diligence, loan term, pricing, collateral, guarantees, seller-note treatment, fees, and expected timeline. These are questions to ask, not a claim that every item is required for every loan.
- Compare routes on a consistent basis. Use the same purchase-cost and cash-flow assumptions for SBA, conventional, seller, or investor funding. Ask the senior lender how any additional source affects approval and closing.
- Keep the purchase process aligned with financing. Coordinate lender requirements and deadlines with qualified legal, accounting, and transaction advisers. Make sure the purchase process preserves the time and conditions needed for financing and diligence.
Verify SBA ownership-change and contribution rules
Do not rely on a down-payment figure from an older article or policy summary as a current universal requirement. SBA lender resources identify updates to SOP 50 10 8.1 effective October 1, 2026. The SBA’s August 10, 2023 summary described a 10% equity injection for complete changes of ownership above $500,000, but that is historical context—not a reliable statement of the operative rule for a current application. Ask the lender which rule applies to your transaction and timing, and whether any seller note can count toward a required contribution. Also distinguish the 7(a) cap from the later combined-program ceiling. The SBA announced on July 7, 2026, that eligible small businesses could access up to $10 million in combined 7(a) and 504 financing, effective July 4, 2026. That does not raise the stated maximum for a single 7(a) loan above $5 million. See the SBA announcement.

The SBA lender resources page, accessed in 2026, describes guarantees of up to 85% for 7(a) loans of $150,000 or less and up to 75% for loans above $150,000, for most 7(a) programs. These are percentages of the lender’s loan that the SBA may guarantee; they are not the borrower’s down payment or the share of the purchase price the SBA automatically pays. Confirm the applicable guarantee and terms with the lender.
