Evaluate Vietnam market entry by testing a specific business, ownership plan, and location—not by treating national growth as proof of a good investment. Confirm that foreign investors can conduct the precise activity under the intended structure, validate demand with customers, establish the actual approval path, and test whether site-level operations and downside returns meet your investment threshold.
Start with a defined investment thesis
Before comparing market statistics or incorporation routes, write down what the business will do and why it should earn an adequate return in Vietnam. A useful first-pass thesis identifies:

- The product or service, its intended customers, and how revenue will be earned.
- Whether demand is domestic, export-linked, or dependent on a specific customer or destination market.
- The proposed ownership and control, investment amount, time horizon, and required return.
- The advantage the venture expects to have over local and foreign competitors.
These details determine which legal activity descriptions, customers, locations, costs, and risks matter. Without them, national indicators can provide context, but cannot establish the addressable market, licensing route, or likely returns for a particular project.
Check market access for the exact activity
Foreign-investor access can depend on the specific business activity, not just its broad industry label. Depending on the activity, the rules may affect foreign ownership, permitted investment form or scope, investor capability, local partner requirements, approvals, or operating licenses. Translate the proposed business model into the activity descriptions used in Vietnamese law and applicable treaties, then have qualified local counsel verify the conditions against current legal texts.

The relevant starting points as of October 2026 are Law 143/2025/QH15 and Decree 96/2026/ND-CP. The law took effect on March 1, 2026. Article 7 and the conditional business-sector list took effect on July 1, 2026. Decree 96 elaborates market access, investment procedures, business conditions, incentives, and reporting. Confirm the Vietnamese legal text and any later amendments before relying on an English translation.
Article 19(2) of Law 143/2025/QH15 permits foreign investors to establish economic entities before completing procedures for issuance or amendment of an Investment Certificate, provided they satisfy the applicable market-access conditions when establishing the entity. This changes the sequence for eligible cases; it does not create unrestricted permission to operate any activity or remove other required approvals and licenses.

- Ask counsel to identify the precise activity classification and applicable foreign-investor conditions.
- Confirm any ownership limits, permitted structures and scope, partner or capability requirements, and ongoing business conditions.
- Determine whether the project needs investment-policy approval, an Investment Registration Certificate, enterprise registration, or sector-specific permits, and establish the valid order for the particular project.
Do not assume that every project requires the same certificates or follows the same filing sequence. The governing law and Decree 96, rather than a general incorporation checklist, should anchor the answer.

Consider at least the structures that are plausible for the sector. Compare their practical consequences, not just the apparent speed of formation.

Official investment guidance flags market access, national defense and security, and certain land-use rules for foreign equity contributions and acquisitions. An existing company’s license or operating history should not be treated as proof that a proposed foreign ownership change or expanded activity is authorized. Review the transaction and the target’s underlying permissions together.
Validate demand and competition locally
Test whether customers will buy at prices that can support the operating model. Use primary customer interviews, procurement evidence, comparable transactions where available, and local competitor research. Distinguish interest from evidence of purchasing: a target customer’s stated need is weaker than a validated budget, purchasing process, or credible commitment.

- Segment customers by use case, geography, purchasing authority, and ability to pay.
- Identify direct competitors and substitutes, then compare their offer, channels, service levels, and pricing using verifiable local evidence.
- For export-oriented businesses, test destination-market demand and concentration separately from domestic demand.
- Record the assumptions behind expected volume, pricing, customer acquisition, and sales timing so they can be stress-tested in the financial model.
Keep dated macroeconomic figures in perspective. The World Bank’s September 2025 update reported 7.5% year-on-year GDP growth and 14.2% export growth in the first half of 2025, alongside US$26.2 billion in FDI disbursement in the twelve months to June 2025. The report linked much of the first-half acceleration to export frontloading ahead of potential tariff changes and cautioned that it could moderate. These are historical national indicators, not current annualized figures or proof of demand in a particular sector.

Choose a location based on operating evidence
Compare candidate provinces and sites against the actual operating model. A national-level market case does not tell you whether a particular location can reliably supply the customers, labor, infrastructure, and permissions the project needs.

- Customers and suppliers: Check proximity, access, delivery requirements, and the availability and reliability of critical suppliers.
- Labor: Verify workforce availability, required skills, hiring assumptions, and the cost of recruiting and retaining staff.
- Land and permissions: Confirm land-use rights, site terms, permitted use, and any location-specific approval requirements.
- Utilities and logistics: Validate utility capacity and reliability, transport access, and the route to domestic customers or export channels.
- Resilience: Assess how disruption at the proposed site or along its supply and logistics routes could affect production and delivery.
For manufacturing, site-specific checks should include utility reliability, industrial-site terms, supplier access, workforce availability, and export logistics. Treat these as items to verify for the named site, not assumptions to infer from the province or from a general description of its infrastructure.

Model the proposed project using its own expected volumes, prices, costs, funding plan, and legal structure. Include working capital as well as startup costs, and make the path from sales to cash flow visible.
- Model local-currency receipts and payments, foreign-exchange exposure, and any currency mismatch between revenue, costs, and financing.
- Include landed costs, labor, occupancy, utilities, compliance, tax, financing, and working-capital needs.
- Show customer and export concentration so the model makes dependence on a narrow market or destination visible.
- Stress-test slower demand, trade disruption, energy-price or supply-chain shocks, currency pressure, and financing stress.
- Compare downside returns with the investor’s required return and risk tolerance; do not rely only on a base case.
The World Bank’s May 2026 update estimated Vietnam’s 2025 GDP growth at 8.0% and forecast 6.8% growth in 2026, 7.1% in 2027, and 7.4% in 2028. It also identified elevated near-term risks, including trade-policy uncertainty, possible energy and supply-chain shocks, and vulnerabilities in banking and real estate. The 2025 figure is an estimate and the later figures are forecasts, not realized outcomes. Use them as dated context and refresh them before an investment decision; they do not substitute for project-specific demand or cost evidence.
Use decision gates before committing capital
Turn unresolved questions into named diligence items, each with an owner, evidence needed, and decision deadline. A first-pass decision can then distinguish facts established from assumptions still carrying risk.
- Thesis gate: The customer, revenue source, competitive advantage, investment horizon, and return threshold are specific enough to test.
- Access gate: Qualified counsel has confirmed the activity classification, foreign-investor conditions, intended ownership structure, and applicable permissions under current rules.
- Demand gate: Customer and competitor evidence supports the volume, price, and sales timing used in the case.
- Execution gate: The site, operating inputs, approval sequence, and material local costs are understood well enough to plan implementation.
- Risk-and-return gate: The downside case, including trade, supply, energy, currency, and financing exposures relevant to the project, remains within the investor’s tolerance.
Proceed only when the material gates are supported by evidence. If a critical legal condition, customer assumption, site dependency, or downside exposure remains unresolved, make it an explicit condition of the decision rather than treating it as an established fact.
