EBITDA or a single leverage ratio cannot show whether repayment is durable—especially when content, programming, and distribution investment compete for cash.
Start with the binding deal and financing documents
Use the merger agreement and proxy or prospectus, financing commitment letters and term sheets, both companies’ latest annual and quarterly filings, credit agreements and indentures, pro forma financial statements, and subsequent-event filings. Record each document’s date and financial period so that figures from different reporting dates are not mistaken for one coherent snapshot.
Separate binding commitments from management expectations. A commitment letter may be conditional, amended, reduced, or replaced; determine which conditions remain and which party bears financing risk. Also check whether closing depends on obtaining the debt financing.
FOX’s 2026 proposed Roku transaction disclosed up to $12.0 billion of senior unsecured bridge loans, subject to customary conditions, to fund part of the cash consideration and related fees. FOX also disclosed that completion was not conditioned on obtaining debt financing. Reconcile debt and cash at closing
Build a sources-and-uses schedule rather than treating the headline financing amount as the debt total. Include purchase consideration, fees and expenses, debt assumed, debt repaid or left outstanding, cash contributed, and every new borrowing. Distinguish facility commitments from amounts actually drawn. Deduct only unrestricted cash genuinely available for repayment; restricted or operationally necessary cash may not be available.
Reconcile the resulting pro forma debt to the pro forma balance sheet, then compare it with the first actual post-close balance sheet when filed. For each facility, record principal, ranking and collateral, fixed rate or benchmark and spread, maturity, amortization, prepayment terms, mandatory repayment triggers, and any bridge takeout plan. Include commitment fees, original issue discounts, issuance costs, and interest during the period when material.

Measure cash available for debt service, not just EBITDA
Use several years of historical cash flow and a forecast that makes its assumptions visible. Start with operating cash generation, then account for working-capital needs, cash taxes, capital expenditure, and other recurring requirements before comparing cash with interest and scheduled principal. A media company may also need substantial recurring cash for content, programming, production, distribution, or broadcasting capacity.
Reconcile non-GAAP EBITDA to reported results. Examine each adjustment, remove unsupported or non-recurring savings, and include the cash costs required to achieve projected synergies. A projected saving is an assumption until it is realized in cash.

Ask two distinct questions:
- Can cash remaining after necessary operating and investment spending cover cash interest and scheduled principal without asset sales, new borrowing, or repeated refinancing?
- After those payments, is enough liquidity left for working capital, content, strategic investment, and unexpected shocks?
Management estimates and contractual obligations belong in separate categories. Forecast revenue, margins, working capital, taxes, and investment under stated assumptions; identify interest and principal amounts required by the debt documents.
Read the actual covenant definitions
Calculate ratios using the relevant credit agreement’s definitions, not a generic debt-to-EBITDA formula. Check the EBITDA measurement period, permitted add-backs and synergy caps, cash-netting limits, debt exclusions, lease treatment, cure rights, testing dates, and whether tests apply continuously or only when specified conditions occur. A reported leverage ratio may therefore differ from a simple calculation using reported debt and EBITDA.
Assess headroom both under the agreement’s calculation and under a more conservative, unadjusted measure. Then identify what a breach allows lenders to do, such as charge waiver fees, raise rates, restrict borrowing, or accelerate repayment.

Nexstar reported pro forma first-lien net leverage of 3.21x against a 4.75x covenant test, and total net leverage of 4.22x, as of June 30, 2026 under definitions in its credit agreements. The filing also describes substantial post-merger borrowings and later financing and repayment activity. These are company- and agreement-specific figures, not general safe thresholds. List required amortization and bullet maturities by year, alongside cash interest, expected cash on hand, and usable revolver availability. Highlight concentrated maturities, short-term bridge loans, refinancing milestones, and obligations due before expected synergies or asset-sale proceeds.

Test it against leverage, covenant headroom, collateral, market access, interest-rate assumptions, and whether the borrower is likely to meet lender conditions at that future date. Count an undrawn commitment as liquidity only if its terms allow the company to draw in the stressed circumstances being modeled.
Compare base and downside cases
Use at least a base case and a downside case, and show what changes between them. Downside assumptions might include lower advertising or subscription revenue, weaker margins, higher rates, delayed integration savings, audience or customer losses, or greater working-capital needs. For each case, assess:
- Pro forma gross and net debt, including whether cash used for netting is truly available.
- Cash interest and scheduled principal compared with cash after necessary operating investment.
- Leverage, interest coverage, covenant headroom, and adjusted versus unadjusted measures.
- Minimum liquidity and the time before outside financing would be needed.
- Annual maturities, bridge takeout requirements, and reliance on refinancing or asset sales.
- Remaining room to fund content, programming, capital spending, and strategic needs.
State the assumption repayment depends on most, when it must prove true, and what happens if it fails. Separate documented contractual commitments from management plans and analytical judgments. Pro forma information is an illustration based on stated assumptions, not a record of actual combined performance or a guarantee of future results; update the analysis with post-close filings as they become available.
