Prepare for a possible sale or public offering by making the company’s finances, ownership records, governance, and operating information dependable before a transaction is on the horizon. Those fundamentals help with either path. Then weigh the paths separately: an acquisition is a negotiated transfer whose terms shape what owners receive and what leaders do after closing; an IPO requires extensive disclosure and creates continuing public-company obligations.
This guide focuses on U.S. companies and general guidance from the U.S. Securities and Exchange Commission (SEC), including material published in 2024. Preparation can improve a company’s ability to assess and pursue an opportunity, but it cannot guarantee a deal, a valuation, or a successful listing. Company-specific decisions call for qualified securities, legal, accounting, tax, and transaction advisers.

Start with the outcome the company and its owners need
An IPO is not the default measure of startup success, and a sale is not automatically the simpler route. First decide what the company and its owners are trying to achieve. Possible objectives include raising capital for further growth, giving some owners liquidity, finding a strategic home for a product, or transferring control. Owners may not all have the same priorities, so identify differences early rather than treating “the company’s exit” as a single shared goal.

Write down the desired outcome, the owners or stakeholders whose interests must be considered, and the conditions that would make a transaction unacceptable. Revisit those assumptions as the company, market, and financing needs change. A public-market route may provide access to public investors, but it also brings disclosure and ongoing compliance demands. A private sale may transfer some or all of the equity, but the buyer, consideration, integration plan, and negotiated post-close arrangements matter.
How an acquisition differs from an IPO
The word “exit” can conceal very different transactions. In an acquisition, a buyer and the company or its equity holders negotiate what is transferred and what consideration is paid. In an IPO, the company registers a securities offering and enters the public-market environment; other public-market routes have distinct structures. The SEC identifies IPOs, SPAC mergers, and direct listings among the routes to public markets. The comparison below is a decision aid, not a recommendation or a prediction of what a specific transaction will involve.
| Decision area | Acquisition | IPO or another public-market route |
|---|---|---|
| Transaction outcome | Negotiated transfer of some or all existing equity; consideration may be cash, stock, or a combination. | A public offering or another public-market transaction; liquidity and capital depend on the route and its terms. |
| Company’s future | The buyer may integrate the company. Leaders or employees may stay for a period if the parties negotiate that arrangement. | The company faces public disclosure, reporting, governance, and potentially listing requirements. |
| Preparation emphasis | Organized company, financial, and ownership records; an understanding of equity-holder outcomes and post-close terms. | Reporting controls, governance, audited financial reporting, disclosure, leadership, advisers, and listing considerations. |
| Time and cost | Depends on the deal and negotiation; the SEC sources cited here give no universal estimate. | The SEC says preparation can take several months or longer and advises considering both short-term cash needs during the process and continuing compliance costs. |
| Central decision | Are the buyer, consideration, integration plan, and negotiated roles acceptable? | Do public-market access and long-term objectives justify the preparation and ongoing obligations? |
The SEC’s overview of exit strategies and liquidity describes acquisition consideration, post-close roles, public-market routes, and possible lockups. The SEC’s guidance on Exchange Act reporting and registration describes obligations that can continue after an offering. Neither path has a universal timeline, cost, or outcome established by these sources.

Build a reliable foundation for either path
Reconcile ownership records
Keep a current capitalization table and reconcile it against the underlying corporate and ownership records. The SEC glossary describes a cap table as a record of equity holders and related information, including security class, number of shares or units, and purchase or disposition details. An accurate table helps founders understand who holds what before evaluating how a proposed transaction could affect existing holders. It does not substitute for the governing documents or legal review. SEC glossary: capitalization table
Organize the records that substantiate the company’s ownership and corporate history, and make it possible to explain discrepancies rather than relying on memory. The SEC specifically emphasizes recordkeeping and reporting systems as part of going-public preparation. The cited SEC materials do not set out a comprehensive acquisition diligence checklist, so do not treat this as one.
Make financial reporting trustworthy
Assess whether accounting controls and reporting systems can produce accurate, timely information. The goal is not just to assemble figures when a prospective transaction appears; leadership needs a reliable view of the company’s financial condition and results as it makes decisions. For an IPO, the disclosure process includes audited financial statements, so determine with qualified accounting advisers what work and applicable requirements would mean for this particular company. The SEC advises companies to evaluate accounting controls and reporting systems before going public. SEC IPO-readiness guidance

Strengthen governance and leadership capacity
Consider whether the leadership team and governance practices can support more rigorous reporting and oversight. The SEC recommends considering qualified leadership, experienced directors, a strong audit team, and advisers such as underwriters, attorneys, and accountants. These are general readiness considerations, not a universally prescribed board structure or mandatory adviser roster for every startup. The company’s circumstances and transaction route determine the relevant requirements.
Do these 3 things before closing this tab:

Founders should be able to explain what the company does, its financial condition and results, its strategy, and the risks it faces without relying on a pitch deck that conflicts with the underlying records. This discipline is particularly important if pursuing an IPO, because the registration statement contains substantive disclosure about operations, financial condition, results, risk factors, and management. For an acquisition conversation, clear, supportable information helps the company and its owners evaluate what a buyer is proposing; this does not establish a universal buyer checklist.
Understand what IPO preparation entails
A registration statement is disclosure, not just marketing
For a U.S. IPO, Form S-1 is the registration statement commonly associated with the offering. Its prospectus describes the company’s operations, financial condition, results, risk factors, and management, and includes audited financial statements. Regulation S-K addresses nonfinancial disclosure requirements; Regulation S-X addresses financial-statement form and content. How those rules apply depends on the company and filing, so founders should not assume a generic checklist or a fixed number of audited years from a general summary. See the SEC’s explanation of registration statements, dated June 21, 2024 and last reviewed November 12, 2024.

Budget time and capacity, not just filing work
The SEC states that going public “can take several months or longer” in its June 12, 2024 Ready to Go Public? guidance. This is a qualitative estimate from the agency, not an average, guaranteed timeline, or promise about a particular company. The same guidance urges companies to account for short-term cash needs during the process and the continuing costs of public-company compliance. It does not give a universal IPO budget, audit cost, or transaction cost.
Founders should therefore consider whether the company can devote leadership attention and financial resources to preparation while continuing to operate. The question is not only whether the company can get to listing day, but whether it can sustain the systems and responsibilities that public-company status requires afterward. An IPO’s practical fit depends on the company’s objectives and its capacity for that ongoing work.

Public-company obligations do not end when an offering is completed. SEC guidance describes annual reporting on Form 10-K, quarterly reporting on Form 10-Q, and current reporting on Form 8-K for specified events. It also describes CEO and CFO certifications relating to certain annual and quarterly information. Public disclosures are made available through EDGAR. Company and individual obligations can vary with roles and ownership, so the reporting framework should be reviewed with qualified advisers rather than reduced to a filing calendar alone. Prepare to assess an acquisition’s real terms
Look beyond the headline valuation
In an acquisition, consider what is actually being transferred: some or all of the existing equity, or another negotiated scope. The SEC describes consideration that may be cash, stock, or a combination. The mix can affect the form and timing of what existing equity holders receive, so review the proposed terms against the ownership records and get advice on legal and tax consequences. The SEC’s description does not establish how any particular offer will be structured.
Do not treat a stated valuation as a complete account of an owner’s outcome. Read the proposed consideration and scope together, and understand which holders and securities are included. If stock is offered, the value and liquidity implications differ from cash and depend on the actual terms and circumstances; a general source cannot determine those for a particular deal.
Separate post-close roles from transaction price
Key leaders or employees may remain with the business for a period after closing, if negotiated. Discuss transition responsibilities, continued employment, and integration arrangements separately from the purchase consideration so the parties’ expectations are explicit. A founder’s future role is not assured by the fact of a sale, and the SEC’s overview does not prescribe standard employment or integration terms.
Consider how public-market holders may access liquidity
Public-market routes do not all create the same liquidity conditions. The SEC notes that some holders’ shares may be subject to lockup periods depending on the route and offering terms. Founders and other holders should understand what restrictions may apply and when they could sell, rather than assuming that a public listing makes every share immediately tradable. SEC: Exit Strategies and Liquidity
Use a staged preparation process
- Set the objective. Write down what the company and its owners need from a transaction, where priorities differ, and which outcomes would not work. Reassess public-market fit against long-term objectives, investor and market demand, growth strategy, timing, and market viability.
- Make core records dependable. Reconcile the cap table with underlying ownership records and organize corporate records so the company can explain its equity and history. Flag gaps for professional review rather than silently assuming they are resolved.
- Test the reporting process. Review the accounting controls and systems that generate financial information. Identify where reliability, accuracy, or timeliness needs work; for an IPO, ask qualified accounting advisers how audited statements and applicable disclosure rules affect the company.
- Evaluate management and governance readiness. Assess whether leadership can support the reporting and oversight demands of the contemplated route. The SEC recommends considering qualified leadership, experienced directors, a strong audit team, and appropriate advisers, but the company-specific design should come from its circumstances and professional guidance.
- Model owner and leadership consequences. For a possible acquisition, examine the scope transferred, cash-versus-stock consideration, and any negotiated post-close role. For a public route, understand how holders may reach liquidity and whether lockups or other terms affect when shares can be sold.
- Plan for what happens after closing or listing. For a sale, clarify transition and integration expectations in the negotiated terms. For an IPO, plan for annual, quarterly, and specified current reporting, certifications, and the continuing compliance capacity required.
- Revisit the route as conditions change. A readiness process can preserve options without committing the company to an IPO or sale. Review objectives, market conditions, customer and investor interest, and the company’s ability to fund and manage the chosen path before proceeding.
Treat a SPAC merger as a distinct route
A SPAC business combination is a public-market route with its own transaction structure; it should not be treated as simply an ordinary IPO under another name. SEC staff guidance emphasizes disclosure of potential conflicts and different economic interests among sponsors, directors, officers, affiliates, and public shareholders, including compensation-related matters. A company evaluating this route should have advisers examine the specific structure and disclosures. The guidance does not establish that a SPAC route is suitable for any particular startup. SEC staff guidance on special purpose acquisition companies
Questions to resolve with advisers before pursuing a transaction
- Do the company’s and owners’ objectives point toward a sale, a public-market route, or neither at this time?
- Can the company substantiate its ownership, financial reporting, and corporate records?
- For an IPO, what registration-statement, audited-financial-statement, governance, listing, and continuing reporting issues apply to this company?
- For an acquisition, what equity and operations are included, what is the consideration, and what post-close terms are being negotiated?
- How could timing, cash needs, public-company compliance costs, or holder restrictions affect the company and its owners?
- Which securities, legal, accounting, tax, and transaction advisers should help evaluate the company-specific implications?
The answers depend on the company, transaction structure, and applicable U.S. requirements. SEC small-business materials provide general guidance, not company-specific legal, tax, accounting, or investment advice. Rules and market requirements can change; founders should confirm current requirements and consult qualified advisers before acting.
