How Private-Company Valuations Differ From Cash and Public Stock

A company’s estimated value is not the same as an owner’s spendable cash—or the sale price of private shares. Learn what valuations, public quotes, and liquidity actually mean.

No. If a startup is valued at $X, that does not mean you personally have $X—or that your shares could be sold for a matching amount. A company valuation is an estimate for a particular purpose and date. Your shares are a specific security with its own rights, restrictions, and potential buyers; cash is money you can access and spend.

What does a company valuation measure?

A private-company valuation is an estimate, not a balance in an owner’s account. It is tied to a measurement date, purpose, assumptions, and the interests being valued. In equity-compensation settings, valuers may first estimate the enterprise value—the value of the operating business before allocating it among equity classes and other claims—and then allocate that value across the company’s outstanding securities.

That allocation matters. Common shares and preferred shares can have different rights, including different claims on proceeds. A financing price for preferred stock therefore does not automatically establish the value of an employee’s common shares. How do private-company valuations get estimated?

When there is no reliable quoted price or relevant recent arm’s-length transaction, a company may use valuation methodologies to estimate fair value. The approach depends on the company’s stage, available information, and expected outcomes.

  • Market approach: Compares the company or its securities with other enterprises or equity securities, sometimes using measures such as EBITDA multiples.
  • Income approach: Estimates future income or cash flows and discounts them to a present value, as in discounted cash flow analysis.
  • Asset-based approach: Estimates assets at fair value and subtracts liabilities. It may be useful for some very early companies, but can understate a later-stage going concern if internally generated goodwill is not reflected.

If a company has multiple equity classes, it must also allocate enterprise value among them. SEC staff has described methods including probability-weighted expected return, option pricing, and current value. These methods reflect different assumptions; none is a universal shortcut that converts a headline valuation into the sale price of every share.

Why a private share value is not cash wealth

Cash or cash equivalents are already held in an account and can generally be spent, subject to ordinary access conditions. Private shares are different: they may be subject to transfer restrictions, lack an available buyer, or depend on a future sale, IPO, or other liquidity event before an owner can turn them into cash. A valuation does not tell you when that event will happen or how much you will receive.

A 2024 SEC filing by FibroBiologics reports third-party 409A valuations for its non-marketable minority common stock: $3.28 per share as of August 18, 2022, and $2.28 per share as of January 21, 2023. Those are company-specific figures for particular dates and valuation purposes, not current market quotes or general benchmarks. The filing says the analysis considered preferred-stock rights, operating and financial performance, liquidity, and economic conditions, including a discount for lack of marketability; it also describes a change in the allocation method as information and expected outcomes changed. Liquidity risks are not merely theoretical. In one SEC-filed crowdfunding offering statement, the issuer warns that its securities may be difficult to transfer or resell, that a secondary market may not exist, and that the company may never be sold or go public. The issuer also notes that private companies may provide more limited ongoing disclosure than public companies. Those are disclosures about that offering, not a rule that every private security has identical risks. How public stock prices differ

For publicly traded stock in an active market, a quotation gives a more directly observable price than a model-based estimate for private shares. But a quote is still a changing market price, not guaranteed proceeds or a cash balance. The amount a particular holder realizes can differ because of price movements, trading costs, taxes, or execution constraints.

There is also a specific U.S. regulatory distinction worth keeping in scope. SEC Rule 2a-5 addresses fair-value determinations for registered investment companies and business development companies. The SEC’s compliance guide explains that the Investment Company Act requires covered funds to use market value when market quotations are “readily available.” For this purpose, a quotation is readily available only if it is an unadjusted price in an active market for an identical investment that the fund can access at the measurement date and that is reliable. This rule is about those covered funds; it should not be generalized as a rule for every investor, company, or stockholder. SEC Rule 2a-5 compliance guide.

What to check before counting equity as personal wealth

  • What was valued? Establish whether the figure refers to the enterprise, a particular share class, or another interest.
  • When and why was it valued? A value is tied to a measurement date and purpose; it may not reflect later events or what a buyer would pay now.
  • Which class do you own? Review share rights and preferences, including how different classes share in proceeds.
  • Can you transfer or sell it? Read the security documents and company rules for restrictions and approved sale processes.
  • What could change your ownership or proceeds? Consider dilution from future financing, the timing and likelihood of a liquidity event, and any taxes or transaction costs.
  • Is there an actual buyer or market? Without one, a stated value is not an immediately realizable amount.
