What Kestra proposed—and what it ultimately sold
In a preliminary prospectus dated February 26, 2025, Kestra proposed selling 10 million common shares at an expected $14 to $16 per share, with a planned Nasdaq listing under the ticker KMTS. Those were preliminary terms, explicitly subject to change—not completed transaction results. Kestra’s preliminary prospectus described the planned offering.

Kestra’s FY2026 annual report states that the company completed its IPO on March 7, 2025, selling 11,882,352 shares at $17 each, and that underwriters purchased another 1,782,352 shares at the same price on March 14. The report gives $215.789 million as IPO proceeds after underwriting discounts and before IPO offering costs. That accounting figure is not net proceeds after all costs. Kestra’s FY2026 annual report provides the completed terms and proceeds figure.
Why the $150 million headline differs
The $150 million figure reflected an estimate associated with the preliminary offering plan. At the final $17 IPO price, Kestra sold more shares than initially proposed, and the underwriters later bought additional shares. Those changes explain why the completed offering was larger than the early target. Gross proceeds, proceeds after underwriting discounts, and proceeds after all offering costs are different measures; the company’s reported $215.789 million figure excludes offering costs.

Kestra’s later public offering was separate
On December 4, 2025, Kestra completed a separate underwritten public offering of 6.9 million shares at $23 each. Its FY2026 annual report reports $149.291 million in proceeds after underwriting discounts and before offering costs. This later financing was not part of the March 2025 IPO. The annual report also describes this subsequent offering.
Is Kestra Medical Technologies publicly traded?
Yes. Kestra is a public issuer trading on Nasdaq under the ticker KMTS. Its investor relations site reported fiscal 2026 results in July 2026 and first-quarter fiscal 2027 results in September 2026, confirming that its IPO is a completed historical event, not a pending offering. What the company does
Kestra describes itself as a wearable medical-device and digital-healthcare company focused on cardiovascular disease. Its FY2026 annual report says its subsidiaries own intellectual property related to a personal wearable cardioverter defibrillator that received FDA approval in July 2021. That company context does not make the device a consumer purchase recommendation; it is medical technology, not an ordinary retail product.
A December 2025 SEC filing described Kestra as an emerging growth company and a smaller reporting company and discussed certain reduced reporting and disclosure requirements available to it at that time. Those designations and the associated requirements should be understood as the filing’s description, not as a permanent status. Kestra’s December 2025 filing sets out that disclosure.
