Re:

How IPO Lockups Work and When Early Investors Can Sell Shares

IPO lockups often last about 180 days, but the actual agreement—not a market convention—sets who is covered and when shares may be sold. Separate resale rules can still apply after expiration.

Early investors do not all get a general right to sell their IPO shares 180 days after listing. A lockup commonly prevents specified shareholders from selling for about 180 days, but the agreement determines who is covered, which shares are restricted, when the restriction ends, and whether sales are released in stages or capped. Even after a contractual lockup expires, securities-law resale requirements may still apply.

To find out when a particular holder may sell, check the company’s IPO prospectus and the holder’s applicable agreements. The prospectus can show which shares are being sold in the IPO and which may become available later; the agreement and applicable resale rules determine whether a later sale is actually permitted.

What an IPO lockup does

An IPO lockup is generally a contractual promise by specified shareholders not to sell certain shares, or otherwise dispose of them, for a defined period connected to the public offering. Companies and underwriters commonly use lockups to restrict sales by insiders and other existing holders after an IPO. The arrangement can limit the supply of shares available to trade soon after the offering.

Investor.gov, the SEC’s investor education site, says most lockups prevent insiders from selling for 180 days, while emphasizing that the terms vary. That is a common term, not a universal statutory restriction that automatically applies to every founder, employee, or early investor. Coverage depends on the agreement: it identifies the people, securities, transactions, and period to which the promise applies.

Nor does the word “lockup” describe every restriction that can affect a pre-IPO holder. Contractual promises and securities-law resale requirements are separate. A person may be free of a lockup yet still unable to sell publicly until applicable resale conditions are met.

Why 180 days is common—but not a reliable answer by itself

About six months is a familiar lockup period, but the number alone does not tell a shareholder when a sale can happen. The actual agreement may set a different end date, provide staged releases, cap the amount that can be sold, or include conditions and exceptions. The company’s prospectus may summarize those provisions, but a holder’s signed agreement and any later amendment or waiver can also matter.

Do not calculate a trade date merely by adding 180 calendar days to the IPO date. The relevant agreement defines the period and its start and end dates. Check that language, including any provisions describing releases or exceptions, rather than assuming a general industry convention supplies the answer.

There is also a distinct FINRA rule that can cause confusion. FINRA Rule 5110(e)(1) imposes a 180-day restriction, subject to listed exceptions, on certain securities received as underwriting compensation by participating FINRA members. That is a specific rule for covered underwriting-compensation securities; it is not the source of a universal 180-day lockup for all early investors. The rule requires disclosure of the restriction in the distribution-arrangements section.

Find the terms in the IPO prospectus

The SEC directs investors to the registration statement and prospectus for lockup information. On SEC EDGAR, open the issuer’s IPO filing and search the prospectus for “lock-up,” “restricted period,” “Shares Eligible for Future Sale,” “underwriting,” and “selling shareholders.” A heading may use different wording, so search more than one term and read the surrounding discussion.

The prospectus is a starting point, not necessarily the last word for a specific holder. It can describe expected availability and summarize arrangements, while the holder’s agreement, amendments, or waivers may define the operative terms. A public filing helps identify the structure; it does not establish that every holder has identical obligations.

What to extract from the filing

  • Who is selling in the IPO: The cover page identifies selling shareholders, if any, and the number of shares they are selling as part of the offering.
  • Which shares are locked: Identify the covered holders and shares rather than treating all pre-IPO shares as a single group.
  • When the restriction applies and ends: Record the stated start and end dates or the event from which the period runs.
  • Whether availability is staged or capped: Look for scheduled releases, limits on sales, exceptions, and conditions.
  • What may become eligible later: “Shares Eligible for Future Sale” and similar sections can discuss shares that may later be registered or become available for resale.
  • Any separate resale conditions: Determine whether restricted-security or affiliate rules apply in addition to the contract.

For a comparison between two IPOs—or between two holders in the same IPO—use the same checklist for both. Compare the covered people and shares, contract length and dates, release schedule and caps, shares sold in the IPO versus shares that may become eligible later, separate resale conditions, and the number of shares becoming eligible relative to the public float. The filing and relevant agreements should substantiate each point.

IPO sales and later sales are different

Some existing shareholders sell registered shares as selling shareholders in the IPO. Those shares are part of the offering, and the proceeds from those sales go to the selling holders rather than to the company. Other outstanding shares held by founders, early investors, or employees may not be available for sale at that time because of lockups or securities-law restrictions.

That distinction matters when interpreting the share count and the prospectus. “The company went public” does not mean every shareholder’s existing shares were included in the offering, registered for resale, or immediately tradable. A holder’s ability to sell depends on the particular shares and the arrangements that apply to them.

What a lockup expiration does—and does not do

When a lockup expires, the contractual restriction may stop blocking sales of the covered shares, according to the agreement’s terms. It does not mean every share becomes freely tradable at once. A release may be staged or limited, and an eligible holder may choose not to sell. Moreover, restricted or control securities can remain subject to separate public-resale requirements.

The SEC’s Rule 144 overview explains that holders of restricted securities or control securities need an exemption from registration requirements to sell in a public marketplace. Depending on the holder and transaction, Rule 144 conditions can include a holding period, current public information about the issuer, volume limits and transaction requirements for affiliates, and notice filings in specified circumstances. Restrictive legends may also need to be removed before a public sale. Which requirements apply depends on the security, seller, and facts of the proposed transaction.

The SEC overview cited here is dated 2013, so it should not be treated as a substitute for checking the current rule and the holder’s circumstances. A lockup end date by itself does not confirm that all other requirements have been satisfied. For a particular planned sale, the relevant agreements and current securities-law requirements need to be assessed together.

Why expiration can affect the stock price

Until restricted shares can be sold, the number of shares available for public trading may be smaller than the number outstanding. The SEC calls outstanding shares that are not yet tradable “market overhang.” If many shares become eligible at once, potential supply can increase; the SEC cautions that a stock’s price may decline significantly when a large number of previously restricted shares become available.

That is a risk, not a prediction. Expiration does not require holders to sell, and the number of newly eligible shares does not tell you how many will actually be offered. Price behavior also depends on market conditions and demand. The SEC guidance establishes the possibility of price pressure, not a typical decline or a guaranteed direction of movement.

For context, compare the number of shares that may become eligible with the shares already available to trade, while distinguishing eligibility from actual sales. A large release relative to the public float can mean more potential supply; it cannot establish how the market will respond.

A practical checklist for an early investor

  1. Identify the exact shares and holder. Confirm whether the shares were sold in the IPO or remain outstanding, and identify the holder’s role and the securities involved.
  2. Read the issuer’s prospectus on EDGAR. Review the cover page, distribution-arrangements discussion, and “Shares Eligible for Future Sale” or equivalent section. Search for lockup and selling-shareholder disclosures.
  3. Check the applicable lockup agreement. Confirm whether the holder and shares are covered, how the period is defined, its end date, and any stages, caps, conditions, exceptions, amendment, or waiver.
  4. Separate contractual eligibility from resale eligibility. Determine whether restricted-security or affiliate requirements apply under the current Rule 144 framework or another applicable exemption. Do not treat expiration as automatic clearance for a public trade.
  5. Verify any required release steps. If a restrictive legend appears on the shares, confirm what is required for its removal before a public sale. The SEC overview notes that legend removal may be necessary.
  6. Assess potential market supply without assuming a sale. Estimate the shares that may become eligible and compare them with the public float, but do not equate those shares with shares holders will actually sell.

Investor.gov’s lockup and IPO materials are educational guidance, not a legal interpretation or a determination of an individual holder’s eligibility. For an actual sale, use the issuer’s current filings and the specific agreement, and confirm the applicable requirements for that holder and transaction.
