When you sell stock held as an investment, your federal capital gain or loss is generally the amount you received minus the shares’ adjusted tax basis. Your holding period determines whether a net gain is generally treated as short-term and taxed at ordinary income rates, or long-term and potentially taxed at preferential capital-gain rates. The sale proceeds are not automatically the taxable gain.
This guide covers U.S. federal individual income tax rules, including the 2025 long-term capital-gain thresholds. State and local rules can differ, and your own tax result depends on the full details of your return.

How do you calculate gain or loss when you sell stock?
The basic calculation is:
Amount realized from the sale − adjusted basis in the shares sold = capital gain or loss

The Internal Revenue Service (IRS) describes the difference between adjusted basis and the amount realized as a capital gain or loss. The amount realized is generally the sale proceeds, accounting for relevant transaction costs. Basis usually starts with what you paid for the shares, including commissions, and may need adjustments. If the result is positive, you have a gain; if negative, a loss.

For example, if shares with an adjusted basis of $2,000 are sold for $2,700, the transaction produces a $700 gain before it is combined with other capital gains and losses. You do not calculate the gain by treating the entire $2,700 as profit. If the adjusted basis instead were $3,000, the same sale proceeds would produce a $300 loss.
Use the basis for the shares actually sold
If you bought shares of the same company at different times or prices, each group of shares can have a different basis and holding period. Your calculation should match the sale proceeds to the particular shares disposed of. Keep purchase confirmations, account statements, and records of relevant basis adjustments so you can support that calculation.
A broker’s Form 1099-B can help identify proceeds and basis information, but it is not a substitute for checking whether the reported basis is complete and correct. This matters especially when basis needs an adjustment, including in some employee-stock situations.
Does the holding period change how stock gains are taxed?
Generally, stock held for one year or less before it is sold produces a short-term capital gain or loss. Stock held for more than one year produces a long-term gain or loss. The IRS’s general counting rule starts on the day after acquisition and includes the day of disposition. Special arrangements can have different rules, so do not assume this basic timing rule covers every kind of stock or award.

| Holding period | General federal treatment of a net gain | General reporting route |
|---|---|---|
| One year or less | Short-term; taxed at ordinary graduated income-tax rates rather than the preferential long-term capital-gain bands. | Report the applicable transactions on Form 8949 and carry the results to Schedule D when required. |
| More than one year | Long-term; most net capital gain may qualify for 0%, 15%, or 20% rates, depending on taxable income and filing status. | Report the applicable transactions on Form 8949 and carry the results to Schedule D when required. |
Short-term and long-term are tax classifications, not separate taxes on the gross sale amount. The classification applies to the gain or loss from the shares sold, and the final rate calculation depends on your tax return as a whole.
What are the 2025 federal long-term capital-gain rates?
For tax years beginning in 2025, most net long-term capital gain falls into 0%, 15%, or 20% rate bands based on taxable income and filing status. These are thresholds for the gain-rate calculation, not tax owed and not rates that automatically apply to every dollar of income or every dollar of sale proceeds. Ordinary income is still subject to its own graduated tax schedule.
| Filing status | 0% rate up to taxable income of | 15% band: above 0% threshold through | 20% rate applies to the extent taxable income exceeds |
|---|---|---|---|
| Single | $48,350 | $533,400 | $533,400 |
| Married filing separately | $48,350 | $300,000 | $300,000 |
| Married filing jointly | $96,700 | $600,050 | $600,050 |
| Qualifying surviving spouse | $96,700 | $600,050 | $600,050 |
| Head of household | $64,750 | $566,700 | $566,700 |
For instance, a taxpayer with taxable income in the 15% band does not necessarily pay 15% on all income. The ordinary-income portion uses its own schedule, and the applicable capital-gain rate depends on where taxable income falls in relation to the 2025 thresholds. The IRS’s Topic 409, “Capital gains and losses,” describes the general treatment; consult the IRS figures and instructions for the tax year that applies to your sale.

How do capital gains and losses combine?
Your tax result is not necessarily determined by looking at one winning trade in isolation. Capital gains and losses are combined under the capital-gain rules. Losses can offset gains, and a resulting net capital loss may generally be deducted against other income up to $3,000 for an individual, or $1,500 for someone married filing separately. Any excess net capital loss may be carried forward, subject to the applicable rules.
Report gains and losses even if a loss cannot all be used in the current year. A tax return and its schedules determine how transactions and any applicable carryovers affect the final result; do not assume that a loss disappears simply because the current-year deduction limit has been reached.
Do you owe tax if you reinvest the sale proceeds?
Reinvesting the money does not, by itself, undo the sale or erase a gain. The taxable event is generally the disposition of the stock, and the gain or loss is calculated from sale proceeds and adjusted basis. Buying other shares with the proceeds is a separate transaction with its own basis and holding period.

That means a seller should not treat an account balance that remains invested as proof that no tax event occurred. Calculate the result for the shares sold and report it as required, even if the proceeds were used to buy another investment.

Which forms report stock sales?
Form 1099-B is generally the broker’s information return showing sales details. Form 8949 is used to reconcile reportable sales and relevant proceeds and basis information, and Schedule D summarizes capital gains and losses. Receiving a 1099-B does not ensure that its basis figure reflects every adjustment your return needs.
| Situation | What to check | General reporting implication |
|---|---|---|
| Basis reported to the IRS and no adjustment is needed | Confirm the reported transaction details and determine whether an exception in the applicable instructions applies. | Some eligible transactions may be aggregated directly on Schedule D rather than listed individually on Form 8949. |
| Basis is missing, was not reported to the IRS, or needs an adjustment | Use your own records to determine the correct adjusted basis and the reason for any change. | Form 8949 generally provides the place to reconcile the reported information before carrying totals to Schedule D. |
The direct-to-Schedule-D treatment is limited: the IRS instructions allow aggregation for qualifying transactions with basis reported to the IRS and no adjustments or specified exceptions. Check the Form 8949 and Schedule D instructions for the tax year of the sale rather than assuming every broker-reported trade qualifies.
A practical reporting sequence
- Identify the shares and proceeds. Review the trade confirmation or broker statement, typically including Form 1099-B. Match each sale to the shares disposed of.
- Establish adjusted basis. Start with the purchase cost and account for commissions and relevant increases or decreases. Compare your records with the broker’s basis information.
- Determine the holding period. Apply the general one-year dividing line, counting from the day after acquisition through the disposition date unless a special rule applies.
- Calculate each transaction’s gain or loss. Subtract adjusted basis from amount realized, then account for other capital gains, losses, and applicable carryovers.
- Complete the required reporting. Use Form 8949 and Schedule D where applicable, or the limited Schedule D aggregation option if the transactions meet the instructions’ conditions.
- Review the effect on your overall tax position. A gain may affect estimated tax payments or the net investment income tax calculation, depending on your full circumstances.
What changes for employee stock or stock options?
Shares received through employee compensation or options may not follow the simple purchase-and-sale example. Depending on the option type and award facts, some value may already have been treated as ordinary compensation. Publication 525 explains that option stock can have ordinary-income treatment when holding-period conditions are not met, and warns that the basis shown on Form 1099-B may not reflect amounts previously included in income.

Can a stock sale trigger estimated tax or an additional tax?
Estimated tax payments
A taxable capital gain can affect whether estimated payments are needed, but a sale does not automatically mean every seller must make one. The answer depends on the taxpayer’s total income, withholding, and payment position. Review the gain in the context of the full year’s tax picture rather than treating the transaction alone as a payment notice.
Net investment income tax
The net investment income tax (NIIT) is a potential additional layer for some taxpayers. IRS Topic 559 includes net gains from dispositions of stocks among income that may be included in net investment income, subject to the applicable rules and exclusions. A stock-sale gain alone does not establish that NIIT applies, and the rules are not a universal surcharge on every seller.
What records should you keep, and where can the rules differ?
Keep purchase and sale records, broker statements, and documentation for relevant basis adjustments. Accurate records let you verify which shares were sold, establish the holding period, explain differences from Form 1099-B, and support the figures reported on Form 8949 and Schedule D.

This article describes U.S. federal individual income tax treatment for stock held as an investment. State and local tax treatment depends on where you file and is not covered here. Other circumstances—including employee awards, special stock categories, wash sales, or trader elections—can change the analysis, so the general rules should not be treated as a personalized calculation.
For 2025 transactions, use the 2025 forms and instructions. The IRS forms index lists the 2025 revision of Form 8949 as posted December 11, 2025, and the 2025 instructions as posted January 22, 2026. When filing for another tax year, use that year’s forms and instructions and do not carry the 2025 thresholds forward without checking the applicable figures.
