Gökçe Güven Pleaded Guilty to Securities Fraud; Sentencing Status Unclear

DOJ reported that former Kalder CEO Gökçe Güven pleaded guilty to securities fraud and agreed to forfeit nearly $7 million. The cited announcement scheduled sentencing for September 2026 but does not establish its outcome.

Gökçe Güven, the founder and former leader of fintech-marketing startup Kalder, pleaded guilty to one count of securities fraud, the U.S. Department of Justice announced on May 15, 2026. DOJ said she also agreed to forfeit nearly $7 million. The department’s announcement scheduled sentencing for September 17, 2026, but the sources cited here do not establish whether sentencing occurred or what the outcome was.

What happened in the case?

The case moved beyond the charge stage described in the original headline. On January 29, 2026, the U.S. Attorney’s Office for the Southern District of New York announced a superseding indictment charging Güven with securities fraud, wire fraud, visa fraud and aggravated identity theft. DOJ said she had been arrested on November 27, 2025. Those charges were allegations at the time; DOJ explicitly noted that an indictment is not proof of guilt. DOJ’s January announcement

On May 15, 2026, DOJ reported that Güven had pleaded guilty to one count of securities fraud. The announcement does not say that she pleaded guilty to every charge in the indictment. What did DOJ say Güven told investors?

According to DOJ’s description of the plea and public filings, Güven sought seed-round investment beginning in April 2024 using false statements, misleading claims and fabricated documents about Kalder’s revenue and brand relationships.

Investor-facing representation What DOJ said the records showed
The pitch deck said 26 brands were “using Kalder” and 53 were in “live freemium.” DOJ said some relationships were limited, heavily discounted pilots, while some brands had no agreement with Kalder.
The deck reported $1.2 million in annual recurring revenue by March 2024. DOJ described that revenue figure as false.
Investors received financial figures for the company. DOJ said Kalder had one accurate set of books prepared by an outside accounting firm and another set with inflated figures that went to investors.

These details are DOJ’s account of the plea’s factual basis, not an independent audit published in the announcement. The superseding indictment separately alleged that annual recurring revenue was overstated by nearly tenfold, that Kalder had minimal revenue and few paying customers, and that approximately $7 million was raised from seed-round investors. What was Kalder?

DOJ described Kalder Inc. as a New York-based fintech-marketing startup. Its platform enabled brands to create and monetize customized loyalty and rewards programs. The company and its product are relevant to the case because DOJ says the investor representations concerned Kalder’s revenue, customers and brand partnerships.

What does the nearly $7 million mean?

DOJ said Güven agreed to forfeit nearly $7 million as part of her guilty plea. That is an agreement to forfeit proceeds; the announcement does not establish that the money has already been recovered or distributed. Separately, the indictment alleged that approximately $7 million was raised from seed-round investors. The forfeiture agreement and the amount allegedly raised are related figures in the case, but they are not interchangeable descriptions of the same legal outcome.

Has Güven been sentenced?

DOJ’s May 15 announcement scheduled sentencing for September 17, 2026, and stated that the securities-fraud count carried a maximum five-year sentence. The materials cited here do not confirm whether the hearing took place, was rescheduled, or resulted in a sentence. They therefore do not support a claim about the sentence or the case’s status after that announcement.

What about the visa-fraud allegations?

DOJ’s January announcement alleged that Güven used false statements and fabricated documents, including letters purportedly signed by business executives, in seeking an O-1A visa. The May plea announcement also summarized that account as part of the public filings. The plea DOJ reported, however, was to securities fraud; these sources do not say she pleaded guilty to visa fraud.
