Generac’s Amazon Deal: Is GNRC Stock a Buy?

Generac’s Amazon agreement adds a major growth opportunity, but $2.4 billion in expected deliveries is distinct from the warrant’s $8 billion vesting framework—and neither establishes that GNRC stock is undervalued.

Generac’s Amazon agreement is a significant growth opportunity, but the disclosed terms alone do not show that GNRC stock is a buy. Generac expects $2.4 billion in initial generator deliveries in 2027 and 2028. A separate figure of up to $8 billion governs payments that can trigger vesting of Amazon’s warrant; it is not a guaranteed order or revenue commitment. Whether the stock is attractive also depends on its current valuation, the margins and costs of fulfilling the work, and how much the warrant dilutes shareholders.

What Generac and Amazon agreed to

In a September 16, 2026 Form 8-K, Generac Holdings said it entered a long-term supply agreement to provide backup generators for Amazon data centers. The filing says initial deliveries are expected to total $2.4 billion in 2027 and 2028. That is the disclosed expected delivery value; it is not the same as the warrant’s $8 billion vesting framework.

As an Amazon Associate I earn from qualifying purchases.

Under the agreement, Generac issued a warrant to Amazon.com NV Investment Holdings LLC, an Amazon subsidiary, to acquire up to 1,693,745 Generac shares at an exercise price of $200.9266 per share. Of those shares, 307,954 vested immediately. The remaining shares vest in tranches based on aggregate qualifying payments from Amazon and its affiliates for generators, up to an $8 billion threshold. The warrant may be exercised, subject to its terms, through September 16, 2033. Generac’s SEC filing describes the conditions and adjustments.

  • $2.4 billion: expected initial deliveries in 2027 and 2028.
  • Up to $8 billion: aggregate qualifying payments used in the warrant-vesting mechanism, not a firm purchase order disclosed in the filing.
  • Up to 1,693,745 shares: the maximum shares covered by the warrant; issuing shares when exercised would dilute existing shareholders.

The filing also provides for anti-dilution adjustments to the warrant’s share count and exercise price. The exact amount of dilution depends on whether and how the warrant is exercised and on its terms.

What Generac’s business looked like before the announcement

Generac’s July 29, 2026 second-quarter release reported net sales of $1.17 billion, up 11% year over year. Commercial and Industrial (C&I) sales increased about 29% to $556 million, while residential sales declined about 2% to $617 million. Net income was $143 million, or $2.40 per share; adjusted net income was $174 million, or $2.91 per share. Adjusted EBITDA was $291 million, equal to 24.8% of sales. These are company-reported results, and the release states that net income, adjusted net income and adjusted EBITDA included an approximately $71 million pretax benefit from tariff refunds. That benefit matters when judging how much of the quarter’s earnings can be treated as repeatable. Generac’s Q2 results and guidance give the reported figures and qualifications.

For 2026, the company maintained its net sales growth outlook in the mid-to-high teens and expected C&I sales growth in the low 30% range. It raised its adjusted EBITDA margin guidance to approximately 20.0%–21.0%, from 18.5%–19.5% previously. Generac said tariff refunds were the primary reason for the increase and expected them to add about 1.5 percentage points to full-year 2026 margin. The guidance is therefore not a clean measure of the margin the Amazon business will earn.

Rank #2
Generac 12,500 Watt Tri Fuel Generator with EFI and Electric Start
  • ELECTRONIC FUEL INJECTION (EFI): Optimizes fuel efficiency and reduces maintenance requirements
  • RUNS ON GAS, LIQUID PROPANE, OR NATURAL GAS: A single dial switches fuel sources without shutting the unit down; propane delivers 8,550 running watts and natural gas delivers 7,000 running watts when gasoline is unavailable. • ELECTRIC START WITH RECOIL BACKUP AND BATTERY INCLUDED: Rocker-switch electric start eliminates pull-cord effort for routine startups; a recoil backup is built in for situations where the battery is unavailable, and the 12V 9Ah battery ships in the box
  • COSENSE TECHNOLOGY DETECTS AND RESPONDS TO CARBON MONOXIDE: Continuously monitors CO levels, triggers an audible alert, and shuts the generator down automatically before dangerous concentrations build — protecting people inside and around the unit
  • UP TO 14 HOURS OF RUNTIME ON A 7.5-GALLON TANK: Runs up to 14 hours at 25% load or 10.5 hours at 50% load on gasoline; a propane-connected 20-pound LP tank delivers up to 6 hours at 25% load with a built-in fuel gauge to monitor levels

Data-center demand was already a growth driver

As of its July 29 release, Generac reported approximately $1.6 billion in backlog for products serving the data-center market, excluding committed volumes from its second hyperscale customer. It also said it had received about $1 billion in additional orders from new and existing customers since its previous update. Backlog indicates demand visibility; it is not revenue already recognized, a guarantee of delivery, or proof of a particular profit margin. The company’s own account of the backlog and capacity plans is in its Q2 data-center update.

Generac’s 2025 annual report identifies data-center construction and rising electricity demand as drivers of commercial and industrial opportunities. That is the company’s strategic view, not independent evidence that this agreement will produce a specified return or that GNRC shares are undervalued. Generac’s annual report explains its business context.

Will the Amazon deal increase Generac’s earnings?

It could contribute meaningfully to future sales if deliveries occur as expected, but the disclosed deal terms do not quantify incremental earnings. Revenue is not profit: the result depends on manufacturing costs, labor and component availability, pricing, capacity investment, and the margin Generac can earn on these generators. The filing’s delivery estimate does not establish a separate earnings forecast or a guaranteed contribution to cash flow.

Generac said it was investing in additional production and packaging capacity for large megawatt generators. CEO Aaron Jagdfeld said in the Q2 release that the company was “investing aggressively in incremental production and packaging capacity” and planning further additions as its opportunity pipeline developed. Those investments may help fulfill demand, but they also make execution, spending and the timing of production relevant to the eventual returns.

Rank #4
Generac 3,300 Watt Gas Powered Portable Inverter Generator, USB Charging
  • PORTABLE POWER FOR HOME BACKUP, CAMPING, AND RV USE: Produces 2,500 running watts and 3,300 starting watts to run a refrigerator, lights, a TV, and phone charging simultaneously from a compact 59.5-pound inverter generator
  • CLEAN POWER SAFE FOR SENSITIVE ELECTRONICS: TruePower Technology produces a stable sine wave with less than 3% total harmonic distortion, making it safe to run laptops, tablets, CPAP machines, and other sensitive devices without risk of damage
  • POWERRUSH ADVANCED TECHNOLOGY DELIVERS 50% MORE STARTING CAPACITY: Reaches 3,300 starting watts to handle the surge demand of refrigerators, RV air conditioners, and motor-driven tools that would overload a standard inverter generator
  • ECONOMY MODE AND COSENSE TECHNOLOGY: Economy Mode adjusts engine speed automatically to cut fuel use and noise; COsense monitors CO levels and shuts the unit down if dangerous concentrations are detected near the unit
  • RUNTIME UP TO 7 HOURS ON A SINGLE TANK: The 1.06-gallon fuel tank delivers up to 7 hours at 25% load or 4.5 hours at 50% load, giving you extended power for overnight camping or a multi-hour home outage without refueling

Risks investors should weigh

  • Capacity and delivery execution: scaling large generators and packaging takes time, and the company is investing to expand capacity.
  • Supply and cost pressures: Generac identifies raw-material, component and labor availability and cost as risks. It also depends on a limited number of contract manufacturers and suppliers, including single-source suppliers.
  • Trade-policy uncertainty: tariff and trade-policy changes can affect costs. The Q2 earnings and guidance figures were affected by tariff refunds, so they should not be read as a straightforward baseline for future margins.
  • Customer spending and macroeconomic conditions: changes in business spending or broader economic conditions could affect demand and the pace of projects.
  • Warrant dilution: shares issued if Amazon exercises vested warrant rights would increase the share count. The maximum warrant size is not the same as a forecast of shares that will ultimately be issued.

Balance sheet context

At June 30, 2026, Generac reported $491.3 million outstanding under Term Loan B and $700 million under Term Loan A, with no revolver borrowings and $999.3 million in unused revolving capacity after letters of credit. It reported covenant compliance, a total leverage ratio of 1.20-to-1 against a limit below 3.75-to-1, and an interest coverage ratio of 15.72-to-1 against a minimum above 3.00-to-1. These are dated quarter-end figures, not a real-time balance-sheet update. The filing’s debt and covenant disclosures provide the details.

How to decide whether GNRC is a buy

The Amazon agreement strengthens Generac’s growth case, but a large contract headline cannot answer whether the stock is priced attractively. The available deal and operating disclosures do not establish a current GNRC share price, post-announcement valuation, consensus expectations, independent valuation range, or quantified incremental earnings contribution. Without those, a confident buy call or price target would go beyond the evidence.

Best Value

  1. Check the current share price and valuation. Compare GNRC’s price with normalized earnings and cash flow, not just the headline value of the agreement. Account for the temporary tariff-refund benefit when assessing earnings.
  2. Estimate what the deliveries could earn. Consider the likely revenue schedule alongside achievable margins and the capital spending needed to expand production and packaging capacity.
  3. Track conversion and execution. Watch for updates on backlog conversion, production capacity, delivery timing, and the company’s ability to manage supply constraints.
  4. Assess financial flexibility. Use current debt, cash-flow and leverage disclosures rather than assuming the June 30 figures remain unchanged.
  5. Include potential dilution. Consider the warrant’s vesting conditions and possible share issuance when evaluating per-share earnings and value.

For an investor already considering Generac, the agreement is a meaningful catalyst to examine alongside the company’s existing data-center business. It is not, by itself, evidence that GNRC is undervalued or that Amazon will pay the full $8 billion threshold.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
