GameStop’s fiscal 2012 sales fell 7%, and the company reported a $269.7 million GAAP net loss. Adjusted diluted earnings per share nevertheless rose 10.5%, helped primarily by share buybacks. The distinction matters: adjusted results and a strong fourth quarter did not mean GameStop earned a full-year GAAP profit. In its March 28, 2013 announcement, management forecast a difficult first half of 2013 as customers waited for new consoles.
How sales and adjusted earnings moved in opposite directions
GameStop reported fiscal 2012 global sales of $8.8867 billion, down 7.0% from $9.5505 billion in fiscal 2011. Comparable-store sales declined 8.0%. Fiscal 2012 included 53 weeks, compared with 52 weeks in fiscal 2011, a difference that matters when comparing annual totals and the company’s forecast. GameStop’s March 28, 2013 earnings release reported both the results and this calendar distinction.

GameStop’s adjusted net earnings were $403.0 million, slightly below the prior year’s $405.1 million. Adjusted diluted earnings per share, however, rose 10.5%, from $2.87 to $3.17. The company attributed the per-share increase primarily to share buybacks: with fewer shares in the calculation, earnings can increase on a per-share basis even when total adjusted earnings do not.
That adjusted measure is not the same as the reported GAAP result. The release explicitly cautioned that non-GAAP measures should be viewed alongside, not as an alternative to, reported GAAP results.

Was GameStop profitable under GAAP?
No. GameStop reported a $269.7 million net loss attributable to the company for fiscal 2012, compared with net earnings of $339.9 million in fiscal 2011. The company recorded $680.7 million in restructuring, impairment, and debt-retirement expenses, primarily related to goodwill impairment in the third quarter. Those charges drove the divergence between the GAAP result and the adjusted earnings presentation.
The fourth quarter was stronger than the full-year headline might suggest, but it does not change the annual GAAP answer. Fourth-quarter net earnings attributable to GameStop were $261.1 million, versus $174.7 million a year earlier. Adjusted fourth-quarter net earnings were $262.3 million, compared with $239.5 million. The company said the extra 53rd week contributed approximately $10.1 million of fourth-quarter net earnings, or $0.08 per diluted share.

What supported margins as core sales weakened?
GameStop said its gross margin rate expanded 170 basis points in fiscal 2012. Growth in digital and mobile activity helped offset weakness in the core business: receipts in the “Other” category rose 21.2%, fourth-quarter digital receipts increased 60.3%, and fourth-quarter mobile sales totaled $100.0 million. These figures describe the company’s reported results, not a claim that digital growth fully replaced declining store sales.
Chief executive Paul Raines described the year as difficult for console gaming, saying the company had focused on factors within its control. He also said GameStop’s industry market model pointed to a return to growth with new game systems. Those comments framed management’s expectations; they were not a guarantee of an industry recovery.

Why management expected a challenging 2013
In the March 2013 release, GameStop forecast a challenging first half because consumers were postponing purchases ahead of the anticipated fourth-quarter console launch. Management identified the expected launch of at least one next-generation console by the holiday period, along with Grand Theft Auto V, as potential catalysts for the industry later in the year.
The timing created a near-term risk: if customers deferred purchases, sales could remain weak before the new hardware cycle arrived. The forecast depended on launches and consumer demand unfolding as expected, rather than on a known outcome.

What GameStop forecast for fiscal 2013
These were management’s estimates at the time of the March 28, 2013 announcement, not present-day guidance or a statement of what ultimately happened. The annual comparison also required care because fiscal 2012 had 53 weeks; the release’s guidance compared a 52-week period with a 53-week period.

The company presented these projections as forward-looking estimates subject to risks, including product availability, game-release timing, competition and changing technology, alternative distribution methods, and economic or regulatory events. Contemporaneous GameSpot coverage likewise reported management’s expectation of a challenging start to the year as consumers awaited new consoles.
