What Flipkart changed
Flipkart announced in April 2025 that it planned to shift its holding company from Singapore to India. On March 9, 2026, the company said it had received Government of India approval for internal restructuring and completed the group’s redomiciliation. Flipkart Internet Private Limited became the group’s holding entity, according to TechCrunch’s report on the completion.

The distinction matters: this was a change in the group’s legal holding structure and domicile, not a reported relocation of its operating business. Flipkart’s holding company had moved to Singapore in 2011, while its core operations remained in India, according to Reuters.
What the move means for an IPO
Bringing the holding structure into India removes a structural complication for a potential domestic listing. Flipkart said the change aligned its holding structure with its core operations. In April 2025, the company described it as “a natural evolution,” according to Reuters’ report.

That is not the same as launching an IPO. The reporting describes preparations for a possible listing in Mumbai, not a filed prospectus, exchange approval, offer launch, or guaranteed listing. Reuters reported that Flipkart was aiming to list before March 2027, citing a source with direct knowledge. TechCrunch described a target in the financial year ending March 2027, based on people familiar with the company. These are reported targets, not a confirmed IPO date.
Reuters also reported that Flipkart had not settled the IPO’s valuation or size. Until the company publishes formal offer documents, estimates should not be treated as final terms. The redomiciliation establishes the corporate structure reported after the reorganization; it does not establish what investors would pay or when they could buy shares.

Approvals and the reported Tencent stake
Reports describe the restructuring as involving mergers or consolidations of entities and approvals in India and Singapore. Business Standard reported that clearance under Press Note 3 was required because Tencent held a minority stake, which the paper put at approximately 5–6%. That percentage is attributed to Business Standard’s reporting, not a company-confirmed shareholding disclosure in the sources reviewed. The approval detail is covered in Business Standard’s account.
Why India matters to the company
Flipkart’s explanation was that the holding structure should reflect its core operating market. Its spokesperson called completion a milestone reflecting the company’s long-term commitment to India, as quoted by TechCrunch. That is the company’s characterization of the move, rather than independent evidence of its commercial effects.

The change also fits a broader pattern of Indian startups returning overseas holding structures to India as they consider local listings. It is not, by itself, evidence that a particular listing will succeed. Flipkart’s corporate history includes Walmart’s purchase of a controlling stake in 2018, reported by Reuters. PhonePe, which later separated from Flipkart, moved its headquarters from Singapore to India in 2022; that precedent provides context but does not determine Flipkart’s IPO outcome.

TechCrunch reported in March 2026 that Flipkart had more than 500 million customers, 1.6 million sellers, and an Ekart logistics network delivering to more than 22,000 Indian PIN codes. These figures help describe the company’s scale, but they are figures attributed to TechCrunch’s coverage, not audited IPO disclosures in the sources reviewed.
