What changed: the holding company, not simply an office
Flipkart announced on April 21, 2025, that it planned to shift its holding company from Singapore to India. At the time, the company said the change was subject to required approvals and did not give a timeline. A Flipkart spokesperson described the move as aligning the holding structure with its core operations and the potential of the Indian economy, as quoted by TechCrunch.

On March 9, 2026, Flipkart said it had received Government of India approval for an internal restructuring. Under it, Flipkart Internet Private Limited became the group holding entity, completing the group’s redomiciliation, according to Moneycontrol. This describes a change to the group’s corporate holding structure; it should not be mistaken for a report that every office or operating business moved locations.
Why move the holding structure to India?
Flipkart’s stated rationale was to align its holding structure with its core operations in India. News coverage also described the restructuring as removing a structural hurdle to a potential domestic listing. Those are related but distinct points: the company explained its rationale, while the listing interpretation comes from reporting.

Business Standard reported that approval coverage involved Press Note 3 because Tencent held a reported 5–6% stake in Flipkart. That figure and regulatory context are attributed to the publication; they do not, on their own, establish that an IPO has been approved.
Is Flipkart’s IPO confirmed?
No. Completing a redomiciliation is not an IPO filing, an offer to sell shares, or proof that listing approval is complete. Business Standard reported that a listing could be targeted for late 2026 or 2027, depending on business readiness and market conditions. Those were reported possibilities, not a company-confirmed timetable. The cited March 2026 coverage does not establish a current IPO filing or a confirmed listing date.

Can investors buy Flipkart shares now?
The cited reports do not establish that Flipkart shares are available to the public. The corporate restructuring announcement is not itself a public share offering. Anyone assessing whether an offering has occurred should look for an official filing or offer announcement rather than treating a possible future listing as an opportunity to buy shares.

Business Standard reported that Flipkart serves more than 500 million customers, has about 1.6 million sellers, and that Ekart reaches more than 22,000 pincodes. These figures are reported by the publication; its cited article does not identify an underlying company disclosure for each statistic.
