Flextronics Expanded Through Xerox and HP Manufacturing Transfers in 2001–2002

Flextronics’ 2001 “takeovers” meant two different manufacturing arrangements: a Xerox asset sale and supply contract that closed in stages during 2002, plus a separate HP printer-production transfer in Singapore.

Flextronics’ 2001 expansion involved two separate arrangements: a Xerox asset sale paired with a five-year manufacturing-supply agreement, and a transfer of HP large-format printer production at an existing Singapore facility. Neither was a single, immediate takeover. Xerox’s sales closed in stages during 2002, while the same contemporary coverage also reported Flextronics plant consolidations and job losses.

What the 2001 headline called “takeovers”

The October 5, 2001, EE Times headline, “Flextronics gets even bigger with takeovers,” grouped together arrangements with different structures. Xerox was selling manufacturing assets and contracting Flextronics to make certain products; HP was transferring large-format printer manufacturing to Flextronics at HP’s Singapore facility. The term “takeover” is therefore a broad description, not a precise account of one kind of transaction.

The Xerox deal combined an asset sale with contract manufacturing

On October 2, 2001, Xerox announced an agreement involving approximately $220 million for inventory, property and equipment, plus certain assumed liabilities. Separately, Xerox agreed to a five-year supply arrangement under which Flextronics would manufacture certain Xerox office equipment and components. The approximately $220 million was the announced transaction value for the described assets and liabilities; it should not be treated as the final accounting purchase price reported later.

The October 5 EE Times account named Xerox operations in Toronto, Resende, Brazil, Aguascalientes, Mexico, and Penang, Malaysia, and said approximately 3,650 employees were expected to transfer. Xerox’s 2003 annual report later described approximately 4,100 employees transferring in certain operations. These are figures from different reporting stages and descriptions, not a single matching headcount.

Xerox said the arrangement accounted for $1 billion in annual manufacturing costs, which the company described as 50% of its total. That was Xerox’s characterization of the manufacturing costs covered by the arrangement, not a measure of realized savings. Xerox president and CEO Anne Mulcahy described the company’s rationale as improved asset utilization, supply-chain flexibility, cost savings and cash generation from asset sales; the statement sets out Xerox’s expectations, not proof that those benefits occurred.

The Xerox sales closed over time

Xerox’s 2003 annual report says the company entered purchase and supply agreements in the fourth quarter of 2001, then completed sales in a series of transactions during 2002. The sites it lists are Toronto, Aguascalientes, Penang, Venray in the Netherlands, and Resende. Flextronics’ 2003 Form 10-K describes the acquisition of Xerox operations in seven locations—Aguascalientes, El Segundo, Mitcheldeen, Penang, Resende, Toronto and Venray—as completed in September 2002, for an aggregate purchase price of approximately $179.5 million.

The announcement and filing figures describe different measures and stages: approximately $220 million was the value cited when the agreement was announced, while approximately $179.5 million was the aggregate acquisition purchase price recorded in Flextronics’ later filing. They are not interchangeable. The company filings also differ in how they enumerate the operations and employees, so the announcement’s initial site and workforce description should not be read as a complete account of every later closing.

Xerox’s annual report describes the initial supply-agreement term as five years and says Xerox held a right to extend it by two years. That contractual provision does not establish whether an extension was exercised.

The HP arrangement was a separate Singapore production transfer

A September 27, 2001, EE Times report said Flextronics would take over HP large-format printer manufacturing at HP’s Singapore facility and employ 250 HP workers there. The October 5 report described the operation as running independently within the existing facility. Financial terms were not disclosed in the contemporary reports cited here. This was a production and workforce transfer at HP’s site, distinct from Xerox’s asset sales and supply contract.

Expansion also coincided with reported plant closures

The October 5 EE Times report said Flextronics planned to stop production at a PCB factory in California and another plant in New York, affecting 690 jobs, with the work moving to other Flextronics plants. This was reported as a plan at the time. Xerox’s later filing discusses production transfers and restructuring charges but does not repeat that exact 690-job figure in the passage available here, so the number is attributable to the contemporary report rather than independently confirmed by that filing.

What the record does—and does not—establish

The contemporary EE Times reports provide the 2001 announcement details and the separate HP and plant-closure accounts. Xerox’s 2003 annual report and Flextronics’ 2003 Form 10-K add retrospective detail about the Xerox agreements, workforce and staged completion. These records describe the 2001–2002 expansion; they do not establish the present-day status of the facilities, contracts or transferred operations.
