What Flex announced—and what it later reported
On October 17, 2024, Flex announced a definitive agreement to acquire Crown Technical Systems for $325 million in an all-cash transaction. At the time, Flex said it expected the acquisition to be accretive in the first year after closing. That was a forecast; the available company reporting does not establish whether it was achieved. Flex’s FY2026 Form 10-K later reported estimated purchase consideration of $319 million. It described that amount as $313 million in cash plus a $6 million estimate of customary closing adjustments. The filing does not say that the $319 million figure replaces the announced $325 million transaction value, so the two figures should be kept distinct. Flex FY2026 Form 10-K

Flex said Crown would extend its presence in the utility power market and support growth in the U.S. data-center power market. In its completion release, Flex said the deal strengthened its critical power portfolio. These are Flex’s stated strategic aims and assessment, rather than independent measures of the acquisition’s market impact. Flex’s acquisition announcement Flex completion release
Flex CEO Revathi Advaithi said the acquisition would strengthen the company’s position in helping customers address “power, heat, and scale challenges in the data center space” as part of its long-term growth strategy. Crown President Norm Siddiqui called the companies’ products and teams complementary and described the deal as a positive outcome for Crown employees and customers. Both statements were made by company executives in Flex’s announcement. Flex’s acquisition announcement
Where Crown fit in Flex’s FY2026 reporting
Flex’s FY2026 Form 10-K places Crown in the Power reporting unit within the company’s CPI segment. Flex’s FY2026 annual report says Crown increased its critical power capabilities and opportunities in grid modernization. Flex FY2026 Form 10-K Flex FY2026 annual report
In FY2026 reporting, Flex said it intended to separate CPI into an independent public company, with completion expected in the first quarter of calendar 2027, subject to customary conditions. That was a plan, not a completed separation. Flex FY2026 annual report
