Fee-only and commission-based describe how a financial professional is paid—not how competent the person is or whether the advice is automatically in your best interest. A fee-only professional is paid by the client and, under the CFP Board’s definition for CFP® professionals, receives no sales-related compensation connected to professional services. A commission-based professional can receive compensation when investments or other financial products are bought, sold, or held.
Some professionals use a mixed model commonly called fee-based: the client pays fees and the professional or firm can also receive commissions or other sales-related compensation. Before hiring anyone, compare the actual service, every direct and indirect charge, product limitations, conflicts, applicable conduct standards, registration, and disciplinary history.

The short answer: payment method is the key difference
A fee-only advisor is compensated through client-paid fees. Depending on the engagement, that may mean an hourly charge, a fixed project fee, a retainer, or a percentage of assets under management. For a CFP® professional, CFP Board’s formal standard is specific: the professional, the firm, and relevant related parties must receive no Sales-Related Compensation in connection with professional services to clients.

Fee-based is a different label. It generally means the professional can receive both client-paid fees and sales-related compensation. CFP Board requires a CFP® professional using “fee-based” or similar wording to make clear that the professional or firm earns fees and commissions, or is not fee-only. Do not treat “fee-based” as a synonym for fee-only.
These labels are clues about incentives and billing. They do not tell you whether the service is comprehensive, whether the total cost is reasonable, or which legal standard applies to a particular recommendation. One firm may offer both brokerage and investment-advisory services, so evaluate the specific relationship and agreement rather than relying on the firm’s name.
How each compensation model works
Fee-only arrangements
In a fee-only relationship, the client pays the professional or firm. Common structures include:
- Hourly planning: You pay for meetings, analysis, or implementation time. Ask whether preparation, follow-up, and email support are included.
- Flat or project fees: You pay a stated amount for work such as a retirement plan, tax-focused planning, or a one-time financial review.
- Retainers: You pay a recurring amount for continuing access and specified planning services.
- Asset-based advisory fees: You pay a percentage of assets managed in the account, usually billed periodically. The percentage is not the whole cost; account, custody, transaction, and investment expenses may be additional.
For CFP® professionals, “fee-only” has a narrower representation rule than simply “the client writes the check.” CFP Board’s standard also considers compensation received by the firm and relevant related parties. Ask whether an affiliate, referral arrangement, or other connected entity could be paid because of a recommendation.
Commission-based arrangements
Commission-based compensation is linked to a transaction or product. A professional may receive a commission or markup when you buy or sell an investment, or when a product is issued or renewed. The amount and timing can vary by product, transaction size, share class, or account type.

Because payment can depend on what you purchase or how often you trade, ask which recommendations create compensation and whether less costly or less complex alternatives are available. A transaction-based relationship may be appropriate when you need a specific implementation, but you should understand what ongoing monitoring or planning is—and is not—included.
Fee-based or hybrid arrangements
A hybrid professional can charge an advisory fee and also receive commissions or other sales-related compensation. For example, the same firm might manage part of your portfolio for an asset-based fee while receiving compensation on certain products held in another account. The written agreement and disclosures should identify each service and payment stream.
When a CFP® professional uses “fee-based,” CFP Board’s standards require a clear explanation that commissions are also possible or that the professional is not fee-only. If an advertisement leaves you unsure, ask directly: “Are you fee-only for this service, or can you or an affiliate receive sales-related compensation?”
Comparison at a glance
| What to compare | Fee-only | Commission-based | Fee-based or hybrid |
|---|---|---|---|
| Primary compensation | Client-paid hourly, flat, retainer, or asset-based fees. | Commissions, markups, or other payments linked to products or transactions. | Client-paid fees plus possible sales-related compensation. |
| When payment occurs | According to the engagement: hourly, project, recurring, or periodic asset-based billing. | Usually when a product is bought, sold, issued, or otherwise generates a transaction payment. | Both the fee schedule and product or transaction timing can apply. |
| Typical scope | May be one-time planning, ongoing planning, investment management, or a combination. | Often transaction-focused, though the exact service depends on the agreement. | May combine ongoing advice with brokerage or product implementation. |
| Product access | May be broad or may still be limited by the firm, custodian, or strategy. | Can be limited to products the professional or firm is permitted to sell. | Restrictions may differ between the advisory and brokerage portions. |
| Main questions | What is the total fee in dollars, and are account and investment costs extra? | What payment is created by each recommendation, and are alternatives available? | Which services generate fees, which generate commissions, and who receives each payment? |
| Conduct standard | Depends on the role and service; a label alone does not establish the legal standard. | Depends on the role, service, and applicable rules; do not assume either no duty or a particular duty from “commission.” | Different services from the same firm may be governed by different obligations. |
Look at the whole bill, not just the headline fee
Your cost can include more than the amount quoted by the professional. Before signing, identify every charge that could apply:
- Planning or advisory fees, including hourly, flat, retainer, or asset-based charges.
- Brokerage or transaction charges, commissions, markups, or markdowns.
- Account, platform, custody, wire, transfer, or termination fees.
- Investment-level expenses, such as fund operating expenses or other product charges.
- Fees paid to affiliates, sub-advisers, or other parties connected to a recommendation.
Convert a percentage into dollars
A percentage can sound small until you apply it to your balance. For a clearly hypothetical example, a 1% annual advisory fee on $250,000 would equal $2,500 for a full year if the balance stayed constant. A 0.75% fee on the same balance would equal $1,875. Actual billing may be calculated daily or quarterly, may use average or ending assets, and may change as the account value changes. These examples are arithmetic, not a market average.

Ask for a dollar estimate under the proposal you received and ask whether the fee is charged on cash, only managed assets, or all assets in the account. Request the same estimate for a year in which the account rises or falls, because an asset-based fee generally changes with the billable balance. Then add investment, custody, and transaction expenses to see the combined cost.
Do these 3 things before closing this tab:

A low percentage is not automatically cheaper than a higher one if the services differ. A one-time plan may cost less than ongoing management but require you to implement and maintain the recommendations. An asset-based arrangement may include investment selection, rebalancing, tax-aware trading, meetings, and monitoring—or only a narrower service. The agreement should state what is included, how often you meet, what the professional monitors, and what falls outside the engagement.
Conflicts and incentives to examine
Every payment method can create incentives. Product-linked compensation can influence which product, share class, account type, or transaction is recommended. An asset-based fee can create incentives to gather or retain assets, even when paying down debt, using assets for spending, or holding money elsewhere could fit your plan better. A flat fee can create incentives related to the scope or duration of a project. None of these possibilities proves misconduct; they identify questions to ask.
SEC staff guidance says investment advisers should disclose conflicts arising from compensation connected to recommended investments and explain how those conflicts are addressed. Read the disclosure and ask how it applies to your situation rather than accepting a general statement that conflicts are “managed.”
Questions that expose the practical conflict
- Could you, your firm, or an affiliate be paid if I follow this recommendation? List every payment, not only the amount I pay directly.
- Could compensation differ between products that appear to meet the same need?
- Are you restricted to a particular product set, custodian, platform, or share class? If so, why?
- Would you earn more if I moved additional assets into the account?
- Do you receive compensation for referrals, rollovers, insurance, lending, or other related services?
- What safeguards, supervision, or disclosures address these incentives?
Do not equate fee-only with quality or fiduciary status
Fee-only is a compensation description, not a quality score. It does not establish that the professional has the right experience, that the service is comprehensive, or that the price is worthwhile. Client-paid and asset-based fees can still be expensive for a particular household or create incentives that deserve review.

Likewise, “commission-based” does not by itself answer whether a recommendation is lawful or suitable. Avoid the shortcut that a commission means the professional has no obligation to you, or that fee-only automatically means every service is fiduciary. The applicable duty depends on the person’s role, the service being provided, and the rules governing that relationship.
Investor.gov states that investment advisers are required to act in their clients’ best interest and not put their own interests ahead of their clients’. Its materials separately describe broker-dealer recommendations and the relevant best-interest obligations. A CFP® professional also operates under CFP Board’s fiduciary and compensation-representation standards. Determine which role applies to the specific service and read the disclosures rather than inferring the answer from a label.
Documents to request before you hire anyone
Ask for documents covering the exact account or service you are considering. Important materials include:
- Form CRS (relationship summary): This describes services, fees, conflicts, standards of conduct, and disciplinary information in a standardized format where applicable.
- Form ADV brochure: An investment adviser’s brochure can provide detail about services, fees, conflicts, and business practices.
- The advisory or brokerage agreement: Check the fee formula, billing frequency, termination terms, discretionary authority, account minimums, and the services promised.
- Product and account disclosures: Review expense information, transaction charges, surrender or withdrawal terms, and any limitations that apply to recommended products.
- Compensation and conflict disclosures: Look for affiliate payments, revenue sharing, referral arrangements, incentives tied to rollovers, and differences among products or share classes.
Descriptions can differ by firm and service. If a document says a fee is “up to” a percentage, ask what determines the actual rate. If it lists several capacities, ask which capacity the professional will use for your account and when that could change.

Use Investor.gov to check whether the individual and firm are registered and to review available records. Look for reportable disciplinary or legal history, the services the firm is authorized to provide, and the relationship summary or adviser brochure that applies to the engagement. Verify both the person and the firm; a clean record for one does not answer questions about the other.

Credentials can help you evaluate experience, but they do not replace checking registration, fees, conflicts, and scope. Ask which experience is relevant to your circumstances—for example, retirement-income planning, concentrated stock, small-business finances, or insurance needs—and request an explanation of what the professional actually does in that area.
A practical interview script
Use direct questions and ask for written answers:
- “How are you paid for this service?” Ask for the usual hourly rate, flat fee, retainer, asset-based percentage, commission, markup, or other payment.
- “Can you show me every way you, your firm, or an affiliate could be paid if I follow a recommendation?”
- “What will I pay in dollars over one year, including account and investment expenses?” Ask for assumptions used in the estimate.
- “What exactly will you do, how often will you monitor or meet with me, and what is outside the engagement?”
- “Are you acting as my investment adviser, broker, or both for this service?” Ask which standard applies to each capacity.
- “Are you limited to certain products or services? If so, why?”
- “May I read your latest Form CRS, Form ADV brochure, and the agreement before deciding?”
- “What conflicts apply here, and how do you address them?”
Investor.gov specifically suggests asking how a professional is paid, including the usual hourly rate, flat fee, or commission, and whether the professional is limited to a number of products or services. You can use those questions verbatim.
Choosing between the models
A fee-only arrangement may fit when
- You want a planning engagement with a clearly stated client-paid price.
- You prefer to avoid sales-related compensation and are prepared to review the firm’s definition and disclosures carefully.
- You need ongoing investment management and accept that an asset-based fee will rise or fall with the billable assets.
- You value broad planning work and the agreement clearly includes the monitoring and implementation help you need.
A commission or transaction arrangement may fit when
- You need a defined transaction or product implementation rather than continuing portfolio management.
- You understand the payment created by the transaction and the limits on ongoing advice.
- The professional can explain available alternatives, product expenses, and conflicts in writing.
A fee-based relationship may fit when
- You need a combination of continuing advice and access to services or products that generate separate compensation.
- You are willing to track two payment streams and confirm which capacity applies to each recommendation.
- The firm clearly identifies conflicts, restrictions, and the total cost of both the advisory and brokerage portions.
These are service-and-preference considerations, not universal rankings. The right choice is the arrangement whose scope, cost, product access, conflicts, and conduct obligations match what you actually need.
Common mistakes and how to avoid them
Assuming “fee-only” means no other costs
Ask whether custody, account, transaction, fund, insurance, or other product charges are separate. Request a dollar estimate that includes them.
Treating an asset-based percentage as the complete price
Check the billing base, calculation method, frequency, breakpoints, minimums, and expenses charged outside the advisory fee.
Confusing “fee-based” with “fee-only”
Ask whether sales-related compensation is possible and who receives it. Review the professional’s compensation representation and disclosures.
Assuming one firm has one legal role
A firm can provide brokerage and advisory services. Identify the capacity and applicable standard for each account and recommendation.
Skipping records because the professional has a credential
Verify the individual and firm on Investor.gov and review registration, disclosures, and disciplinary information before transferring assets or signing an agreement.
Quick Recap
Bottom-line decision checklist
- Write down the service you need: one-time planning, ongoing planning, investment management, a transaction, or a combination.
- Calculate the proposed charges in dollars and add account, custody, transaction, and investment expenses.
- Identify every direct and indirect payment to the professional, firm, and affiliates.
- Note product restrictions, account limitations, and whether recommendations can generate different compensation.
- Confirm the professional’s role and the conduct standard that applies to each service.
- Read Form CRS, the Form ADV brochure where applicable, the agreement, and product disclosures.
- Check registration and disciplinary records for both the person and firm.
- Choose the arrangement you can understand, afford, and monitor—not the label that sounds best.
