Elon Musk said in December 2024 that the Securities and Exchange Commission (SEC) had demanded a payment or threatened charges over his disclosures about buying Twitter stock. The SEC did not confirm that demand. The agency later sued, alleging that Musk filed a required ownership report late; in July 2026, a federal court entered a $1.5 million consent judgment against Musk’s revocable trust, while the SEC said it would dismiss its claim against Musk personally.

What Musk said the SEC demanded—and what the agency confirmed

On December 13, 2024, Musk said the SEC was demanding a monetary payment or charges over disclosures about his Twitter-share purchases. His lawyer, Alex Spiro, described the alleged demand in a letter to then-outgoing SEC Chair Gary Gensler as a “misguided scheme.” The Associated Press reported the claim that day; the SEC did not release the letter or confirm that it had made the demand. An agency spokesperson said investigations are conducted confidentially. Associated Press, December 13, 2024

That distinction matters: the reported threat was Musk’s account, not a publicly confirmed SEC announcement. The later lawsuit and court judgment are separate events with their own procedural status.

How the Twitter stock investigation developed

2023: subpoena enforcement, not a finding of wrongdoing

In October 2023, the SEC announced that it had sought a court order to compel Musk to testify under an investigative subpoena. The investigation concerned, among other matters, his 2022 Twitter stock purchases, public statements and SEC filings. The agency expressly said its staff had not concluded that anyone had violated federal securities laws. An investigation or subpoena is not itself a finding of liability. SEC, October 5, 2023

January 2025: the SEC filed a civil lawsuit

On January 14, 2025, the SEC sued Musk in the U.S. District Court for the District of Columbia. Its complaint alleged that he violated Exchange Act Section 13(d) and Rule 13d-1 by filing a beneficial-ownership report late. The SEC alleged that Musk crossed the five-percent ownership threshold by March 14, 2022, making March 24 the reporting deadline. It said he filed on April 4—11 days after that deadline—and disclosed ownership of more than nine percent. SEC complaint and announcement, January 14, 2025

The SEC further alleged that Musk bought more than $500 million in shares before disclosing his stake and thereby underpaid by at least $150 million. Those amounts and the timing are claims in the SEC’s complaint, not independent findings by the court. The alleged $150 million underpayment was not a penalty imposed on Musk. May–July 2026: a judgment against the trust

In May 2026, the SEC amended its complaint to add Musk’s revocable trust and proposed resolving the case against the trust with a $1.5 million civil penalty and an injunction. The SEC said it would dismiss its claim against Musk personally if the court entered the proposed judgment. SEC, May 4, 2026

On July 8, 2026, the court entered a revised consent judgment against the trust. Judge Sparkle L. Sooknanan wrote that she had “significant misgivings” about the settlement but could not say that it met the high threshold required for the court to reject it. That reservation explains the judge’s decision to accept the settlement; it is not a finding that Musk personally committed the alleged violation. The dates and amounts in the complaint describe the SEC’s allegations, not a judicial determination of each underlying fact. The $1.5 million figure is different in kind: it is the penalty in the court-entered consent judgment against the trust.

Who is covered by the July 2026 judgment?

The judgment is against Musk’s revocable trust, not a judgment imposing the $1.5 million penalty on Musk personally. Under the settlement arrangement described by the SEC, the agency said it would dismiss its claim against Musk personally after the proposed judgment was entered. The court’s July 8 order establishes the trust judgment; the judge’s comments about the settlement do not convert the SEC’s earlier allegations into a personal liability finding.
