Duke Energy and Progress Energy: What Changed for Customers After the 2012 Merger?

Duke Energy and Progress Energy merged parent companies in 2012, while their Carolinas utilities kept separate territories and rates. Here is what regulators required, what Duke reported, and how the later utility combination differs.

The 2012 Duke Energy–Progress Energy merger combined the parent companies, but it did not immediately combine their Carolinas utilities into one company with one service territory or one set of retail rates. Customers were promised fuel-related savings and saw company-reported savings and integration milestones; however, the public figures cited here do not establish an independently audited, decade-long net benefit on customer bills. A separate combination of Duke Energy Carolinas and Duke Energy Progress has since been approved, with a target date of January 1, 2027.

What merged in 2012—and what did not?

Duke Energy announced that its merger with Progress Energy closed on July 2, 2012. Progress became a wholly owned subsidiary of Duke Energy, creating a larger holding company. Duke reported that the combined company had 7.1 million electric customers at closing. The announcement also said Jim Rogers would serve as president and CEO and that Bill Johnson had resigned by mutual agreement.

The transaction did not immediately create one Carolinas utility. North Carolina regulators said Duke Energy Carolinas and Progress Energy’s successor utility, Duke Energy Progress, would continue to serve separate territories under separate rates, with the commission retaining oversight. Duke’s 2025 filing likewise described the operating utilities as having remained separate since the holding-company merger.

That distinction matters to customers: a larger parent company could coordinate some operations without merging the regulated utilities or blending their retail rates. North Carolina’s approval announcement came on June 29, 2012, and the Federal Energy Regulatory Commission’s index lists the merger matter, docket EC11-60-004, as an issued order on June 8, 2012.

What regulators required and what customers were promised

North Carolina’s Utilities Commission approved the merger subject to conditions. Its June 2012 announcement described at least $650 million in fuel and fuel-related savings for utility customers as a guarantee. That was a regulatory commitment, not a decade-end measurement of savings delivered to customers.

The commission’s approval announcement also required or provided for these commitments:

The commission said its review included four public hearings, 29 witnesses from 26 organizations, written customer comments and extensive evidence. Chairman Edward S. Finley Jr. said the merger would “best serve the interests of the state, its taxpayers and energy consumers by keeping jobs here in North Carolina.”

Federal approval addressed a separate concern: market power. Duke’s 2012 announcement said an interim mitigation plan used power purchase-sale agreements and that transmission construction was required to address those concerns permanently.

What savings and implementation did Duke report?

The reported figures below describe different stages and types of savings. They are not interchangeable measures, and the company-reported cumulative totals should not be treated as an independent audit of customer bills.

In July 2014, Duke also reported completing and placing in service eight transmission expansions required by federal approval. The company said the projects cost $84 million, $26 million below its $110 million estimate, and entered service a year before the June 1, 2015 deadline. Duke said the lines expanded import capability and competition in the state.

At the same time, Duke reported that about 400 of more than 600 integration projects were complete across finance, human resources, information technology, generation and other functions. These are implementation figures reported by the company, not a direct measure of how much any individual customer saved.

How should customers interpret the decade’s financial impact?

The evidence supports a narrower conclusion than “the merger lowered everyone’s bills by a known amount.” Regulators set a minimum fuel-savings commitment, and Duke later reported proposed rate reductions, cumulative savings and operational milestones. But the reported figures use different time periods and descriptions, and the reviewed sources do not establish an independent, decade-long net ratepayer benefit against a counterfactual.

Customer bills also reflect more than merger-related fuel and dispatch effects. The merger-era savings claims therefore cannot, on their own, explain every later rate change. Nor do they show that customers in the two utilities received identical outcomes: the utilities retained separate rates and service territories after 2012.

What the merger does—and does not—say about reliability

Duke Energy’s 2023 annual report says high winds and extreme cold during Winter Storm Elliott, demand above forecast and an inability to import more power led the company to temporarily interrupt service to about 500,000 customers in December 2022. The report says the interruptions were intended to maintain overall grid reliability and prevent further potential disruptions in the Carolinas. It does not attribute the event to the 2012 merger, so it is context about the decade’s customer experience, not evidence for or against the merger’s causal effect on reliability.

What changes with the separately approved utility combination?

In August 2025, Duke filed to combine Duke Energy Carolinas and Duke Energy Progress, the operating utilities that had remained separate after the 2012 parent-company merger. The company said the proposed combination could lower costs by running fewer and less expensive generation units, using less fuel, coordinating generation and transmission planning across a larger area, and avoiding duplicate infrastructure. Those are the company’s stated mechanisms, not measured results from the future combination.

As of October 8, 2026, Duke’s filings report FERC authorization and approvals by the North Carolina and South Carolina commissions. Duke has targeted January 1, 2027, as the effective date. This is a separate transaction from the completed 2012 holding-company merger.

Duke estimates approximately $2.3 billion in net customer savings from 2027 through 2040 compared with the utilities remaining separate, with additional savings expected later. That is a forecast for the later combination, not a realized result of the 2012 merger. Settlement terms include a 14-year savings guarantee and annual tracking and reporting to state regulators; the specific protection mechanisms differ by state.
