Re:

Does a CEO’s Compensation Affect a Company’s Stock Price?

Equity awards can rise with a company’s shares, and incentives may shape executive decisions. But evidence of a pay–performance link is not proof that CEO compensation caused a stock-price move.

Not in a simple, predictable way. CEO compensation and stock performance can be connected in both directions: a rising share price can increase the value of equity-based awards, while incentives tied to performance may influence executive decisions. The evidence summarized here supports links and plausible mechanisms, but it does not establish a universal causal rule that changing a CEO’s pay will move a company’s stock by a particular amount.

How CEO compensation and stock prices can be connected

Stock performance can change the value of pay

Many executive pay packages include stock or options. When a company’s shares rise, the value of some equity awards can rise too; when shares fall, those awards may lose value. The amount and timing depend on the award’s terms. Grant-date value, the value eventually realized, and the value of an option when exercised are different measures, so “CEO pay went up” does not necessarily mean the company newly paid out the same amount in cash that year.

SEC Commissioner Allison Herren Lee’s January 27, 2022 statement cited a 2021 Wall Street Journal analysis describing how a market rebound boosted executive take-home pay because much compensation was delivered as equity. That example illustrates how market performance can affect compensation. It does not show that the compensation caused the rebound or caused a particular company’s shares to rise.

Incentives may affect decisions

A board can design compensation to reward outcomes such as share-price performance, total shareholder return (TSR), earnings, or other company-selected measures. Those targets may shape what executives prioritize. But a plan’s stated aim is not proof that it changed a CEO’s choices or improved returns for shareholders. Executives make decisions amid many other influences, and the outcomes may differ from the incentive plan’s intended effect.

Why the distinction matters

It is easy to see that pay and stock performance move together in some circumstances. It is harder to establish whether pay design caused a stock-price change. A share-price increase can raise the value of equity compensation; both pay and shares can also respond to company news, industry conditions, broad market movements, or leadership selection. A simple comparison of pay and returns cannot separate these explanations.

This makes the relationship two-way, rather than a straightforward chain in which a higher salary immediately pushes a stock up or down. Equity compensation can make reported or realized pay sensitive to share performance. Separately, a compensation plan can give executives incentives that may affect choices. Those are different mechanisms, and neither alone tells an investor how much of a particular price move to attribute to CEO pay.

What the available evidence says—and does not say

A longer measurement window can change the result

Ron Schmidt’s 2021 article, The Relationship between Shareholder Return and CEO Pay over a CEO’s Full Period of Service, reports a statistically significant connection between total compensation and shareholder return when measured across the full service periods of a sample of 521 S&P 500 CEOs. The article’s abstract-level account highlights why the observation window matters: annual pay and return measures can be distorted by option use and the timing of option exercises.

This is evidence of a connection over the CEOs’ full periods of service in that sample, not a universal estimate of what a pay increase does to a stock. A full-tenure comparison answers a different question from a one-year comparison, and it does not by itself establish that compensation caused the returns.

In practical terms, the study’s longer window is useful because an executive’s compensation and the company’s performance can unfold over multiple years. A single-year snapshot may pair a fiscal-year pay figure with equity that vests later, or reflect an option exercise in a year different from the one in which its value developed. That timing mismatch can make an annual comparison look stronger or weaker than the relationship over the CEO’s service period. The finding should still be read within its stated sample and measurement approach, rather than applied as a forecast for any one company.

CEO Pay Slice research reports associations, not a causal verdict

INSEAD’s summary of research on the CEO Pay Slice—the CEO’s share of compensation among the top executive team—reports several negative associations involving firm outcomes. Those include stock returns around acquisitions and proxy-statement filings. These results concern a particular way of measuring compensation distribution within a leadership team; they do not show that reducing a CEO’s share of pay would itself improve those outcomes.

The measure also asks a different question from whether a CEO’s total compensation moves with the company’s share price. CEO Pay Slice compares the CEO’s portion of top-team pay, while an equity award comparison may focus on the value of the CEO’s own stock or options. Keeping those measures distinct matters: an association between the CEO’s share of team compensation and an outcome cannot automatically be treated as evidence about the effect of a salary increase, a stock grant, or a change in the company’s share price.

Disclosure is useful, but it does not prove causation

The SEC’s Pay Versus Performance rule requires covered registrants to disclose pay versus performance in proxy or information statements where executive compensation disclosure is required. The rule was issued August 25, 2022, and became effective October 11, 2022. It does not apply to emerging growth companies, registered investment companies, or foreign private issuers.

The disclosure framework gives investors information to inspect and compare. It is not a certification that a compensation plan caused stock-price movements or that its incentives worked as intended. As Lee put it in her January 2022 statement, “Understanding what those incentives are and whether they are actually working – that is, if and how they link to company performance – is critical for investors in evaluating a company’s compensation practices.” That is the commissioner’s rationale for scrutiny, not a binding SEC finding about the causal effect of pay.

Lee’s statement also cited an SEC staff estimate that 45 percent of registrants subject to the proposed disclosure rules would be smaller reporting companies. That figure was a rulemaking estimate in the 2022 statement, not a current count of companies. It gives context for the proposal’s expected reach at the time; it should not be mistaken for a finding about how pay affects returns or a present-day share of all public companies.

How to evaluate a company’s pay and performance together

When reviewing an executive compensation table, proxy statement, or a pay-versus-performance disclosure, first establish what is being compared. A single “total pay” figure can combine components that respond to performance on different schedules. Likewise, “stock performance” might mean a share-price change, TSR including dividends, or results relative to a peer group. The distinction can change the interpretation.

  1. Identify the pay measure. Separate salary and bonus from grant-date stock or option award value, realized equity value, and reported total compensation. These figures are not interchangeable. Check whether the number is an award’s stated value or value later realized.
  2. Identify the performance measure. Determine whether the comparison uses share-price change alone, TSR including dividends, performance against peers, accounting results, or a company-selected metric. A plan may reward one measure while an investor is focused on another.
  3. Match the time periods. Compare the fiscal year used for reported compensation with the period in which awards vest or options are exercised. Annual snapshots, multi-year performance periods, and full-tenure measures address different questions. Option exercise timing can make annual comparisons especially misleading.
  4. Read the targets and outcomes. Consult the company’s explanation of its compensation measures and the reported results against those measures. A target’s presence in a plan tells you what the company intended to reward; it does not establish the incentive’s effect on decisions or returns.
  5. Consider other explanations for the return. Market and industry movements, company news, and the selection of a particular CEO can all coincide with pay changes and stock movements. A before-and-after chart cannot isolate the impact of compensation from these factors.

For comparisons between companies or compensation plans, keep four axes separate: annual versus full-tenure measurement; grant-date versus realized equity value; absolute return versus return relative to the market or peers; and the pay mix and stated targets. The cited studies use different samples and designs, so they do not provide one comparable causal estimate across firms.

It is also important to match the performance measure to the question. If an investor wants to know how much an equity award’s value changed, the company’s share-price change may be relevant. If the question is how an investment performed including dividends, TSR is the relevant lens. If a plan is designed around peer performance, absolute return alone may not show whether the stated goal was met. None of these measures, by itself, establishes that the compensation design caused the outcome; they help clarify what the company reports and what an investor is comparing.

A useful reading of a disclosure therefore has two parts: first, determine whether the executive met the plan’s stated targets and how the company reports the result; second, ask what else could account for the company’s performance over the same period. The proxy statement can explain definitions, targets, and performance periods, but an observed alignment between pay and results remains context rather than a controlled test of causation.

What pay-growth statistics can—and cannot—tell investors

Lee’s 2022 statement cited Economic Policy Institute estimates that average annual CEO compensation rose 130.3 percent from 2009 to 2020 and that the CEO-to-worker pay ratio increased 97.7 percent over the same period. These are historical pay and inequality measures. They do not measure the effect of CEO compensation on stock prices, nor do they establish whether shareholders received value proportional to pay growth.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Lee also wrote, “Investors need to understand if that growth is concomitant with the value created.” For an investor, that question is a reason to examine the company’s reported measures, award terms, and performance period—not a conclusion that a raw pay-return correlation answers it.

These figures can frame questions about pay practices and value, but they should not be used as a proxy for an individual company’s stock performance. They describe changes across a broader period and do not isolate whether CEO pay, company results, or market conditions produced a particular return. The same caution applies in reverse: a company’s strong share-price performance does not by itself show that every element of its compensation was necessary or effective.

Frequently asked questions

Does higher CEO pay directly raise or lower a company’s stock price?

The evidence summarized here does not establish a predictable direct effect. Pay can move with share performance when equity awards gain or lose value, and incentives may influence executive choices. But a pay-and-return association alone cannot show that compensation caused the stock-price change.

Is CEO pay linked to company performance?

It can be linked by design when compensation rewards measures such as share-price performance, TSR, earnings, or other targets. Research also reports particular associations, including the full-service-period connection in Schmidt’s sample of 521 S&P 500 CEOs. Those findings do not amount to one causal rule that applies to every company.

Are shareholders getting their money’s worth?

That cannot be answered from a headline pay number or raw pay-return chart alone. Compare the pay measure with the company’s stated targets and actual performance, make sure the periods align, and consider market, industry, and company-specific influences. Lee’s 2022 statement framed this as a question investors should be able to examine, not a conclusion settled by the disclosure rule.

Why can annual CEO pay and annual stock returns be misleading to compare?

Compensation reporting, award vesting, and option exercise can fall in different periods. Schmidt’s 2021 article notes that option use and exercise timing can distort annual pay and return measures; a full-tenure view may answer a different question. Always check which period each figure covers.

Does the SEC Pay Versus Performance rule show that pay caused performance?

No. It requires covered registrants to disclose pay-versus-performance information in relevant proxy or information statements, helping investors inspect reported measures. It does not certify that an incentive worked or prove that pay caused stock-price movements. The rule excludes emerging growth companies, registered investment companies, and foreign private issuers.
