But DocuSign CEO Allan Thygesen’s warning is that those conveniences should not be confused with legal judgment.
That was the central tension in his February 2, 2026 interview on Decoder with Nilay Patel: businesses should use AI to assist with bounded contract tasks, while keeping qualified people responsible for interpretation, drafting, approval, and decisions that affect legal rights or money.

The important distinction: reading is not the same as understanding
The episode, titled “Docusign’s CEO on the dangers of trusting AI to read, and write your contracts”, concerns more than electronic signatures. It examines DocuSign’s move toward what it calls Intelligent Agreement Management: tools intended to help prepare, route, sign, store, search, analyze, and manage agreements.
Those activities are often lumped together as “AI reading contracts,” but they have different risk levels:

- Reading: locating parties, dates, payment terms, renewal provisions, governing law, or termination clauses.
- Summarizing: turning contract language into a plain-language overview.
- Analyzing: comparing provisions with a company playbook or identifying deviations from preferred terms.
- Writing: generating clauses, redlines, notices, templates, or complete agreements.
Risk generally rises as the system moves from extraction toward interpretation and drafting. An AI tool might correctly locate an indemnity clause yet miss an exception elsewhere, overlook an incorporated exhibit, or misunderstand how a defined term changes the meaning of the entire agreement.
That is why “usually accurate” is not the same as “safe to trust without review.” The practical questions are: How serious would an error be? Would a reviewer notice it? Is the action reversible? Who is accountable if the output is wrong?
What DocuSign’s CEO said about human oversight
Episode summaries describe Thygesen as acknowledging that hallucinations are unacceptable in legal analysis and that human involvement will remain necessary, particularly in high-risk legal settings. DocuSign does not present agreement summaries as a replacement for a lawyer.
That position is more nuanced than either “AI cannot work with contracts” or “AI will replace legal professionals.” AI can be useful for organizing information and highlighting issues. It should not be treated as the final authority on enforceability, regulatory compliance, whether to sign, or how a bespoke agreement should allocate risk.
Human review is not a magic phrase, however. A reviewer who only skims a polished summary may miss the same error as an unassisted user. Effective oversight means inspecting the cited source language, checking related documents, confirming the contract version, and escalating material issues to qualified counsel.
Why small contract errors can have large consequences
Contracts are unusually unforgiving of seemingly minor mistakes:

- Omitting one word such as “not” can reverse an obligation.
- A definition can affect every later reference to a party, service, fee, or liability.
- A limitation of liability may interact with an indemnity, exclusion, schedule, or insurance requirement.
- A renewal clause may depend on a notice period buried in another section.
- An agreement may incorporate policies, hyperlinks, exhibits, amendments, or order forms that an AI review does not fully process.
A summary can also be technically accurate while still being misleading. For example, it may say that a customer can terminate for convenience but fail to emphasize a required notice period, an early-termination fee, or a separate minimum commitment.

Drafting introduces additional risks. Generated language can contain inconsistent defined terms, conflict with a company’s template, use an unsuitable jurisdictional formulation, omit commercial details, or sound standard while changing the intended allocation of risk. It may also fail to reflect the negotiation history that led to the current wording.
What AI is relatively good at—and what still needs approval
A useful way to evaluate contract AI is to divide work into risk tiers rather than asking whether a tool is simply “safe” or “unsafe.”
Lower-risk, bounded assistance
- Identifying parties, dates, signatures, and document types.
- Creating a searchable index of agreements.
- Locating renewal, notice, payment, or termination language.
- Comparing two versions for textual changes.
- Turning obligations into an internal checklist.
- Classifying agreements by type.
- Finding potentially missing signatures or attachments.
- Preparing a non-authoritative administrative summary.
These tasks still need validation when their results feed an automated reminder, payment, renewal, or compliance process.
Medium-risk assistance
- Comparing clauses with a negotiation playbook.
- Flagging unusual indemnity, exclusivity, data-use, or liability language.
- Suggesting fallback clauses.
- Preparing an issue list for counsel.
- Producing first-pass redlines.
- Drafting explanations for business users.
These outputs should normally include links to the relevant contract language and require human approval before they influence a negotiation or decision.
High-risk uses
- Giving a final opinion about enforceability.
- Deciding whether a business should sign.
- Drafting a bespoke agreement without lawyer review.
- Representing that a contract satisfies a regulatory requirement.
- Automatically accepting or rejecting deviations from standard terms.
- Triggering termination, payment, renewal, or litigation actions without human confirmation.
The closer an AI action comes to changing legal rights or moving money, the stronger the case for a documented approval step.

Why pasting a contract into a general-purpose AI tool can be risky
The interview also discusses users uploading agreements to ChatGPT or similar services. That is not automatically a confidentiality violation in every circumstance. The answer depends on the tool’s terms, enterprise configuration, organizational policy, applicable law, and the information contained in the document.
Before uploading a contract, a user should consider:
- Whether the document contains trade secrets, personal information, regulated data, or privileged communications.
- How the service retains, deletes, and processes uploaded content.
- Whether data may be used to improve a general model.
- Where data is stored and whether cross-border transfers are involved.
- Whether the user has permission to disclose information belonging to a customer, vendor, employee, or other third party.
- Whether prompts, outputs, edits, and approvals will be recorded in an auditable system.
- Whether the tool processed every exhibit, amendment, scanned page, table, and incorporated hyperlink.
Even a strong enterprise configuration does not eliminate the need to check access permissions, retention rules, and internal AI policies.
DocuSign’s shift beyond the signature
DocuSign’s product and pricing page distinguishes its traditional eSignature offering from Intelligent Agreement Management, or IAM. IAM is presented as a broader set of capabilities involving agreement repositories, workflow automation, AI-assisted document management and analysis, and connections between agreement data and other systems.
The strategic idea is to manage the entire “agreement journey”:
- Prepare or populate a document.
- Route it for review and approval.
- Verify identity and obtain consent.
- Sign and execute the agreement.
- Store the completed record.
- Extract structured information.
- Monitor obligations and trigger follow-up workflows.
That distinction matters for buyers. A basic eSignature subscription should not be assumed to include the full capabilities of a contract-lifecycle-management platform or IAM plan.

Is DocuSign’s private-agreement data an AI advantage?
Thygesen’s commercial argument is that DocuSign occupies a useful position in the process: it is involved in identity, consent, execution, audit records, and the documents that move through customer workflows. Episode reporting attributes to him a figure of approximately 150 million private agreements, with tens of millions more added monthly.

Several different concepts must be separated:
- Documents stored by the provider.
- Documents indexed for retrieval.
- Documents accessible to a particular customer’s users.
- Data used to improve a customer-specific experience.
- Data used to train a general-purpose model.
A large repository may help with document intelligence, but scale alone does not guarantee clean data, complete legal context, reliable labels, or correct answers. Buyers should ask exactly how their data is processed, which model providers or subprocessors are involved, what retention and deletion controls exist, and whether customer content is used for model training.
Safeguards a business should demand
Whether a company evaluates DocuSign or another provider, these questions are more useful than a general claim that the product is “AI-powered”:
- Source grounding: Does each conclusion link to the exact clause and surrounding context?
- Clear labeling: Are outputs identified as summaries, suggestions, or extracted facts rather than legal advice?
- Privacy: Is customer data excluded from general model training? What are the retention, deletion, residency, and transfer rules?
- Permissions: Does AI access follow the repository’s existing user and administrator permissions?
- Auditability: Can the organization review prompts, outputs, edits, approvals, and downstream actions?
- Version control: Can users distinguish drafts, amendments, exhibits, and the executed version?
- Uncertainty handling: Does the system abstain or escalate when it lacks confidence or context?
- Approval controls: Can administrators require human approval before a recommendation changes a contract or triggers an action?
- Testing: Are accuracy claims measured by task, document type, language, jurisdiction, and false-negative rate?
- Security: How does the system treat instructions embedded inside uploaded documents, including possible prompt-injection attacks?
A document may contain text designed to influence an AI system—for example, instructions telling it to ignore the user’s request or reveal information. Contract AI should treat uploaded documents as data to analyze, not as trusted instructions.
Should a business use DocuSign’s AI capabilities?
The answer depends on the problem being solved. DocuSign may be a logical choice for an organization that already relies on its signing, identity, audit, and integration infrastructure and wants to extend that workflow into agreement management. It may be excessive for a small business that sends only occasional routine documents.

Consider these questions before buying:
- Do you need eSignatures, a contract repository, lifecycle management, or all three?
- How many documents and agreements do you process, and how costly are envelope or usage limits?
- Do legal, procurement, finance, or sales teams need different approval workflows?
- What privacy, data-residency, retention, and regulatory requirements apply?
- Do you need clause analysis, summaries, drafting assistance, or merely signing and audit records?
- Can the platform integrate with your CRM, ERP, HR, storage, and identity systems?
- Can it preserve document lineage and provide an exportable audit trail?
- Are advanced agreement-management features sold separately or through a sales-led plan?
DocuSign’s public U.S. eSignature page displayed Personal at $11 per month, Standard at $30 per user per month, and Business Pro at $45 per user per month when checked on August 18, 2026. Those prices were shown with annual-commitment billing, and plan limits, geography, taxes, promotions, and features can change. IAM and enhanced capabilities are presented separately from the basic public eSignature grid, so buyers should confirm current pricing and included functionality directly with DocuSign.
How the alternatives differ
There is no universally best contract platform. The right comparison depends on whether the primary job is signing, sales-document creation, or legal-operations management.
- Adobe Acrobat Sign may fit organizations deeply invested in Adobe and PDF workflows. Compare administration, identity options, integrations, and workflow depth—not just signature capability.
- Dropbox Sign may suit smaller teams seeking a straightforward signing workflow, but may be less appropriate when complex legal approvals and lifecycle management are central requirements.
- PandaDoc is oriented toward proposals, quotes, sales documents, and signatures, making it potentially attractive to revenue teams.
- Ironclad is positioned around contract lifecycle management, approvals, repositories, and AI-assisted legal and business workflows.
- General-purpose AI tools may help with low-sensitivity brainstorming when company policy and privacy controls allow it, but they are not substitutes for a controlled system with permissions, citations, audit trails, retention rules, and workflow approvals.
The practical rule for trusting AI with contracts
The best operating model is AI-assisted contract work, not AI-authorized contract judgment.

That distinction is the difference between using AI as a productivity tool and allowing it to make a decision for which the business—not the software—will ultimately bear the cost.
