Do I need a resale certificate to sell online? Not necessarily. In the United States, a resale certificate is generally used to buy qualifying goods from a supplier without sales tax being collected at purchase; it is not the same as registering to collect sales tax from customers. Whether you need a seller’s permit or can use a resale certificate depends on the states involved, what you sell, how you sell it, and whether the goods are genuinely for resale.
What a resale certificate does—and what it does not do
A resale certificate documents that you are buying qualifying taxable goods to resell them, so the supplier may not have to collect sales tax on that purchase. California’s tax information portal puts it this way: “If you purchase tangible personal property for resale, the transaction is not subject to sales or use tax provided the sale is properly documented.” California Department of Tax and Fee Administration retailer guidance
A seller’s permit or sales-tax registration serves a different purpose: it concerns your state tax account and your authority or obligation to collect and report tax on retail sales. When you may need to register as an online seller
Registration rules are state-specific. A state may consider where your business operates, whether you have employees or inventory there, the volume or value of sales, and whether you sell directly or through a marketplace facilitator. Marketplace collection can shift responsibility for tax on facilitated transactions, but it does not automatically resolve every registration, filing, inventory-purchase, or recordkeeping question.

California and Texas illustrate why you should not assume one national rule. California says a seller whose retail merchandise sales are exclusively facilitated by a registered marketplace facilitator generally need not register for a seller’s permit there; direct sales or other California connections may change the result. Texas, by contrast, says a Texas seller making only qualifying sales through a marketplace provider that collects and remits Texas tax still needs an active Texas sales and use tax permit. Marketplace sales and direct sales can have different tax responsibilities
For a marketplace-facilitated sale, the marketplace may be responsible for collecting and remitting tax under the applicable state’s rules. For a sale through your own website or another direct channel, you may have to collect and remit tax if you have a collection obligation in that state. The marketplace’s role on one transaction does not by itself settle your obligations for other channels or other state requirements.

North Carolina says an in-state marketplace facilitator generally collects and remits tax on facilitated sales. The seller remains responsible for direct sales for which it is liable and for records establishing its own tax liability. Can you use a resale certificate for inventory sold through a marketplace?
Potentially. California says a marketplace seller may give a supplier a resale certificate for goods it will sell in the regular course of business, including through a registered marketplace facilitator, if the circumstances and certificate requirements are met. This concerns the seller’s purchase of inventory—not whether the marketplace collects tax on the later customer transaction. Only goods genuinely intended for resale qualify
A resale certificate is not a general tax-free shopping document. The goods must be purchased for resale in the ordinary course of business. Texas says tax is due if merchandise bought using a resale certificate is later used by the buyer. California similarly cautions that using an item beyond permitted display or demonstration means it was not purchased for resale. There is no single form or registration-number rule that applies everywhere. The Multistate Tax Commission says state requirements differ, including whether an out-of-state registration number is accepted. Its page says 36 states indicated that its Uniform Sales & Use Tax Resale Certificate could be used, and that the multijurisdiction form was updated October 14, 2022. That is not a guarantee of current acceptance for every state or transaction; confirm the applicable state’s current instructions before using it. Some states also have their own validation procedures. For example, Florida’s Department of Revenue allows transaction authorization by telephone, online, or mobile systems, with an authorization number valid only for that purchase. A practical checklist before selling or buying stock
- List the states involved. Consider where your business operates, where inventory is stored, where purchases occur, and where customers are located.
- Separate the two questions. Determine whether you need to collect and remit tax on retail sales, then separately determine whether you can buy particular inventory for resale without tax collected by the supplier.
- Map your channels. Identify direct website sales, marketplace-facilitated sales, and any other channels; check each state’s rules for each.
- Check current state instructions. Use the relevant revenue department’s guidance for registration, acceptable certificate forms and registration numbers, marketplace rules, and recordkeeping.
- Give suppliers a properly completed certificate only for qualifying goods. Keep the certificate and records showing the business purpose and resale of the inventory.
- Account for goods you use instead of resell. If inventory is put to business or personal use, check whether you must pay or report use tax.
